Heritage. The entirety of the Park is on the National and State Heritage Lists and parts of the park are World Heritage listed. The park is subject to the provisions of the NSW Heritage Act 1977, Parramatta Park Trust Act 2001 and Regulation 2012. All works that break ground or have potential to disturb ground surfaces, historic assets or fabric must have specific approval by the NSW Heritage Council. Significant penalties exist for disturbance without approval.
Heritage. The subject property is listed on the Registry of Heritage Property for the Halifax Regional Municipality and as such, is protected under the Nova Scotia Heritage Property Act. No alterations to the Xxxxxxx-Xxxxxx House are proposed in order to accommodate the new building and no character defining elements of the structure will be removed or obscured from public view. The portion of the property where the new building would be located does not have any identified heritage value and the design of the new building is consistent with the Standards and Guidelines for the Conservation of Historic Places in Canada. The proposed development agreement requires ongoing maintenance to preserve the integrity and heritage value of the property.

Heritage. (a) Subject to clause 15.3, the Seller agrees to indemnify the Buyer and its Related Entities against, and agrees to reimburse and compensate the Buyer and its Related Entities on demand for, all Loss which the Buyer or a Related Entity of the Buyer suffers or incurs by reason of any breach, or alleged breach, of the Seller of applicable laws or regulations as at the date of this Agreement relating to Aboriginal cultural heritage.

(a) The Tenant acknowledges that (i) Ontario Place is a provincial heritage property of provincial significance; (ii) Ontario Place must be conserved, maintained, used and disposed of in accordance with the Guidelines; (iii) the Landlord is required by the Ontario Heritage Act and the Guidelines to consider the impact of any proposed alterations and demolitions including the Improvements and Major Changes contemplated by this Lease, as well as the future development, redevelopment and use of the Lands, on Ontario Place’s cultural heritage value and heritage attributes; and (iv) to satisfy its obligations under the Guidelines, the Landlord may require further Heritage Impact Assessments (in addition to the HIA required pursuant to Section 4.8(b) below) and additional Heritage Determinations with respect to any Major Changes or future development, redevelopment or reuse of the Lands. Without derogating from the Tenant’s specific obligations set out in this Lease, the Tenant covenants that it will cooperate and work with the Landlord to fulfill or otherwise discharge the Landlord’s obligations under the Ontario Heritage Act and the Guidelines, and in accordance with the Lease.
Heritage. (i) has not been a member of an affiliated group filing a consolidated Tax Return (other than a group the common parent of which was Heritage) or (ii) has not incurred any liability for the Taxes of any Person as a transferee or successor, by Contract, or otherwise.
