Hiring of Seller's Employees. Prior to the Closing, Purchaser may offer employment, effective as of the Effective Time, to any or all Employees. All such offers of employment shall be pursuant to Purchaser’s standard employment practices and policies. Purchaser shall be responsible for compliance with applicable Law with respect to the hiring of such Employees and the subsequent employment of the Employees who accept employment with Purchaser (collectively, “Hired Employees”) and their qualified beneficiaries for whom a qualifying event occurs after the Effective Time (as such terms are defined in Section 4980B of the Internal Revenue Code of 1986, as amended). Purchaser shall be responsible for the employment-related obligations with respect to Hired Employees from and after the Effective Time, including compensation for services performed for Purchaser from and after the Effective Time (and related employment and withholding taxes), benefits accrued under any Purchaser-sponsored plan or arrangement of Purchaser covering the Hired Employees from and after the Effective Time and workers’ compensation benefits with respect to injuries or incidents occurring from and after the Effective Time.

Hiring of Seller's Employees. It is Purchaser's intention, as of the Closing Date, to offer employment to all employees of Seller then employed at the Stores (collectively, the "Employees"), all such offers of employment to be pursuant to Purchaser's standard employment practices and policies. Purchaser's intent to offer employment to such Employees as of the Closing Date shall not create any written contractual right of employment on the part of any such Employee.
Hiring of Seller's Employees. During the Noncompete Period, Seller will not, and will cause its Affiliates not to, (directly or indirectly) solicit for employment, or induce any other person to hire or offer employment to, any employee of the Business who is employed by Buyer after the Closing Date, nor will Seller induce any such employee to terminate his or her employment with Buyer. Nothing contained in this Section 6.10(b) shall affect or be deemed to affect in any manner any other provision of this Agreement.

Purchaser shall hire and maintain for a sufficient period of time, a sufficient number of employees at each establishment so that Seller does not violate the federal WARN Act (29 U.S.C. Section 2101 et seq.) or any similar act under state or federal law.

As of the Closing Date, Seller shall terminate any employment agreements it has with any of the Employees.
Hiring of Seller's Employees. As of the Closing Date, Purchaser shall offer employment to, and Seller shall use its best efforts to assist Purchaser in employing as new employees of Purchaser, all persons presently engaged in the Xxxxxx Circuits Business who are identified by Purchaser prior to the Closing Date, including, but not limited to, those family relations of Shareholder who currently are employees of Seller (the "Employees"). Seller shall terminate effective as of the Closing Date all employment agreements it has with any of the Employees. Purchaser shall retain such Employees in the same manner as any other employees of Purchaser. During the Noncompete Period described below, Seller will not directly or indirectly hire or offer employment to any Employee who becomes an employee of Purchaser unless Purchaser first terminates the employment of such employee.
Hiring of Seller's Employees. Seller shall terminate its employees relating to the Business as of the Closing Date. Buyer agrees to hire those terminated employees of Seller identified on Schedule 7.5 on terms and conditions comparable to the terms of employment by Seller as of the Closing Date but consistent with Buyer's general employment policies and practices. At the Closing Buyer shall enter into an Employment Agreement with Seller's principal owner, Xxxxxxx Xxxxx, in form and substance consistent with Exhibit C, attached. Section 7.6.
