Hosting and Software Services. Aquasight agrees to provide the hosting services described herein and as may be set forth in more detail in the applicable Order Form, including the right of Customer to access, view, download, transmit and use all data transmitted by Customer or Customer’s systems and facilities to Aquasight (“Customer Data”) hosted by Aquasight. Aquasight hereby grants Customer a non-exclusive, non-transferable, worldwide right to use and access the Software solely for Customer’s own internal business purposes, subject to the terms and conditions of this Agreement and provided that all fees due and payable under this Agreement have been paid by Customer to Aquasight. Only employees of Customer properly authorized by Customer for the performance of their job responsibility (“Authorized Users”) for Customer shall be entitled to access and use the Software. Only the number of Authorized Users indicated on the Order Form are permitted to access and use the Software. The Software may be hosted on hardware owned, operated and managed by Aquasight’s third party service providers. Upon Customer’s request, Aquasight shall provide reasonable information to Customer with respect to Aquasight’s third party hosting services provider. Aquasight shall have the right to modify the Software in its sole discretion, provided that Aquasight shall not materially diminish the performance or functionality of the Software without Customer’s prior written consent.

Hosting and Software Services. Excite will provide Hosting Services and software services for Intuit, including the hosting and operation of both Excite-developed and Intuit-developed systems stems and software. Intuit will have the right to utilize Excite's software, systems, Hosting Services and operations to deliver Financial Content that is either (a) included in the Financial Channel and jointly branded, (b) included in the Financial Channel and Intuit branded, or (c) not included in the Financial Channel (such as tax or small business content, or content co-branded by other third parties). Intuit will have the right to interface any Excite servers hosting Financial Content with Intuit hosted systems for the sole purpose of accessing data associated with the Financial Content. AIALABA shall have the right to modify the Software and Hardware in its sole discretion, provided that AIALABA shall not materially diminish the performance or functionality of the Software or the Hardware without Customer’s prior written consent.

Sembly hereby grants to Customer a non-exclusive, non-transferable, worldwide right to use and access the Software and the Hardware, solely for Customer’s own internal business purposes, subject to the terms and conditions of this Agreement and provided that all fees due and payable under this Agreement have been paid by Customer to Sembly. Unless agreed to otherwise by the parties, the Software shall be hosted on Hardware owned, operated and managed by Sembly at Sembly’s facilities, or at facilities owned and operated by authorized outsourcers and contractors of Sembly pursuant to a written agreement with Sembly.   • Hosting Services 13.1 If Supplier or its subcontractor, affiliate or any other person or entity providing products or services under the Contract Hosts Customer Data in connection with an Acquisition, the provisions of Appendix 1, attached hereto and incorporated herein, apply to such Acquisition.

  • Support Services HP’s support services will be described in the applicable Supporting Material, which will cover the description of HP’s offering, eligibility requirements, service limitations and Customer responsibilities, as well as the Customer systems supported.

  • TECHNICAL SUPPORT SERVICES 2.1 The technical support services (the "Services"): Party A agrees to provide to Party B the relevant services requested by Party B, which are specified in Exhibit 1 attached hereto ("Exhibit 1").

  • Data Access Services State Street agrees to make available to the Fund the Data Access Services subject to the terms and conditions of this Addendum and such data access operating standards and procedures as may be issued by State Street from time to time. The Fund shall be able to access the System to (i) originate electronic instructions to State Street in order to (a) effect the transfer or movement of cash or securities held under custody by State Street or (b) transmit accounting or other information (the transactions described in (i)(a) and (i)(b) above are referred to herein as “Client Originated Electronic Financial Instructions”), and (ii) access data for the purpose of reporting and analysis, which shall all be deemed to be Data Access Services for purposes of this Addendum.

  • Transitional Services Contractor shall provide Transitional Services to offenders who are being released from a prison, an assessment/sanction center, prerelease center, or treatment center for up to the first 90 days of community supervision after release. A Probation and Parole Officer (PO) will determine the specific services to be provided to each offender based on the offender’s needs and individualized case plan as determined or developed by the State. The referring PO will complete an agreed upon referral form designating the services selected. Contractor will confirm availability of services, establish a start date, and return the referral form to the PO and the designated State staff.

  • Maintenance Services Subject to Client’s timely payment of the applicable maintenance fees, Accenture will make available the following maintenance services (“Maintenance Services”):

  • TAX SUPPORT SERVICES BNY Mellon shall provide the following tax support services for each Fund:  Provide various data and reports as agreed upon in the SLDs to support TRP’s tax reporting and tax filing obligations, including: · Wash sales reporting; · QDI reporting; · DRD reporting; · PFIC analysis; · Straddle analysis; · Paydown adjustments; · Equalization debit adjustments · Tax compliance under §851, §817(h); · Foreign bond sale analysis (§988); · Troubled debt analysis; · Estimation of income for excise tax purposes; · Swap analysis; · Inflation adjustments; · §1256 adjustments; · Market discount analysis; OID adjustments; · CPDI analysis; · Shareholder tax reporting information (e.g. FTC, UGG income, foreign source income by country, exempt income by state);  Provide data, and reports based on such data, maintained by BNY Mellon on its fund accounting platform as reasonably requested by TRP to support TRP’s obligations to comply with requests from tax authorities and TRP’s tax reporting and tax filing obligations.  Assist with other tax-related data needs as mutually agreed upon in writing from time-to-time.
