HOW SERVICES WILL BE CONTRACTED UNDER THE FRAMEWORK CONTRACT. As a result of an open tender procedure, ETF intends to conclude multiple competing framework contracts with three tenderers whose offers obtain the highest points (above a minimum threshold) as a result of the technical and financial evaluation. Competing framework contracts imply that each time the ETF intends to issue an order form for high quality expertise for a specific assignment, they will send a Request for Offer (RfO) to all Contractors in parallel with an identical deadline for submission of their offers. The procedure for concluding an order form for specific assignments is as follows (all communication between ETF and the Contractor(s) will be in writing via email and/or fax): The ETF will send a Request for Offer (RfO) with specific Terms of Reference (TOR) for the assignment, maximum total budget and timetable to all the Contractor(s). The Contractor(s) will, after an appropriate pre-selection process, provide their offer in terms of minimum one / maximum two CV(s) of suitably-qualified expert(s) available to perform the assignment, for each expert position described in the TOR. An offer will be considered incomplete if it does not include at least one CV per each profile and will therefore be excluded. The Contractor will ensure that each expert signs an ‘exclusivity agreement’ for the purpose of the submission of their CV by that Contractor for that specific assignment. The Contractor will submit the CV(s) within 10 calendar days from the date of the ETF request and as stipulated on the RfO. The Contractor must include at this stage any comments they may have on the proposed budget, distribution of expert working days and timetable for activities - ETF will consider the possibility of taking the Contractor’s comments into account and amending the TOR accordingly (at the time of order form issue). The ETF will evaluate the CVs, according to the award criteria outlined in the specific TOR, and select the most suitable expert(s), if any, from among those proposed. In case of more than one expert profile within the same TOR, as a general rule, the ETF will select the group of experts proposed by one of the contractors on the basis of the highest total score for the group of experts. The ETF will communicate its decision on the evaluation to the Contractors within 10 calendar days from receipt of CVs.   • Information and Services Required of the Owner The Owner shall provide information with reasonable promptness, regarding requirements for and limitations on the Project, including a written program which shall set forth the Owner’s objectives, constraints, and criteria, including schedule, space requirements and relationships, flexibility and expandability, special equipment, systems, sustainability and site requirements.

  • Subcontracting for Medicaid Services Notwithstanding any permitted subcontracting of services to be performed under this Agreement, Party shall remain responsible for ensuring that this Agreement is fully performed according to its terms, that subcontractor remains in compliance with the terms hereof, and that subcontractor complies with all state and federal laws and regulations relating to the Medicaid program in Vermont. Subcontracts, and any service provider agreements entered into by Party in connection with the performance of this Agreement, must clearly specify in writing the responsibilities of the subcontractor or other service provider and Party must retain the authority to revoke its subcontract or service provider agreement or to impose other sanctions if the performance of the subcontractor or service provider is inadequate or if its performance deviates from any requirement of this Agreement. Party shall make available on request all contracts, subcontracts and service provider agreements between the Party, subcontractors and other service providers to the Agency of Human Services and any of its departments as well as to the Center for Medicare and Medicaid Services.

  • Procurement of Goods and Services (a) If the HSP is subject to the procurement provisions of the BPSAA, the HSP will abide by all directives and guidelines issued by the Management Board of Cabinet that are applicable to the HSP pursuant to the BPSAA. (b) If the HSP is not subject to the procurement provisions of the BPSAA, the HSP will have a procurement policy in place that requires the acquisition of supplies, equipment or services valued at over $25,000 through a competitive process that ensures the best value for funds expended. If the HSP acquires supplies, equipment or services with the Funding it will do so through a process that is consistent with this policy.

  • Network Services Local Access Services In lieu of any other rates and discounts, Customer will pay fixed monthly recurring local loop charges ranging from $1,200 to $2,000 for TDM-based DS-3 Network Services Local Access Services at 2 CLLI codes mutually agreed upon by Customer and Company.

ORACLE IS NOT RESPONSIBLE FOR ANY ISSUES RELATED TO THE PERFORMANCE, OPERATION OR SECURITY OF THE PROFESSIONAL SERVICES THAT ARISE FROM CUSTOMER DATA OR THIRD PARTY APPLICATIONS OR PROFESSIONAL SERVICES PROVIDED BY THIRD PARTIES. 5.3 FOR ANY BREACH OF THE PROFESSIONAL SERVICES WARRANTY, CUSTOMER’S EXCLUSIVE REMEDY AND ORACLE’S ENTIRE LIABILITY SHALL BE THE CORRECTION OF THE DEFICIENT PROFESSIONAL SERVICES THAT CAUSED THE BREACH OF WARRANTY, OR, IF ORACLE CANNOT SUBSTANTIONALLY CORRECT THE DEFICIENCY IN A COMMERCIALLY REASONABLE MANNER, CUSTOMER MAY END THE DEFICIENT PROFESSIONAL SERVICES AND ORACLE WILL REFUND TO THE CUSTOMER THE FEES FOR THE TERMINATED PROFESSIONAL SERVICES THAT CUSTOMER PRE-PAID TO ORACLE FOR THE PERIOD FOLLOWING THE EFFECTIVE DATE OF TERMINATION. 5.4 TO THE EXTENT NOT PROHIBITED BY LAW, THIS WARRANTY IS EXCLUSIVE AND THERE ARE NO OTHER EXPRESS OR IMPLIED WARRANTIES OR CONDITIONS, INCLUDING FOR SOFTWARE, HARDWARE, SYSTEMS, NETWORKS OR ENVIRONMENTS OR FOR MERCHANTABILITY, SATISFACTORY QUALITY AND FITNESS FOR A PARTICULAR PURPOSE.
