Incumplimiento de la Garantía. En caso que el Vendedor incumpla con cualquiera de sus garantías, el Vendedor será el único responsable y se obliga a indemnizar al Comprador y a las Partes del Comprador de y contra todos los Xxxxx y Perjuicios (según dicho término se define más adelante) incurridos por ellos, incluyendo sin limitación, el precio de compra de los Productos, los gastos de envío, costos por reemplazo y cobertura, pérdida de utilidad, xxxxx incidentales y consecuenciales. El Vendedor reconoce que, si el incumplimiento del Vendedor causa que el Comprador entregue Productos a sus clientes, ya sea con retraso o por debajo de los estándares del Comprador, el Comprador incurrirá en and/or limitations to ownership, free from defects in material and workmanship, and (vi) comply with all the laws, regulations and standards applicable to them; (b) the use and/or sale, alone or in combination, of the Products will not infringe or violate any patent or foreign letters patent, or any right in or to any patented invention or idea, or a trademark, copyright or other intellectual property right; (c) the Products and their production, storage, pricing, delivery and sale hereunder are in compliance with foreign, federal, state and local laws applicable thereto, including, without limitation, all packaging and labeling laws; (d) without limiting the generality of section 6(c), the Products, and all of their ingredients, elements and components, fully and completely comply with and satisfy the requirements of all environmental or health and safety related laws, regulations, treaties, ordinances, and/or rules, whether international, national, state or local, including, without limitation, the Montreal Protocol, REACH (of the European Union), RoHS (of the European Union) and Title VI of the Clean Air Act, 42 U.S.C. 7401 et seq.; and (e) Seller is conveying good title to the Products, free and clear of any liens or encumbrances and limitations to ownership. Seller acknowledges that it has knowledge of Xxxxx’s intended use and warrants that all Products that have been manufactured by Seller based on Buyer’s use and will be fit and sufficient for the particular purposes intended by Buyer. Any Products not in accordance with the foregoing warranties or any special warranty shall be deemed to be defective and may be rejected by Buyer.
