Initial Deliverables. The Design-Builder’s initial task will be to develop a concept design and budget for the Project. As part of this effort, the Design-Builder shall prepare and provide the following initial deliverables:

Initial Deliverables. Vendor shall promptly deliver the current version of the Software and Documentation to Reseller (or Reseller's designated agent). Vendor will provide Reseller (to Reseller's designated agent) with (i) copies of the Software on CD-ROM or master diskettes, (ii) Product specification information in HTML format, or in another computer readable form that can be reproduced by Reseller, (iii) Product Documentation in a computer readable form that can be reproduced by Reseller.
Initial Deliverables. Following the Original Execution Date, PalmSource will deliver to Licensee a complete and current set of the deliverables specified in Exhibit A (PalmSource Deliverables); provided, however, that in no event will PalmSource be required to deliver any such items to Licensee before PalmSource has generally released such deliverables to its customers. As of the Amendment Execution Date, Licensee acknowledges that all such deliverables have been delivered by PalmSource to Licensee. Within ten (10) business days of the Amendment Execution Date, PalmSource will deliver to Licensee a complete and current set of the deliverables specified in Exhibit A-1 (Additional PalmSource Deliverables) in object code or source code form, as specified therein, to the extent not previously provided to Licensee. Thereafter, PalmSource will not have any delivery obligations with respect to the deliverables specified in Exhibit A-1 (Additional PalmSource Deliverables) unless otherwise agreed by PalmSource. All deliveries shall be made electronically in accordance with Section 3.5 (Method of Delivery) and in a mutually agreed upon manner that does not cause sales tax to apply to the delivered items. Without in any way limiting Licensee’s obligation to make Minimum Annual Payments under Section II(A)(1)(b) of Exhibit D (Licensee Products, Royalties and Fees), PalmSource acknowledges that Licensee shall have no obligation under this Agreement to incorporate any PS Licensed Products in any Licensee products or otherwise distribute any PS Licensed Products. However, Licensee will use good faith efforts to include the PS E-Reader in a Licensee Product, unless PalmSource ceases to make the PS E-Reader commercially available.

Vendor will provide Electronic Reseller with (i) copies of the Software on CD-ROM or master diskettes, (ii) Product specification information in HTML format, or in another mutually agreeable computer readable form that can be reproduced by the Electronic Reseller, (iii) Product Documentation in a computer readable form mutually agreeable to the parties that can be reproduced by the Electronic Reseller, and (iv) Vendor press releases and announcements in a computer readable form mutually agreeable to the parties that can be reproduced by the Electronic Reseller.

Initial Deliverables. (a) Upon receipt of the settlement payment as described in Section 2.01 of the Settlement Agreement entered into by and between Xxxxxx Technologies, Inc. and Qiantu Motor (Suzhou) Ltd. and Qiantu Motor USA, Inc., Qiantu shall make available for transfer to Xxxxxx two fully assembled K50 vehicles. Before the vehicles may be transferred to Xxxxxx, Xxxxxx shall pay the amount of $104,100 USD as consideration for the vehicles, and such purchase price payment may be included in Xxxxxx’x payment of the settlement payment. Xxxxxx shall be responsible for all handling and shipping costs, tariffs, export and import fees, special duties, regulatory fees and insurance costs or costs of any kind associated with delivery of the vehicles to Xxxxxx and transportation from China to the U.S.; (b) Within 60 days after the Effective Date of this Agreement, Qiantu shall provide Xxxxxx with the Deliverables stated in Schedule 1.01 and according to the provisions of Section 3.02.
