Initial Project. Conservation Facilities Initial Project Conservation Facilities” shall mean the following project facilities specified in Section 12934(d) of the Water Code:
Initial Project. The parties have determined by mutual agreement that the alpha-2a, -2b and -2c adrenergic receptors are of particular interest to their cooperation and have, accordingly, selected such receptors as the TARGETS of their initial PROJECT. Such PROJECT (the,,ALPHA 2 PROJECT") shall be initiated beginning as of the EFFECTIVE DATE. Set forth on Schedule III attached hereto is a list of SYNAPTIC COMPOUNDS and a list of GRUNENTHAL COMPOUNDS, in each case identified by code number which may be active at one or more of such receptors and which, as of the EFFECTIVE DATE, are, in the judgment of each party, available as pharmacological tools or design leads for use in the ALPHA-2 PROJECT. Also set forth in said Schedule III is a complete list of GRUNENTHAL's and SYNAPTIC's present PATENT RIGHTS, if any, concerning ALPHA 2 PROJECTS.
Initial Project. Initial Project" refers to any of one (1) of the following projects described in the Conceptual Development Plan: (a) the Rehabilitation of Hangar One for Tenant's use and occupancy; (b) the Rehabilitation of Hangar Two; (c) the Rehabilitation of Hangar Three; (d) the construction of the Education Facility; (e) the initial improvements to Building 158 (excluding the EOC Reserved Area); (f) the initial improvements to the Airfield; and (f) the initial improvements to the Golf Course.
Initial Project. The initial project being undertaken by the Company, subject to the satisfaction of the Conditions Precedent as provided in Section 14.2 below, is identified and described on Schedule 14.1 hereof (the “Initial Project”).
Initial Project. The Initial Project will consist of construction of approximately 240 miles of 765kV transmission line between American Electric Power’s Rockport plant near Rockport, Indiana and the Greentown Substation near Greentown, Indiana. The Initial Project will consist primarily of towers, substations, lines, and rights-of-way acquired for the Initial Project. It is understood that the starting and ending points, path, and detailed scope and parameters of the Initial Project cannot be determined until the Initial Project is included in applicable regional transmission plans. Initial Project. The initial Project for which JCA is being engaged (the "Initial Project") is the following: Initial ----- -----
(a) JCA shall act as the Company's Investment Banker and Placement Agent in a private placement offering (the "Private Placement" or the "Financing"). The Company proposes to issue up to $10,000,000 of a proposed issue of securities (the "Securities"), the percentage such Securities represent of the equity securities of the Company on a post-offering basis shall be determined by JCA and the Company after the execution hereof. The stated percentages will include those Securities issued to the investors in the Private Placement as well as those Securities issued to JCA as compensation pursuant hereto. The offering will be made on a "best efforts, all or none" basis with respect to the first $1,000,000 (the "Minimum Amount"), and on a "best efforts" basis with respect to the balance.
(b) Compensation to JCA - JCA shall be entitled to receive the following items of compensation for the services rendered hereunder.
(i) Placement Fee. JCA shall be entitled to receive a Placement Fee equal to nine percent (9%) of total gross proceeds raised from the Financing.
Initial Project. A Statement of Work for the initial project under this Agreement is being entered into concurrently herewith. Contractor understands that Company has made no promises or representations whatsoever as to the amount or potential amount of business Contractor can expect at any time during the term of this Agreement.
