Investigation; Economic Risk. Each Purchaser acknowledges that it has had an opportunity to discuss the business, affairs and current prospects of the Company with its officers. Each Purchaser further acknowledges having had access to information about the Company that it has requested. Each Purchaser acknowledges that it is able to fend for itself in the transactions contemplated by this Agreement and has the ability to bear the economic risks of its investment pursuant to this Agreement. Each Purchaser further acknowledges that it has obtained its own attorneys, business advisors and tax advisors as to legal, business and tax advice (or has decided not to obtain such advice) and has not relied on the Company for such advice.

Investor further acknowledges having had access to information about the Company that it has requested. Investor acknowledges that it has knowledge and experience in financial and business matters such that it is capable of evaluating the risks of the transactions contemplated by this Agreement and the Investor Rights Agreement and has the ability to bear the economic risks of holding the Shares for an indefinite period. The parties acknowledge and agree that nothing in this Section 5.3 shall limit or modify any representation or warranty of the Company in Section 4 hereof, or the right of Investor to rely thereon.

Cryogen acknowledges it has had an opportunity to discuss the business, affairs and current prospects of the Company with its officers; Cryogen acknowledges having had access to information about the Company that it has requested; and Cryogen acknowledges that it is able to fend for itself in the transactions contemplated by this Agreement and has the ability to bear the economic risks of its investment pursuant to this Agreement.

Such Buyer has received and ---------------------------- reviewed the Registration Statement prospectus and has had the opportunity to speak to representatives of the Seller and obtain from the Seller such information as is necessary to permit such Buyer to evaluate the merits and risks of its investment in the Shares. Such Buyer understands that its investment in the Shares involves a high degree of risk and hereby represents that it is able to bear the economic risk of holding such Shares as may be required pursuant to this Subscription.
Investigation; Economic Risk. It is able to fend for itself in the transactions contemplated by this Agreement and has the ability to bear the economic risks of its investment in the Purchased Shares.

Birch First further acknowledges having had access to information about EDS that it has requested. Birch First further acknowledges that it has knowledge and experience in financial and business matters such that it is capable of evaluating the risks of the transactions.
Investigation; Economic Risk. Purchaser has had an opportunity to discuss the Company's business, management, financial affairs and the terms and conditions of the offering with the Company's management and has had an opportunity to review the information provided by the Company. The foregoing, however, does not limit or modify the representations and warranties of the Company in Section 3 of this Agreement or the right of Purchaser to rely thereon. Purchaser acknowledges that it is able to fend for itself in the transactions contemplated by this Agreement and has the ability to bear the economic risks of its investment pursuant to this Agreement.

SUCH BUYER HAS RECEIVED AND ---------------------------- REVIEWED THE REGISTRATION STATEMENT PROSPECTUS AND HAS HAD THE OPPORTUNITY TO SPEAK TO REPRESENTATIVES OF THE SELLER AND OBTAIN FROM THE SELLER SUCH INFORMATION AS IS NECESSARY TO PERMIT SUCH BUYER TO EVALUATE THE MERITS AND RISKS OF ITS INVESTMENT IN THE SHARES. SUCH BUYER UNDERSTANDS THAT ITS INVESTMENT IN THE SHARES INVOLVES A HIGH DEGREE OF RISK AND HEREBY REPRESENTS THAT IT IS ABLE TO BEAR THE ECONOMIC RISK OF HOLDING SUCH SHARES AS MAY BE REQUIRED PURSUANT TO THIS SUBSCRIPTION.
