Involuntary Transfer Due to Cause. A. If a transfer of a Professional Staff Member due to cause is to be made during the course of the school year (except in the case of an emergency which requires immediate action, as determined by the ADMINISTRATION), the concerned Professional Staff Member will be notified in writing thirty (30) days prior to the anticipated date of transfer. The Principal/ Administration will identify the problem and discuss such problem with the Professional Staff Member involved.

Involuntary Transfer Due to Cause. If a transfer of a Professional Staff Member due to cause is to be made during the course of the school year (except in the case of an emergency which requires immediate action as determined by the ADMINISTRATION), the concerned Licensed Educational Interpreter will be notified in writing thirty (30) days prior to the anticipated date of transfer. The Administration will identify the problem and discuss such problem with the Licensed Educational Interpreter involved. The ADMINISTRATION may displace Licensed Educational Interpreters due to pupil enrollment program reduction and/or staff realignment. In determining which individual Licensed Educational Interpreter is to be displaced, the ADMINISTRATION shall consider the following: (a) areas of certification, (b) system seniority, (c) building seniority. Before a Licensed Educational Interpreter is involuntarily transferred under this section, the ADMINISTRATION will consider voluntary transfer requests from the same building. When a Licensed Educational Interpreter is to be displaced under this section (s) he shall have the right to displace a less senior Licensed Educational Interpreter in the building in which (s) he is being displaced, or if the program has been eliminated from the building (s) he shall have the right to displace a less senior Licensed Educational Interpreter in any other building for which (s) he holds certification to do that job. A Licensed Educational Interpreter to be displaced under this section will be given at least three (3) work days' notice before the transfer is to become effective unless the Licensed Educational Interpreter waives right to notice.

  • Involuntary Transfer An involuntary transfer is a transfer initiated by the district due to staff reduction, building closings, changing building enrollments, unsatisfactory work on the part of the teacher or programmatic needs on the part of the district.

  • Involuntary Transfers Any transfer of title or beneficial ownership of Interests upon default, foreclosure, forfeit, divorce, court order or otherwise than by a voluntary decision on the part of a Management Member or Outside Member (each, an “Involuntary Transfer”) shall be void unless such Management Member or Outside Member complies with this Section 12.4 and enables the Company to exercise in full its rights hereunder. Upon the Involuntary Transfer of any Interest, such Management Member or Outside Member shall promptly (but in no event later than two days after such Involuntary Transfer) furnish written notice to the Company indicating that the Involuntary Transfer has occurred, specifying the name of the Involuntary Transferee, giving a detailed description of the circumstances giving rise to, and stating the legal basis for, the Involuntary Transfer. Upon the receipt of the notice described in the preceding sentence, and for 60 days thereafter, the Company shall have the right to purchase, and the Involuntary Transferee shall have the obligation to sell, all (but not less than all) of the Interests acquired by the Involuntary Transferee for a purchase price equal to the lesser of (i) the Fair Market Value of such Interest and (ii) the amount of the indebtedness or other liability that gave rise to the Involuntary Transfer plus the excess, if any, of the Carrying Value of such Interests over the amount of such indebtedness or other liability that gave rise to the Involuntary Transfer. Notwithstanding anything to the contrary, any Involuntary Transfer of Override Units shall result in the immediate forfeiture of such Override Units and without any compensation therefor, and such Involuntary Transferee shall have no rights with respect to such Override Units.

  • Voluntary Transfers (a) A voluntary transfer is the voluntary movement of an employee from one worksite or school to another worksite or school. Any member of the Bargaining Unit shall have the right to request a voluntary transfer.

  • Termination Without Cause The Company may terminate the Executive’s employment hereunder at any time without Cause. Any termination by the Company of the Executive’s employment under this Agreement which does not constitute a termination for Cause under Section 3(c) and does not result from the death or disability of the Executive under Section 3(a) or (b) shall be deemed a termination without Cause.

  • Termination for Cause If Vendor fails to materially perform pursuant to the terms of this Agreement, TIPS shall provide written notice to Vendor specifying the default. If Vendor does not cure such default within thirty (30) days, TIPS may terminate this Agreement, in whole or in part, for cause. If TIPS terminates this Agreement for cause, and it is later determined that the termination for cause was wrongful, the termination shall automatically be converted to and treated as a termination for convenience.
