Issuance of Cards. The Depositor may request the issuance of additional cards in the name of the persons authorized in the Account, up to a maximum of two (2) Regular ATH and one (1) Debit Mastercard. The Cooperative will be authorized to recognize as valid the requested and authorized cards and the secret number selected by each cardholder, in the case of withdrawals or transfers of funds made in relation to the Account. Anyone who is granted the use of the Cards will be considered the third beneficiary of the agreement extended here under the terms and conditions of this Agreement. Consequently, they are jointly and severally liable with the Account owner for any debit made under the additional card issued, be it authorized or unauthorized debit and whether caused by lost or stolen Cards.
Issuance of Cards. Notwithstanding anything to the contrary in this ASA, (i) Client will be the sole issuer of all Cards issued under the Program, including with respect to all Cards sold at locations operated by Affiliated Sellers, and (ii) Client will be solely responsible for the responsibilities set forth in Section 3(b) of the Client Agreement.

Issuance of Cards. 1.1 A Company that qualifies for membership with the PNB Corporate Credit Card program, shall be assigned with a Corporate Account in the name of the Company. The Corporate Account shall hold all accumulated spend activities of all the Individual Cardholder Accounts enrolled under it. The Company hereby unconditionally and absolutely authorizes the Bank to issue, upgrade, downgrade, at any time, any and/or all Cards. The Bank shall promptly notify the Company of any such issuance, upgrade or downgrade of Card(s). After Bank approval, the Card(s) shall be issued bearing the name of both the Company and the Cardholder(s).
1.2 The Company shall provide the Bank with the original or certified true copies of updated documents that the Bank may reasonably require from time to time, including but not limited to the following:
(1) Properly accomplished and signed Card Application Forms of the Company and its qualified employees;
(2) Financial Statements for the last three (3) years audited by reputable accounting firms;
(3) Certificate of Registration, Articles of Incorporation and By-Laws filed with and certified by SEC;
(4) Latest General Information Sheet filed with SEC;
(5) Notarized Secretary's Certificate on the issuance of a Board Resolution approving the availment of Cards by the Company’s employees listed therein and appointing the Company’s authorized representative;
(6) Notarized Irrevocable Deed of Assignment of Bank Deposits;
(7) Company profile; and
Issuance of Cards a. SV Partner, at its sole cost and expense, shall gather Applications from prospective Cardholders and assist Merrick in processing such Applications in accordance with the criteria set forth on the attached EXHIBIT 3.1A-1, as the same may be amended from time to time pursuant to the terms of Section 3.3 (the "ISSUANCE CRITERIA"). Merrick, directly or indirectly, shall issue a Card to each Person who submits an Application and satisfies the Issuance Criteria. Merrick and SV Partner shall follow the processes and procedures set forth on the attached EXHIBIT 3.1 A-2 in connection with gathering and processing Applications and issuing Cards.
b. Subject to the requirements of Applicable Law, each plastic Card issued by Merrick shall have the name and/or logo of one of the SV Partner brands set forth on the attached EXHIBIT 3.1B or such other SV Partner brand as may be approved by Xxxxxxx (which approval Xxxxxxx shall not unreasonably withhold, delay or condition) on the front of the Card and shall be of a design approved by Xxxxxxx, XX Partner, and the Card Association whose name and logo appear on the Card, as applicable, Xxxxxxx shall be identified as the issuer on the back of the Card.
c. Subject to Applicable Law and the terms of this Agreement, each Virtual Card issued by Xxxxxxx shall have an expiration date of one (1) year after the date of issuance.
d. Subject to Applicable Law, a plastic Card shall be issued to each Cardholder and to any Cardholder who requests a plastic Card in replacement of a lost or stolen Plastic Card. Xxxxxxx and SV Partner shall take steps to ensure that, upon issuance of any such plastic Card, the Virtual Card originally issued to such Cardholder is cancelled. Any such plastic Card shall have the same account number and expiration date as the Virtual Card it is replacing.
Issuance of Cards. College may, in accordance with the terms of this Agreement, use the Card Issuing Station to facilitate the issuance of College Products to Affiliated Persons. All MasterCard College Products will be issued by an Issuing Bank selected by Financial Payments in its sole discretion. College agrees that it will only issue or permit the issuance of College Cards and College Products, as applicable, to Affiliated Persons and in accordance with the terms of this Agreement, the Operating Instructions, the Policies and Applicable Law.
Issuance of Cards. Bank will issue Cards in the name of the Company and in the names of Employees as designated in the Agreement. A limit of Five Cards may be issued per account; a fee of $3.00 per card will apply to any cards requested after this limit. Usage of the Cards will be limited to debits only. No electronic (ATM) deposits may be made using the Cards. All Cards must be signed immediately upon receipt by the Employees, but all Cards remain the property of Bank and must be surrendered to Bank upon demand. Company acknowledges that Bank is providing such service to Company as an accommodation party only and, except as otherwise provided by law, Bank is not responsible in any way for the manner in which the Cards are utilized.
Issuance of Cards. 2.1 Appointment Financial Payments authorizes College to distribute College Products issued by an Issuing Bank to Affiliated Persons according to the terms and conditions of this Agreement.
2.2 Card issuing Station- Jf Applkable.
(a) Financial Payments agrees to provide College with the Station Software and the Operating Instructions (the Station Hardware, Station Software and Operating Instructions. the "Card Issuing Station"). College agrees that it (i) will only use the Card Issuing Station in accordance with the Operating Instructions, the tenns of this Agreement, the Policies and Applicable Law and (ii) will not reproduce, modify, reverse engineer, decompile, selL sublicense or otherwise transfer to another party, or attempt to reproduce source code of the software or systems comprising the Card Issuing Station.
(b) Upon tennination of this Agreement, College may elect to retain ownership and use of the Station Hardware and may use it for any purpose, with the exception of the issuance of College Cards or other College Products. During and after the Term of this Agreement College shall prevent the Unauthorized Use of the Card Issuing Station and will promptly notify Financial Payments of any Unauthorized Use by its CUlTentor xxxxxx employees, agents or contractors or any other party.
Issuance of Cards. College may, in accordance with the terms of this Agreement, use the Card Issuing Station to facilitate the issuance of College Products to Affiliated Persons. All MasterCard College Products will be issued by an Issuing Bank selected by Financial Payments in its sole discretion. College agrees that it will only issue or pennit the issuance of College Cards and College Products, as applicable, to Affiliated Persons and in accordance with the terms of this Agreement, the Operating Instructions, the Policies and Applicable Law. This section applies to the Mailed Debit Card process as well as on campus issued Debit Cards.
Issuance of Cards. The Bank will issue a check card in the name of the Company and the Company employee designated on the Cardholder Application Form. A limit of four Cards may be issued per account. The authorized employee(s) must sign the Card(s) immediately upon receipt. All Cards remain the property of the Bank and must be surrendered to the Bank upon demand. The Company acknowledges that the Bank is providing such service to the Company as an accommodation party only and, except as otherwise provided by law, the Bank is not responsible in any way for the manner in which the Cards are utilized.
