Large Customers. 4.1 You agree that where your NERR Aggregate Consumption exceeds the applicable Large Customer Threshold, the Small Customer Rules will not apply to those Sites in the NERR Jurisdictions.

Large Customers. Contractor shall designate specific employee(s) to be responsible for large customers (the top 50 waste generators) in order to maintain a good working relationship with the Customer and resolve problems in a timely manner. Large customers shall be provided an itemized list of charges by address of each customer’s facilities, within 24 hours of a request.
Large Customers. Section 2.27 of the Company Disclosure Schedule sets forth the 10 largest customers or group of related customers of the Company and its Subsidiaries (the "Large Customers") for the fiscal year ended December 31, 2006. No other customer made payments which equaled or exceeded five percent (5%) of the gross sales of the Company and its Subsidiaries for the fiscal year ended December 31, 2006 or is projected to make payments which equal or exceed such percentage for the current fiscal year. None of the Large Customers has terminated, or, to the Knowledge of the Company, threatened to terminate, its relationship with the Company or has during the last twelve (12) months significantly decreased or limited, or threatened to significantly decrease or limit, its usage or purchase of the goods or services of the Company. To the Knowledge of the Company, none of the Large Customers presently intend to otherwise modify its relationship with the Company in a manner adverse to the Company (other than seeking standard price reductions), and the transactions contemplated by this Agreement will not, to the Knowledge of the Company, adversely affect the relationship of the Surviving Corporation, the business of the Surviving Corporation or Purchaser, as successor owner of the Company, with any of the Large Customers.

Large Customers. Section 3.17(a) of the Company Disclosure Letter identifies the 20 largest customers of the Company by revenue for the 9 months ended on the date of the Most Recent Company Balance Sheet (the “Large Customers”). Neither the Company nor any of its Subsidiaries has received written notice from any Large Customer indicating that any such Large Customer intends to terminate or materially diminish its purchases from the Company and its Subsidiaries. As of the date hereof, there are no material disputes pending or threatened in writing under or relating to any Contract with any Large Customer.
Large Customers. As of the Agreement Date, neither the Company nor any Company Subsidiary has any outstanding material dispute concerning the Company Products with any Large Customer. Each Large Customer is listed on Schedule 3.9(a) of the Company Disclosure Letter. From January 1, 2017, to the Agreement Date, neither the Company nor any Company Subsidiary has received any written, or, to the Knowledge of the Company, oral notice from any Large Customer to the effect that such Large Customer will not continue as a Customer of, or intends to terminate or materially modify its business relationship with the Company or any Company Subsidiary after the Closing, or that such Large Customer intends to terminate existing Contracts with the Company or any Company Subsidiary or materially reduce the amount paid to the Company or any Company Subsidiary for Company Products. From January 1, 2017, to the Agreement Date, neither the Company nor any Company Subsidiary has had Company Products returned by a Large Customer except for normal warranty returns consistent with past history.

The relationships of the Company with such suppliers and customers are good commercial working relationships and (i) no Top Supplier or Top Customer within the last twelve months has cancelled or otherwise terminated, or, to the Company’s Knowledge, intends to cancel or otherwise terminate, any relationships of such Person with the Company, (ii) no Top Supplier or Top Customer has during the last twelve months decreased materially or, to the Company’s Knowledge, threatened to stop, decrease or limit materially, or intends to modify materially its relationships with the Company or intends to stop, decrease or limit materially its products or services to the Company or its usage or purchase of the products or services of the Company, (iii) to the Company’s Knowledge, no Top Supplier or Top Customer intends to refuse to pay any amount due to the Company or seek to exercise any remedy against the Company, (iv) the Company has not since the Company Incorporation Date been engaged in any material dispute with any Top Supplier or Top Customer, and (v) to the Company’s Knowledge, the consummation of the transactions contemplated in this Agreement will not affect the relationship of the Company with any Top Supplier or Top Customer.

  • Contact with Customers and Suppliers Until the Closing Date, the Buyer shall not, and shall cause its Affiliates and direct its other Representatives not to, contact or communicate with the employees, customers, suppliers, distributors or licensors of the Acquired Entities, or any other Persons having a business relationship with the Acquired Entities, concerning the transactions contemplated hereby or any of the foregoing relationships without the prior written consent of the Seller.
