Law Governing Agreement; Consent to Jurisdiction. This Agreement shall be construed and interpreted according to the laws of the State of Illinois, excluding any choice of law rules that may direct the application of the laws of another jurisdiction. Each Party stipulates that any Dispute shall be commenced and prosecuted in its entirety in, and consents to the exclusive jurisdiction and proper venue of, either the Xxxx County Circuit Court for the State of Illinois or the United States District Court for the Northern District of Illinois, and each Party consents to personal and subject matter jurisdiction and venue in such courts and waives and relinquishes all right to attack the suitability or convenience of such venue or forum by reason of their present or future domiciles, or by any other reason. The Parties acknowledge that all directions issued by the forum court, including all injunctions and other decrees, will be binding and enforceable in all jurisdictions and countries. Each Party waives any right to trial by jury with respect to any Dispute.

This Agreement and the legal relations among the parties hereto shall be governed and construed in accordance with the substantive laws of the Commonwealth of Massachusetts, without giving effect to the principles of conflict of laws thereof. Each party hereby further irrevocably consents to the service of any complaint, summons, notice or other process relating to any such action or proceeding by delivery thereof to it or her by hand, by mail or by overnight express delivery service in the manner provided for in Section 4.01 or by serving a copy thereof on any registered agent for such party in such jurisdiction. Each party hereby expressly and irrevocably waives any claim or defense in any action or proceeding based on any alleged lack of personal jurisdiction, improper venue, forum non conveniens, or any similar basis.

This Agreement will be governed by and construed in accordance with the Laws of the State of California (without giving effect to principles of conflicts of laws) applicable to a contract to be performed in such state. Any action arising, directly or indirectly, out of or related to this Agreement shall only be brought in state or federal court in the State of California and the Parties hereby consent to personal jurisdiction over them in such court, and each Party agrees to comply with all requirements necessary to give such court jurisdiction.

The Parties hereby stipulate that any action or other legal proceeding arising under or in connection with this Agreement may only be commenced and prosecuted in its entirety in the federal or state courts located in Lincoln, Nebraska, each party hereby submitting to the personal jurisdiction thereof, and the Parties agree not to raise the objection that such courts are not a convenient forum. Process and pleadings mailed to a party at the address provided in Section 13.9 shall be deemed properly served and accepted for all purposes.
