LIABILITY POLICY ENDORSEMENTS. This liability insurance policy is endorsed, with respect to the Subject Property: (A) To name Lessor and (until at least December 22, 1996) Security Pacific Equipment Leasing, Inc. as additional insureds as their respective interests may appear ("Additional Insureds") and shall cover (i) each of the shareholders of each Additional insured, and (ii) officers, directors, employees, agents and representatives of each Additional insured (with respect to each Additional Insured, collectively, "Covered Persons"); (B) To provide that if this policy is cancelled for any reason whatsoever, or any substantial change is made in the coverage which affects the interest of the Additional Insureds and Covered Persons, or if such insurance is cancelled for nonpayment of premium or allowed to lapse, such cancellation, change or lapse shall not be effective as to the Additional Insureds and Covered Persons thirty (30) days (seven (7) days, or such shorter period as may from time to time be the longest period obtainable in the industry, in the case of war risk and allied perils coverage) after receipt by such Additional Insureds of written notice from the Company sent by certified or registered mail, return receipt requested, of such cancellation, change or lapse; (C) To provide that if the Named Insured fails to pay any premium or additional premium which shall be or become due under the terms of this policy, the Company agrees to give written notice to each Additional Insured of such nonpayment of premium and this policy shall continue in full force and effect if any one or more of the Additional Insureds when so notified in writing by the Company of the failure of the Named Insured to pay such premium, pays or causes to be paid the premium due within thirty (30) days following receipt of the Company's written notice. If no Additional Insured pays said premium or additional premium, the rights of Lessor and other Additional Insureds and Covered Persons under this Liability Endorsement may be terminated by the Company thirty (30) days after receipt of said written notice by each Additional Insured; (D) To provide that the Coverage granted under this policy shall continue in full force and effect as to the interest of each Additional Insured and Covered Person if any Additional Insured agrees to pay the premium therefor, for a period of thirty (30) days after expiration of said policy unless an acceptable policy in renewal thereof shall have been issued by an insurance comp...

(v) ADDITIONAL INSURED COVERAGE NOT AFFECTED BY INSURED'S DUTIES AFTER ACCIDENT OR LOSS endorsement. The policy must be endorsed to provide that any failure to comply with the reporting provisions of the policy shall not affect coverage to the District, its Board of Trustees, or their officials, employees, volunteers, or agents.

  • Additional Insured Endorsements An original Additional Insured Endorsement, signed by an authorized insurance company representative, must be submitted to the City of Sparks, by attachment to the Certificate of Insurance, to evidence the endorsement of the City of Sparks as additional insured.

  • Policy Cancellation Endorsement Except for ten days notice for non-payment of premium, each insurance policy shall be endorsed to specify that without thirty (30) days prior written notice to the City of Sparks, the policy shall not be cancelled, non-renewal or coverage and/or limits reduced or materially altered, and shall provide that notices required by this paragraph shall be sent by certified mailed to the address specified above. A copy of this signed endorsement must be attached to the Certificate of Insurance.

  • Certificate of Insurance/Endorsements A certificate of insurance from an insurer with a Best's rating of no less than A- indicating compliance with the required coverages has been received by State Procurement Bureau, X.X. Xxx 000000, Xxxxxx, XX 00000-0000. The certificates must name the State of Montana as certificate holder and Contractor shall provide copies of additional insured endorsements required by Contractor’s commercial general liability and automobile liability policies. Contractor must notify State immediately of any material change in insurance coverage, such as changes in limits, coverages, change in status of policy, etc. State reserves the right to require complete copies of insurance policies at all times.

  • Additional Insured Endorsement The GLO, its officers, employees, and authorized agents shall be named as additional insureds for all liability arising under this Contract except on Workers’ Compensation and Professional Liability policies. An original additional insured endorsement signed by an authorized insurance company representative must be submitted to the GLO to evidence the endorsement of the GLO as an additional insured on all policies, and the certificate(s) must reference the related GLO Contract Number.

  • R&W Insurance Policy In the event Parent or any of its Affiliates obtains a representations and warranties insurance policy in respect of the representations and warranties contained in this Agreement or in any certificate or other instrument contemplated by or delivered in connection with this Agreement (such policy, a “R&W Insurance Policy”), then (a) the payment of the premium (inclusive of commissions, surplus lines or premium taxes) and underwriting fees required by the R&W Insurance Policy to be paid (the “R&W Policy Premium”) shall be paid by Parent at or following Closing in connection with the issuance of the R&W Insurance Policy, with fifty percent (50%) of the R&W Policy Premium being borne by the Company as a Transaction Expense, and, for the avoidance of doubt, any other costs incurred or due following the Effective Time relating to the R&W Insurance Policy shall be borne solely by Parent and its Affiliates (including the Surviving Company after the Mergers); (b) such R&W Insurance Policy shall not provide for any “seller retention” (as such phrase is commonly used in the representations and warranties insurance policy industry); (c) such R&W Insurance Policy shall expressly waive any claims of subrogation, contribution, assignment, or otherwise, against the Stockholder or its Affiliates (or any direct or indirect past or present shareholder, member, partner, stockholder, employee, director or officer (or the functional equivalent of any such position) of the Stockholder or its Affiliates) (except in the case of Fraud); (d) the Stockholder shall, and shall cause the Company to, use commercially reasonable efforts to cooperate with Parent and its Affiliates and provide assistance as reasonably required to obtain such R&W Insurance Policy prior to Closing and (e) the subrogation waiver described in clause (c) of this Section 6.10 may not be amended or otherwise modified in any manner adverse to the Stockholder or any of the other persons listed in clause (c) of this Section 6.10, without Stockholder’s prior written consent (which consent may be withheld in its sole discretion).

  • Other Insurance Policies No action, inaction or event has occurred and no state of facts exists or has existed that has resulted or will result in the exclusion from, denial of, or defense to coverage under any applicable special hazard insurance policy, PMI Policy or bankruptcy bond, irrespective of the cause of such failure of coverage. In connection with the placement of any such insurance, no commission, fee, or other compensation has been or will be received by Seller or by any officer, director, or employee of Seller or any designee of Seller or any corporation in which Seller or any officer, director, or employee had a financial interest at the time of placement of such insurance.
