Rights Retained. The Employer retains all rights to manage, direct and control its operations in all particulars, subject to the provisions of law, personnel regulations and the provisions of this Agreement, to the extent that they are applicable. These rights shall include but not be limited to: 2.1.1. Directing and supervising employees; 2.1.2. Appointing, promoting, transferring, assigning, demoting, suspending, and discharging employees; 2.1.3. Laying off unnecessary employees due to lack of work, for budgetary reasons or for other like considerations; 2.1.4. Maintaining the efficiency of governmental operations; 2.1.5. Determining the means, methods and personnel by which such operations are to be conducted; 2.1.6. Taking whatever actions may be necessary to carry out the mission of the department in situations of emergency, the determination of such situations to be the prerogative of the Employer.

Rights Retained. Subject to the provisions of Section 1 hereof, all proprietary rights (including, but not limited to, patent rights, copyrights and/or trade secrets) in and to the Confidential Information shall remain the property of Disclosing Party.
Rights Retained. Except as specifically abridged, delegated, granted or modified by this Agreement, all of the rights, powers and authority of the Employer existing prior to the signing of this Agreement are retained by the Employer and remain exclusively and without limitation within the rights of management.
Rights Retained. The City reserves all rights with respect to matters of general legislative, managerial and financial policy including, among others: the exclusive right to determine the mission of its constituent departments, commissions and boards; set standards and the levels of service; determine the procedure and standards of selection for employment; direct and schedule its employees; establish and enforce performance standards; take disciplinary action; relieve its employees of duties because of lack of work or for other legitimate reasons; maintain the efficiency of government operations; determine the methods, means and personnel by which governmental operations are to be conducted; require overtime; take all necessary actions to carry out its mission in emergencies; and exercise complete control and discretion over its organization and technology of performing its work. These rights shall be limited only as specified in the Agreement. Nothing in this Article shall be construed to limit, amend, decrease, revoke or otherwise modify the rights vested in the City by and law regulating, authorizing or empowering the City to act or refrain from acting.
Rights Retained. Notwithstanding anything in this Agreement to the contrary, Xxxx expressly reserves his right to take action against the Company to preserve his rights under this Agreement in the event of a breach thereof by the Company, subject to Section 7 below.

(c) The right to provide a foreground music service by Recorded Media (as hereinafter defined) under the "YESCO(R)" name and trademark to existing dealers of the "YESCO(R)" Foreground Music Service and their customers pursuant to existing contractual obligations or agreements with such dealers; provided, however, that Muzak shall not authorize such dealers to distribute any of the Services or use the Proprietary Marks within the Territory.
Rights Retained. The parties agree the City retains all rights not specifically delegated by this Agreement, including, but not limited to, the exclusive right to: (a) Determine the mission of the City; (b) Set standards of service; (c) Determine the procedures and standards of selection for employment and promotion; (d) Direct its employees, take disciplinary action for proper cause; (e) Relieve its employees from duty because of lack of work; (f) Maintain the efficiency of City operations; (g) Determine the methods, means, and personnel by which City operations are to be conducted; (h) Determine the content of job classifications; and (i) Take all necessary actions to carry out its mission in emergencies and exercise control and discretion over its organizations and the technology of performing its work.

Rights Retained. Allist retains its rights for any and all purposes in the Retained Territory to Exploit any Allist IP, including to research, develop, make, have made, use, sell, have sold, offer for sale, import, export and license products and processes in the Retained Territory.
