License to Licensed Software. Subject to your compliance with all terms and conditions set forth in these terms, BFSFCU hereby grants to you, the end user, a personal, limited, non-commercial, non-transferable, non-sub-licensable, non-assignable, revocable license to use one (1) copy of the Licensed Software, in object code form (“Licensed Software”), solely on the mobile device(s) for which that Licensed Software was created, for the sole purpose of personally using the BFSFCU Digital Banking services (“Service”). We are offering you the Licensed Software through one or more companies that we have engaged to render some or all of the Service to you on our behalf (“Service Providers”). Except for those rights expressly granted under these terms, BFSFCU and its Service Providers reserve all right, title, and interest in and to the Licensed Software, and no other rights are granted, either express or implied, to you. You acknowledge and agree that the Service Providers and their affiliates are intended third-party beneficiaries of these terms, and that, upon your acceptance of these terms, such Service Providers and their affiliates will have the right (and will be deemed to have accepted the right) to enforce these terms against you. If you download the Licensed Software from a commercially accessible application exchange (e.g., the Apple App Store®; Google PlayTM store, etc.) BFSFCU and you acknowledge that these terms are entered into solely between you and BFSFCU, and not with any third party. These terms are not intended to provide for usage rules for the Licensed Software that are less restrictive than the Usage Rules set forth for Licensed Applications in, or otherwise conflict with, the application exchange’s Terms of Service as of the date that you accept the application exchange’s Terms of Service (which you acknowledge you have had the opportunity to review). You also acknowledge and agree that: in the event of any third party claim that your possession or use of the Licensed Software or Service infringes any third party’s intellectual property rights, as between BFSFCU and the operator of the application exchange (e.g., Apple, Android, etc.), BFSFCU will be solely responsible for the investigation, defense, settlement and discharge of any such intellectual property infringement claim; the operator of the application exchange has no responsibility for addressing any claims relating to the Licensed Software or Service, including but not limited to: (i) product liability claims;...

License to Licensed Software. (a) Subject at all times to the limitations, prohibitions and restrictions set forth herein or in an applicable Order, including without limitation the payment of Fees (as defined below), Company hereby grants you a worldwide, royalty-free, non-assignable, non-sublicensable and non-exclusive license to use the Licensed Software and the Documentation related thereto for the purposes set forth in the Order. For clarity, the foregoing license is granted to you solely to enable you to use Licensed Software in a manner consistent with this XXXX. Under no circumstances are you allowed to sell, trade or resell the Licensed Software in any way or for any purpose, including without limitation any use in any application service provider environment, service bureau, or time-sharing arrangements. For purposes hereof, “Documentation” means documentation, user manuals, handbooks and other materials describing the use, design, installation, operation and maintenance of the Licensed Software solely to the extent made available by Company.
License to Licensed Software. Subject to the terms and conditions set forth in this Agreement, Bold Technologies hereby grants to Customer a perpetual, non-transferable, nonexclusive, limited license to use the software identified in Exhibit A (“Licensed Software”). If Customer has a current Software Maintenance Agreement in place with Bold Technologies and all currently due payments under such agreement have been paid, the Licensed Software shall also include Upgrades, if and when available. Customer may not transfer or sublicense the Licensed Software to any third party, in whole or in part, in any form, whether modified or unmodified.
License to Licensed Software. Subject to the terms and conditions of this Agreement, including but not limited to receipt of all applicable fees by Material, Material hereby grants to Licensee, and Licensee hereby accepts from Material, a limited, non-exclusive, non-transferable, non-assignable and non-sublicenseable license to use the Licensed Software, in a manner consistent with the limitations set forth in this Agreement, in connection with the Authorized Units during the Authorized Period.

  • Licensed Software Computer program(s) provided by Contractor in connection with the Deliverables, subject to Section 14 of this Contract.

  • Licensed Materials The materials that are the subject of this Agreement are set forth in Appendix A ("Licensed Materials").

  • Licensed Technology (a) LICENSOR is not aware of any interference, infringement, misappropriation, or other conflict with any intellectual property rights of third parties, and LICENSOR has never received any charge, complaint, claim, demand, or notice alleging any such interference, infringement, misappropriation, or violation (including any claim that LICENSOR must license or refrain from using any intellectual property rights of any third party). To the knowledge of LICENSOR, no third party has interfered with, infringed upon, misappropriated, or otherwise come into conflict with any of the LICENSED TECHNOLOGY. (b) Exhibit A identifies each patent or registration which has been issued to LICENSOR with respect to any of the LICENSED TECHNOLOGY and identifies each pending patent application or application for registration which LICENSOR has made with respect to any of the LICENSED TECHNOLOGY. LICENSEE acknowledges that LICENSOR has previously made available to LICENSEE correct and complete copies of all such patents, registrations and applications (as amended to-date) in LICENSOR’s possession and has made available to LICENSEE correct and complete copies of all other written documentation in LICENSOR’s possession evidencing ownership and prosecution (if applicable) of each such item. (c) Exhibit A identifies each item of LICENSED TECHNOLOGY that is assigned to LICENSOR or that LICENSOR uses pursuant to license, sublicense, agreement, or permission. LICENSOR has made available to LICENSEE correct and complete copies of all such licenses, sublicenses, agreements, patent prosecution files and permissions (as amended to-date) in LICENSOR’s possession. With respect to each item of LICENSED TECHNOLOGY required to be identified in Exhibit A and to the knowledge of LICENSOR: (i) the license, sublicense, agreement, or permission covering the item is legal, valid, binding, enforceable, and in full force and effect; (ii) the license, sublicense, agreement, or permission will continue to be legal, valid, binding, enforceable, and in full force and effect on identical terms following the consummation of the transactions contemplated hereby; (iii) no Party to the license, sublicense, agreement, or permission is in breach or default, and no event has occurred which with notice or lapse of time would constitute a breach or default or permit termination, modification, or acceleration thereunder; (iv) no party to the license, sublicense, agreement, or permission has repudiated any provision thereof; (v) the underlying item of LICENSED TECHNOLOGY is not subject to any outstanding lien or encumbrance, injunction, judgment, order, decree, ruling, or charge; (vi) no action, suit, proceeding, hearing, investigation, charge, complaint, claim, or demand is pending or is threatened which challenges the legality, validity, or enforceability of the underlying item of LICENSED TECHNOLOGY; and (vii) except as provided in Exhibit A, LICENSOR has not granted any license or similar right to the LICENSED TECHNOLOGY within the GENERAL FIELD or PARTHENOGENESIS FIELD.

  • Software License The SOFTWARE is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The SOFTWARE is licensed, not sold.

  • SOFTWARE LICENSE GRANT Where Product is acquired on a licensed basis the following shall constitute the license grant:

  • Software License Terms (a) Software that is made available by a Provider to Recipient in connection with any Service (any such Software being referred to herein as “TSA-Licensed Software”) provided hereunder will be subject to the terms set forth in this Section 3.5 except as otherwise provided in the applicable Service Schedule. The Provider hereby grants to the Recipient a non-exclusive, non-transferable license to use, in object code form, any TSA-Licensed Software that is made available by the Provider pursuant to a Service Schedule. For the avoidance of doubt, the Provider that makes available any TSA-Licensed Software in connection with the provision of any Service retains the unrestricted right to enhance or otherwise modify such TSA-Licensed Software at any time, provided that such enhancements or other modifications do not disrupt the provision of such Service to the Recipient. (b) The Recipient may not exceed the number of licenses, agents, tiers, nodes, seats, or other use restrictions or authorizations, if any, specified in the applicable Service Schedule. Some TSA-Licensed Software may require license keys or contain other technical protection measures. The Recipient acknowledges that the Provider may monitor the Recipient’s compliance with use restrictions and authorizations remotely, or otherwise. If the Provider makes a license management program available which records and reports license usage information, the Recipient agrees to appropriately install, configure and execute such license management program. (c) Unless otherwise permitted by the Provider, the Recipient may only make copies or adaptations of the TSA-Licensed Software for archival purposes or when copying or adaptation is an essential step in the authorized use of TSA-Licensed Software. If the Recipient makes a copy for backup purposes and installs such copy on a backup device, the Recipient may not operate such backup installation of the TSA-Licensed Software without paying an additional license fee, except in cases where the original device becomes inoperable. If a copy is activated on a backup device in response to failure of the original device, the use on the backup device must be discontinued when the original or replacement device becomes operable. The Recipient may not copy the TSA-Licensed Software onto or otherwise use or make it available on, to, or through any public or external distributed network. Licenses that allow use over the Recipient’s intranet require restricted access by authorized users only. (d) The Recipient must reproduce all copyright notices that appear in or on the TSA-Licensed Software (including documentation) on all permitted copies or adaptations. Copies of documentation are limited to internal use. (e) Notwithstanding anything to the contrary herein, certain TSA-Licensed Software may be licensed under the applicable Service Schedule for use only on a computer system owned, controlled, or operated by or solely on behalf of the Recipient and may be further identified by the Provider by the combination of a unique number and a specific system type (“Designated System”) and such license will terminate in the event of a change in either the system number or system type, an unauthorized relocation, or if the Designated System ceases to be within the possession or control of the Recipient. (f) The Recipient will not modify, reverse engineer, disassemble, decrypt, decompile, or make derivative works of the TSA-Licensed Software. Where the Recipient has other rights mandated under statute, the Recipient will provide the Provider with reasonably detailed information regarding any intended modifications, reverse engineering, disassembly, decryption, or decompilation and the purposes therefor. (g) The Recipient may permit a consultant or subcontractor to use TSA-Licensed Software at the licensed location for the sole purpose of providing services to the Recipient. (h) Upon expiration or termination of the Service Schedule under which TSA-Licensed Software is made available, the Recipient will destroy the TSA-Licensed Software. The Recipient will remove and destroy or return to the Provider any copies of the TSA-Licensed Software that are merged into adaptations, except for individual pieces of data in the Recipient’s database. The Recipient will provide certification of the destruction of TSA-Licensed Software, and copies thereof, to the Provider. The Recipient may retain one copy of the TSA-Licensed Software subsequent to expiration or termination solely for archival purposes. (i) The Recipient may not sublicense, assign, transfer, rent, or lease the TSA-Licensed Software to any other person except as permitted in this Section 3.5. (j) The Recipient agrees that the Provider may engage a third party designated by the Provider and approved by the Recipient (such approval not to be unreasonably withheld) to audit the Recipient’s compliance with the Software License terms. Any such audit will be at the Provider’s expense, require reasonable notice, and will be performed during normal business hours. Such third party will be required to execute a non-disclosure agreement that restricts such third party from disclosing confidential information of the Recipient to the Provider, except to the extent required to report on the extent to which the Recipient is not in compliance with the Software License terms.

  • Antivirus software All workstations, laptops and other systems that process and/or store PHI COUNTY discloses to CONTRACTOR or CONTRACTOR creates, receives, maintains, or transmits on behalf of COUNTY must have installed and actively use comprehensive anti-virus software solution with automatic updates scheduled at least daily.

  • Developer License We grant you a non-assignable, non-sublicensable, non-exclusive, worldwide right and license for the number of Developer(s) indicated in the Order Form to install the Software on any number of Machines in order to internally use the Software to create, develop and test Applications. For clarity, a single Software license may be re-allocated to another Developer in the event that the original Developer is no longer employed by you or has been assigned to a new role where access to the Software will no longer be required on a permanent basis.
