Licensee’s Conduct. Licensee agrees (i) to maintain the Licensed Area in good condition and promptly repair all damage to the License Area caused by Licensee and (ii) not to unreasonably disrupt, adversely affect or interfere with Licensor’s use of the Land or any building on it.

Licensee’s Conduct. Licensee agrees to keep the Room in good condition and promptly repair all damage to the Premises or the Building caused by Licensee, and not to disrupt, adversely affect or interfere with other occupants of the Building.
Licensee’s Conduct. Licensee agrees that it shall not directly or indirectly seek to frustrate the purposes for which SCCMLS has granted rights to it under this Agreement, including by acting in contravention of the restrictions imposed on Licensee or on any SCCMLS Subscriber by SCCMLS hereunder, or otherwise, or by acting in a manner that does not reflect favorably in the marketplace on SCCMLS, its products or services. This includes, by way of example only, providing any SCCMLS Subscriber (or its customers) with access to or use of the real estate Listings of another SCCMLS Subscriber without prior consent or authorization from the appropriate Responsible Broker. SCCMLS Access to the VOW: Participant shall at all times make Participant’s VOW readily accessible to SCCMLS and to all SCCMLS Participants for purposes of verifying compliance with the Rules.
Licensee’s Conduct. The Licensee must use the venue only for the purpose of the Event. The Licensee must disclose full and complete details of the nature of the Event and the proposed use of the Venue, and when requested by Council, provide a report/s setting out such details of the Event as requested by the Council. Engagement of any contractor or sub-contractor to undertake work at the Venue relating to the event must be notified to Council.
Licensee’s Conduct. The Licensee, its employees, contractors and agents must project a professional demeanor and image throughout the duration of the Licence period and conduct themselves in a manner appropriate for a family show. Any inappropriate behavior which brings or could potentially bring the RAS into disrepute will be subject to disciplinary action by the RAS at its sole discretion, cause an Event of Default and place the Licensee’s future dealings with the RAS in jeopardy.

By signing this agreement, the Designated Broker (and Agent if applicable), shall be responsible for making sure the website adheres to all relevant federal, state and local laws and regulations, including but not limited to, the regulations of the Arizona Department of Real Estate and the Federal Fair Housing Act. Any Consultant(s) contracted to maintain the Broker’s or Agent’s website must sign the “Website Consultant Agreement” and submit it with this agreement. Information: SCCMLS listing data that appears on a website shall not be modified and may not contain any more or less information than is contained in the approved downloadable fields list. Listing Agent and Listing Office name must be displayed on all listings. Listing Agent and Listing office must be displayed in the same font and same size as the rest of the required information in the required fields. Following data information shall not be downloadable:

  • Business Conduct Merger Sub was formed on December 3, 2020. Since its inception, Merger Sub has not engaged in any activity, other than such actions in connection with (a) its organization and (b) the preparation, negotiation and execution of this Agreement and the Transactions. Merger Sub has no operations, has not generated any revenues and has no liabilities other than those incurred in connection with the foregoing and in association with the Merger as provided in this Agreement.

  • User Conduct You agree not to use Mobile Banking or the content or information delivered through Mobile Banking in any way that would: (a) infringe any third-party copyright, patent, trademark, trade secret or other proprietary rights or rights of privacy, including any rights in the Software; (b) be fraudulent or involve the sale of counterfeit or stolen items, including, but not limited to, use of Mobile Banking to impersonate another person or entity; (c) violate any law, statute, ordinance or regulation (including, but not limited to, those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising); (d) be false, misleading or inaccurate; (e) create liability for us or our affiliates or service providers, or cause us to lose (in whole or in part) the services of any of our service providers; (f) be defamatory, trade libelous, unlawfully threatening or unlawfully harassing; (g) potentially be perceived as illegal, offensive or objectionable; (h) interfere with or disrupt computer networks connected to Mobile Banking; (i) interfere with or disrupt the use of Mobile Banking by any other user; or (j) use Mobile Banking in such a manner as to gain unauthorized entry or access to the computer systems of others.

  • Employee Conduct Employee covenants, warrants and represents that during the period of Employee’s employment with the Company, Employee shall at all times comply with the Company’s written policy as in effect from time to time on the acceptance of gifts and gratuities from customers, vendors, suppliers, or other persons doing business with the Company.
