Licenses Upon Expiration. In the event that the Agreement expires as set forth in Section 4.1 above without early termination, the License shall automatically become, at EyeTech's election made at least 90 days prior to such expiration, either (i) an exclusive, irrevocable, royalty-bearing license, subject to the surviving provisions of the Agreement, to use and/or sublicense the use of Know How to make, have made, use, import, have imported, offer for sale, sell, and have sold Product(s) in the Field in the Territory as it exists at the time of such expiration, subject to payment by EyeTech to Gilead of a royalty equal to [**] percent ([**]%) of Net Sales of Products made pursuant to the license under this Section 4.2(i) after the expiration of this Agreement, or (ii) a non-exclusive, irrevocable, royalty-free, paid-up license, subject to the surviving provisions of this Agreement, to use and/or sublicense the use of Know How to make, have made, use, import, have imported, offer for sale, sell, and have sold Product(s) in the Field in the Territory as it exists at the time of such expiration.
Licenses Upon Expiration. Upon expiration of this Agreement pursuant to Section 15.1 of this Agreement with respect to a country in the Territory, Licensee will have a non-exclusive, fully paid, perpetual, royalty-free right and license under the Licensed Technology to develop, make, have made, use, offer to sell, sell, and import Products in such country.
Licenses Upon Expiration. Upon expiration of this Agreement pursuant to Section 14.1: (a) the licenses granted to Xcel in Section 7.1 are fully paid, perpetual and irrevocable, subject to the provisions of Section 5.4 relating to payment of a royalty for use of the Product Trademarks; and (b) the licenses granted to POZEN in Section 7.3 are fully paid, perpetual and irrevocable.
Licenses Upon Expiration. In the event that the Agreement expires as set forth in Section 11.1, the licenses granted under Section 4.3 shall automatically become irrevocable, fully paid licenses to use, and/or sublicense the use of the Licensed Know-How, to research, develop, make, have made, use, sell, offer for sale, import and otherwise commercialize the Licensed Products worldwide.
Licenses Upon Expiration. In the event that the Agreement expires as set forth in Section 7.1 above without early termination by USGN for a material breach by Kidde as provided in Section 7.3 or upon the filing by or against Kidde of a bankruptcy event as provided in Section 7.4, the license granted under Section 2.1 shall automatically become a non-exclusive, irrevocable, perpetual, fully-paid license to use and/or sublicense the use of USGN Know-How to manufacture, use and sell Products in each country where such license had previously been in effect. In the event one or more channels or markets are eliminated from the scope of the Kidde license pursuant to Section 5.6, the license to Kidde in this Section 7.2 shall not apply to such channels or markets.
Licenses Upon Expiration. Upon expiration (but not upon earlier termination) of this PD-1 License Agreement in the Territory (or any country(ies) therein), the licenses granted under Section 4.1.1 and Section 4.1.2 shall, with respect to the Territory (or such country(ies)), become worldwide, non-exclusive, fully paid-up, royalty-free, sublicensable (through multiple tiers), irrevocable and non-terminable.
Licenses Upon Expiration. Upon the expiration (but not termination) of this Agreement, in its entirety, or with respect to any given country(ies), Licensee’s license under Section 2.1.1 shall survive and become a [*CONFIDENTIAL*], exclusive license not requiring any [*CONFIDENTIAL*] under this Agreement.
Licenses Upon Expiration. InterMune's licenses pursuant to Sections 2.2, 2.3 and 2.4 shall, upon expiration of this Agreement as provided in Section 13.1 shall automatically convert to being irrevocable and fully paid. Sections 3.1, 3.6, 4.1, 4.2, 4.3, 4.5, 4.6, and 4.8 shall survive expiration of this Agreement.
Licenses Upon Expiration. In the event that the Agreement expires as set forth in Section 9.1 above without early termination, the license granted under Section 2.1 with respect to the Gilead Patents and Gilead Know-How shall automatically become a non-exclusive, irrevocable, fully-paid license to use and/or sublicense the use of Gilead Know-How to manufacture, use and sell Products in each country where such license had previously been in effect. In the event one or more countries are eliminated from the [ ] CONFIDENTIAL TREATMENT REQUESTED 22. scope of the Roche license pursuant to Section 4.2 or 9.6, the license to Roche in this Section 9.2 shall not apply to such countries.
Licenses Upon Expiration. Upon expiration of this Agreement pursuant to Section 13.1 of this Agreement with respect to a country in the Territory, Licensee's rights in the Licensed Technology shall become irrevocable and Licensee shall have no further obligation to Licensor with respect to such Licensed Technology.
