Licensor Requirements. In addition to the requirements set forth in this Mortgage, Debtor, in its ownership, use, occupancy and maintenance of the Mortgaged Property shall comply in all material respects with all requirements of its license agreement with Licensor. Debtor hereby consents to Mortgagee providing information it obtains to Licensor and to Mortgagee obtaining from Licensor information which Licensor receives relating to Debtor's operation of its business on the Premises.

Licensor Requirements. Limitations imposed by a third party licensor such as 1. Territory for manufacturing. 2. Limitations on quality control/regulatory activities as regards Earlier Stage Producer. 3. Limitations on information from Earlier Stage Producer. The following information shall be included concerning each Formulation, dosage form, dosage level and packaged stock keeping unit (SKU) covered by the Request for Bid. Additional information and requirements not inconsistent with this Agreement may be included at the discretion of the Partnership. A. Packaging Information 1. Packaging specifications for the Packaging Manufacturing Stage, including without limitation the following: (a) A narrative description for each product strength, size and finish and each quantity (per unit) and quantity per standard lot size. (b) A brief summary of the manufacturing procedure. (c) Manufacturing method (including in-process testing) describing in detail step-by-step the manufacturing procedure. (d) Product specifications (tentative). (e) Yield loss allowance, expressed as a decimal fraction. (f) Packaging design and configuration specifications. (g) Packaging material specifications. 2. Comments and descriptions regarding specific manufacturing and testing equipment - if any. 3. Testing Methods (a) Finished product (b) Finished Dosage Form 4. Safety, health and environmental issues information on any special safeguards to be used in production. Includes information such as toxicity data for eye contact, skin contact, inhalation and ingestion, dust explosion data and reactivity data. Special environmental considerations. 1. Quality assurance standards to be adhered to by the bidder, including inspection, audits, tests to be performed by the bidder and related documentation to be provided by the bidder. 2. Documentation to be maintained concerning quality control and related matters.

  • Contractor Requirements The Firm shall be construed, during the entire term of this contract, to be an independent contractor. Nothing in this contract is intended to nor shall be construed to create an employer- employee relationship, or a joint venture relationship. The Firm represents that it is qualified to perform the duties to be performed under this contract and that it has, or will secure, if needed, at its own expense, applicable personnel who are qualified to perform the duties required under this contract. Such personnel shall not be deemed in any way, directly or indirectly, expressly or by implication, to be employees of the District. Any person assigned by the firm to perform the services hereunder shall be the employee or a subcontractor of the Firm, who shall have the sole right to hire and discharge its employee or subcontractors. The Firm or its subcontractors shall pay, when due, all salaries and wages of their employees and accepts exclusive responsibility for the payment of federal income tax, social security, unemployment compensation and any other withholdings that may be required. Neither the Firm, its subcontractors nor their employees are entitled to state retirement or leave benefits. It is further understood that the consideration expressed herein constitutes full and complete compensation for all services and performance hereunder, and that any sum due and payable to the Firm shall be paid as a gross sum with no withholdings or deductions being made by the District for any purpose from said contract sum, except as permitted in paragraphs 16, 17 and 18.

  • Customer Requirements Customer will be required to maintain complex passwords for their User accounts where applicable. For any such passwords LightEdge will provide a secure URL that any User can access to change passwords. All User passwords are set to a ninety (90) day password expiration schedule by default. LightEdge is not responsible for unexpected use of Services whether by ex-employees, compromised User passwords or any other misuse of Customer accounts. Customer shall be responsible for all costs incurred by such unexpected use of Service. Customer shall be fully responsible for providing to LightEdge at Customer’s own expense and in a timely manner the following: - All security for its Services and systems used or accessible in connection with Service; - Cooperative testing of all Customer-provided hardware, software, and Services for compatibility with Service; - Designating an Authorized Contact(s) to be the point of contact to interface with LightEdge Technical Support; - All cabling necessary to support Service; and - Physical and remote management access to any and all Servers onto which Service is installed.

  • Subcontractor Requirements The Supplier must ensure that any subcontract entered into for the purpose of this Agreement contains an equivalent clause granting the rights specified in this clause.

  • License Requirements The Hotel’s alcoholic beverage license requires that the Hotel shall: (i) request proper identification (photo ID) of any person of questionable age and refuse alcoholic beverage service if the person is either under age or proper identification cannot be produced, and (ii) refuse alcoholic beverage service to any person who, in the Hotel’s judgment, appears to be intoxicated; and (iii) instruct its personnel to avoid encouraging patrons to consume alcoholic beverages (commonly referred to as “over-pouring”).

  • Sublicense Requirements Any Sublicense: (A) is subject to this Agreement; (B) will reflect that any sublicensee will not further sublicense; (C) will prohibit sublicensee from paying royalties to an escrow or other similar account; (D) will expressly include the provisions of Sections 8, 9, and 10 for the benefit of Stanford; and (E) will include the provisions of Section 4.4 and require the transfer of all the sublicensee’s obligations to *****, including the payment of royalties specified in the Sublicense, to Stanford or its designee, if this Agreement is terminated. If the sublicensee is a spin-out from *****, ***** must guarantee the sublicensee’s performance with respect to the payment of Stanford’s share of Sublicense royalties.
