Licensor’s Approval. Licensee shall not affix or install any furnishing, equipment, displays, stands, decorations or signs in the conduct of its business at the Licensed Area without, in each instance, first obtaining Licensor’s prior consent, which consent may be withheld for any reason in Licensor’s sole and absolute discretion.

Licensor’s Approval. Prior to installing the Dish, Licensee shall submit to Licensor plans and specifications for the installation of the Dish prepared by a licensed engineer reasonably satisfactory to Licensor (the “Plans”). The Plans shall be consistent with the Specifications and shall show the location of the Dish on the Roof, the location and type of all cabling, the way the Dish will be placed on the Roof and any other information requested by Licensor, in Licensor’s sole discretion. Licensor shall have the right to require that the Dish not be visible from any location on the ground and/or that the Dish be screened in a manner satisfactory to Licensor, in Licensor’s sole discretion. Licensor shall have the right to employ an engineer or other consultant to review the Plans and the reasonable cost of such engineer or consultant shall be paid by Licensee to Licensor within ten (10) days after demand. Licensor may approve or reject all or part of the Plans, in Licensor’ reasonable discretion. After Licensor has approved the Plans and prior to installing the Dish and any cabling, Licensee shall obtain and provide to Licensor: (a) all required governmental and quasi-governmental permits, licenses, special zoning variances and authorizations, all of which Licensee shall obtain at its own cost and expense; and (b) a policy or certificate of insurance evidencing such insurance coverage as may be required by Licensor as hereinafter provided. Any alteration or modification of the Dish or any associated cabling after the Plans have been approved shall require Licensor’s prior written approval, which may be given or withheld in Licensor’s sole discretion.
Licensor’s Approval. Licensee will submit to Licensor all information with respect to the Construction which Licensor, reasonably, deems material to a determination of whether the Construction will meet or has met the Construction Requirements in all material respects. Upon receipt of such information, Licensor will review it with all deliberate speed and advise Licensee as to any changes in the Construction reasonably needed to meet the Construction Requirements, in all material respects.
Licensor’s Approval. Licensor will have prior approval on an on-going basis of all significant aspects of the exploitation of the Cinematic Rights throughout the Territory, including the initial release campaign, distribution policy, exhibition contract terms, minimum and maximum print order, the total amount and specific items of the advertising and publicity budget, the advertising and marketing campaign, the release dates, the release pattern, the theaters in key cities, marketing strategy, short subject allocations, and any modifications or amendments to them. Distributor will timely submit each item to Licensor for Licensor's prior approval.

Licensor’s Approval. In addition, prior to any application of the ------------------- Licensed Marks to any of Licensee's related marketing materials (as permitted under this Agreement), Licensee will provide any samples of such marketing materials (including web site designs) to Licensor for final review and approval, such approval to be not unreasonably withheld or delayed. Marketing material which uses any of the Licensed Marks or which refers to Licensor or any parent or other affiliate of Licensor will conform to the Use Specifications, as amended from time to time on prior written notice to Licensee. All such Licensee-initiated marketing material is expressly subject to prepublication review and approval not to be unreasonably withheld or delayed with respect to, but not limited to, content, style, appearance, composition, timing, and media. One copy of all such marketing material will be provided to Licensor at least thirty (30) days prior to anticipated publication. The parties acknowledge and agree, however, that Licensee will not be required to seek the prior approval of Licensor in connection with the day-to-day operation of the Licensee web sites, and changes thereto, provided that the operations of the web sites at all times substantially comply with the then-current Use Specifications and any other relevant policies or designs pre-approved by Licensee pursuant to this Agreement.

  • Regulatory Approval 25.1 The Parties understand and agree that this Agreement and any amendment or modification hereto will be filed with the Commission for approval in accordance with Section 252 of the Act and may thereafter be filed with the FCC. The Parties believe in good faith and agree that the services to be provided under this Agreement are in the public interest. Each Party covenants and agrees to fully support approval of this Agreement by the Commission or the FCC under Section 252 of the Act without modification.
