Marketing Campaign. FASL will, on an annual basis, develop a global marketing plan for Products, in consultation with AMD and Fujitsu (each, a “Marketing Plan”). Each Party will be responsible for performing the obligations under each Marketing Plan which such Party has agreed to in writing, and shall bear all costs and expenses it has agreed in writing to bear in connection therewith. Marketing Campaign. DGBI shall conduct a survey of Client's niche market, analyze the results and devise a strategy for broadcasting and target marketing Client as a company and a product. It is understood and agreed that this process may involve certain outside parties, including those who conduct surveys, publish demographic information or otherwise assist DGBI in providing services that are not inherently part of DGBI operations.
Marketing Campaign. Seller will be responsible for all costs associated with development, production, printing and mailing and distribution of marketing material and any associated media costs. In addition to direct mail, the Seller will be responsible for outreach to organizations such as trade associations, Xxxxxxxx of Commerce and local publications.
Marketing Campaign. The offering relating to an Underwritten Offering Registration shall be underwritten. The Company shall cooperate with Xx. Xxxx and the underwriter or underwriters for such offering in developing and conducting an organized marketing campaign and "road show" (the "Marketing Campaign") relating to such Underwritten Offering Registration. The Marketing Campaign shall be of such intensity and duration, and have such other features as are deemed appropriate, taking into account the market value of the Registrable Securities to be offered, by the Underwriter's Representative. The Company will make available its officers, accountants, counsel, premises, books and records for the purpose of developing the Marketing Campaign.
Marketing Campaign. Following identification and clarification of the corporate position and strategy, DB, in cooperation with TMF, shall devise a strategy for broadcasting and target marketing Parmula as a company and a product. It is understood and agreed that this process may involve certain outside parties, including those who conduct surveys, publish demographic information or otherwise assist DB in providing services that are not inherently part of DB operations.
Marketing Campaign. Promptly after the date hereof, the Company and ------------------ ____ will discuss a marketing campaign to publicize the services of the Company and Consumer Financial Network, Inc., a subsidiary of the Company (the "Marketing Campaign"). If, upon the culmination of such discussions, the Company, in its sole discretion, approves the Marketing Campaign proposed by ____ for general use, the Company will issue to ____ warrants (the "Warrants") to purchase _______ shares of the Class A Common Stock of the Company (the "Common Stock"), par value $.0l per share (the "Warrant Shares").
Marketing Campaign. (1) Licensee, at its expense, shall provide the necessary personnel to, and shall use its reasonable best efforts to, market and promote the Event.
(2) All advertisements for the Event shall be developed by Licensee (including, but not limited to, all advertising publicity material, promotions material, press releases, posters, flyers and handbills) and shall be produced at the sole cost and expense of Licensee.
(3) Licensee shall make mention of the name “Xxxxxxxxxxx Eye Centers Arena” as the site of the Event in connection with any advertising or promotion thereof. All promotional materials shall contain the standard “Xxxxxxxxxxx Eye Centers Arena” logo positioned full width across the bottom.
(4) All advertisements for the Event presented pursuant to the provisions of this Agreement (including but not limited to, all advertising, publicity material, promotions material, press releases, posters, flyers, handbills and radio and television commercials) shall be submitted by Licensee to Licensor for its prior approval before use.
(5) If Licensee seeks the assistance of Licensor with respect to group sales for the Event, Licensee shall pay Licensor a ten percent (10.0%) commission for all group sales tickets sold by Licensor's Group Sales Department, plus approved expenses. Said commission shall be calculated upon the gross ticket price less applicable sales or amusement taxes.
(6) Licensee acknowledges and agrees that, notwithstanding any marketing or other related assistance which may be provided to Licensee by Licensor (although Licensor is not obligated to provide same), Licensor has made no and disclaims any purported or actual representation or warranty as to the results or success which can be expected from the Event, including without limitation, ticket sales or the profitability of the Event, and thus Licensee acknowledges and agrees that Licensor shall in no way be responsible for the actual results from or success of the Event.

Each Party will be responsible for performing the obligations under each Marketing Plan which such Party has agreed to in writing, and FSL shall bear all costs and expenses it has agreed in writing to bear in connection therewith. Spansion will update each Marketing Plan on an as-needed basis. Spansion will apportion its global marketing expenditures across all geographic territories, including the FSL Territory, as it reasonably determines is appropriate, taking into consideration AM Product sales opportunities. Spansion agrees to use commercially reasonable efforts to consider FSL’s input as Spansion creates and updates the Marketing Plan. The campaign will include professionally conducted market research examining San Mateo County’s demographics, housing stock, and market trends. To build effective messaging and communication strategies, focus groups will be conducted to help identify local values and attitudes about home sharing. The final campaign will incorporate carefully targeted media strategies for TV, radio, internet ads, public service announcements, and social media.
