LIMITED PROFESSIONAL SERVICES WARRANTY. ServiceNow warrants that the Professional Services will be performed in a competent and workmanlike manner, in accordance with accepted industry standards and practices and all material requirements set forth in the SOW or Service Description. Customer will notify ServiceNow of any breach within 30 days after performance of the non-conforming Professional Services. On receipt of such notice, ServiceNow, at its option, will either use commercially reasonable efforts to re-perform the Professional Services in conformance with these warranty requirements or will terminate the affected Professional Services, whereupon Customer may submit to Reseller a claim for a refund of any any amounts paid for the nonconforming Professional Services. This Section 5.2 sets forth Customer’s exclusive rights and remedies (and ServiceNow’s sole liability) in connection with this warranty.

LIMITED PROFESSIONAL SERVICES WARRANTY. Viewpoint warrants that it will provide the Professional Services in a professional and workmanlike manner and to standards not less than those generally accepted in the industry. In the event that any Professional Services do not meet this warranty, Customer must notify Viewpoint within 10 days of delivery of the nonconforming Professional Services and provide Viewpoint with sufficient detail to allow Viewpoint to identify the non-conforming Professional Services. As Customer’s sole and exclusive remedy for any breach of this warranty, and as Viewpoint’s entire liability in contract, tort, or otherwise with respect to such warranty, Viewpoint will re-perform the Professional Services that do not meet this limited warranty.
LIMITED PROFESSIONAL SERVICES WARRANTY. ServiceNow warrants that the Professional Services will be performed in a competent and workmanlike manner in accordance with accepted industry standards and practices and all material requirements set forth in the Service Description or SOW, as applicable. Customer’s exclusive remedy for breach of this warranty is to notify ServiceNow in writing of the breach within forty-five (45) days after performance of the non-conforming Professional Services. Upon receipt of such notice, ServiceNow, at its option, shall either use commercially reasonable efforts to re-perform the Professional Services in conformance with these warranty requirements or shall terminate the affected Professional Services and refund to Customer any amounts paid for the affected Professional Services not performed. This Section 4.2 sets forth Customer’s exclusive rights and remedies (and ServiceNow’s sole liability) in connection with the performance of Professional Services.
LIMITED PROFESSIONAL SERVICES WARRANTY. 12.1. BSA warrants that its Professional Services will be performed in a professional and workmanlike manner, consistent with industry standards. In the event of a breach of the foregoing warranty and a claim in accordance with the breach, BSA’s sole obligation and Customer’s exclusive remedy with respect to such claim will be to have BSA reperform the portion of the Professional Services with respect to which the warranty has been breached, to bring it into compliance with such warranty. Any claim for breach of the foregoing warranty must be made by notice to BSA within thirty (30) days of performance of the portion of the Professional Services with respect to which the claim is made or said claim shall be deemed waived.

This Section 6.2 sets forth Customer’s exclusive rights and remedies (and Kensu’s sole liability) in connection with this warranty.
LIMITED PROFESSIONAL SERVICES WARRANTY. Vocera warrants that it will perform the Services in a timely, commercially reasonable and workmanlike manner, materially conforming to any additional representations concerning the Services to which Xxxxxx has agreed in writing and subject to Vocera’s published policies applicable to the Services. This limited warranty extends only to the original recipient of the Services. The original recipient of the Services must provide written notice to Vocera that any the Services are not as warranted no later than 30 days after completion of the applicable Services, or the right to assert such claim will be deemed waived. As the sole and exclusive remedy, the defective Services will be reperformed to the extent they are capable of being reperformed and to the extent necessary to cure such breach.

In the event of a breach of the foregoing warranty and a claim in accordance with the next sentence, BSA’s sole obligation and Customer’s exclusive remedy with respect to such claim will be to have BSA re-perform the portion of the Professional Services with respect to which the warranty has been breached, to bring it into compliance with such warranty. Upon receipt of such notice, FATSTACKS, at its option, shall either use commercially reasonable efforts to re-perform the Professional Services in conformance with these warranty requirements or shall terminate the affected Professional Services, in which case Customer may submit to FATSTACKS a claim for a refund of any amounts paid for the nonconforming Professional Services. THIS SECTION 4.2 SETS FORTH CUSTOMER’S EXCLUSIVE RIGHTS AND REMEDIES (AND FATSTACKS’S SOLE LIABILITY) IN CONNECTION WITH THIS WARRANTY.
