Lively. Each Lively Interest (as defined in Section 1.1(b)) that is issued and outstanding immediately prior to the Effective Time will, effective upon the Effective Time, be transferred to Flextronics or such subsidiaries of Flextronics as may be designated by Flextronics by the holder thereof in exchange for (subject to Sections 1.1(c) and 1.2), (a) at the Effective Time, that number of fully paid and nonassessable Flextronics Ordinary Shares obtained by multiplying each such Lively Interest by the Lively Exchange Ratio (as defined in Section 1.1(b)), and (b) on the Release Date, that number of fully paid and nonassessable Flextronics Ordinary Shares obtained by multiplying each Lively Interest by the Lively Hold-Back Exchange Ratio (as defined in Section 1.1(b)).

Lively. Provided the procedures in Sections 15.2(c) and 15.2(e) are followed, Flextronics shall reduce the number of Lively Hold-Back Shares issuable to the Lively Members by a number equal to the amount of Damages, if any, set forth in any Notice of Claim, divided by the Closing Price to the extent that the amount of such Damages does not exceed the number of Lively Hold-Back Shares available for such reduction (after giving effect to any previous reduction thereto) multiplied by the Closing Price. In the event of any Claim which the Representative shall, on the Release Date, be disputing pursuant to Section 15.2(c), Flextronics may reduce the number of Lively Hold-Back Shares to be issued to the Lively Members on the Release Date by the Estimated Claim Amount with respect thereto. Upon resolution of such dispute Flextronics will issue to the Lively Members the number of Lively Hold-Back Shares, if any, that the Lively Members would have been entitled to had such dispute been resolved prior to the Release Date, but which were not issued to the Lively Members on the Release Date as a result of the preceding sentence. To the extent the amount of any Damages for which an Indemnified Person is entitled to indemnification pursuant to Section 15.2 exceeds the number of remaining Lively Hold-Back Shares available for reduction therefor multiplied by the Closing Price, no additional Lively Hold-Back Shares will be allotted and issued and such Indemnified Person shall be entitled to indemnification as to such excess in cash pursuant to Section 15.2, including the limitations set forth therein. All indemnification obligations of the Lively Members under this Section 15 shall be allocated proportionately among the Lively Members pro rata based on the gross consideration payable to each Lively Member under Section 1.1.

  • Clothing Employees after 152 hours employment with the Company will be supplied with: i) Two sets of shorts, overalls or trousers and shirts, or any combination of clothing as agreed between the employees and the Company which shall be replaced on a fair wear and tear basis; ii) Safety boots will be provided on commencement of employment and replaced on a fair wear and tear basis. iii) A jumper, or in the case of employees engaged upon construction work, a bluey jacket, which shall be replaced on a fair wear and tear basis. iv) Where ever possible ‘Australian Made’ protective clothing will be issued.

  • Protective Clothing and Equipment The Employer shall provide and pay for all protective devices, clothing and other equipment necessary to properly protect employees from injury and unhealthy conditions. The Employer shall make provisions for the proper cleaning and maintenance of all safety equipment, devices and clothing at no cost to the employees.

  • CLOTHING AND EQUIPMENT (a) Employees required by the Employer to wear uniforms will be supplied with an adequate number of uniforms appropriate to the occupation free of cost to Employees. Such items are to remain the property of the Employer and be laundered and maintained by such Employer free of cost to the Employee. (b) Instead of the provision of such uniforms, the Employer may, by agreement with the Employee, pay such Employee a uniform allowance at the rate set out in Item 1 of Table 5. This rate is expressed as per shift or part thereof, or as a weekly rate – an Employee is to be paid whichever is the lesser amount. (c) Where an Employee’s uniforms are not laundered by or at the expense of the Employer, the Employee will be paid a laundry allowance. For Aged Care, Health Professionals and Home Care Employees this will be paid at the rate set out in Item 2 of Table 5. This allowance is also expressed as a payment per shift of part thereof of as a weekly payment – an Employee is to be paid whichever is the lesser amount. For Nursing Employees this will be paid at the rate set out in Item 3 of Table 5. (d) The uniform allowance, but not the laundry allowance, will be paid during all absences on paid leave, except absences on long service leave and absence on personal/carer’s leave beyond 21 days. Where, prior to the taking of leave, an Employee was paid a uniform allowance other than at the weekly rate, the rate to be paid during absence on leave will be the average of the allowance paid during the four weeks immediately preceding the taking of leave. (e) Where an Employer requires an Employee to wear rubber gloves, special clothing or where safety equipment is required for the work performed by an Employee, the Employer must reimburse the Employee for the cost of purchasing such special clothing or safety equipment, except where such clothing or equipment is provided by the Employer.

  • WORK CLOTHING Two sets of cotton drill protective clothing will be issued to all employees, upon request, within two weeks of commencing work with the Company.   • SKILLED TRADES The Company agrees that maintenance employees are engaged to perform wholly maintenance duties, however, they may perform production duties until the set up or repair has been completed. Also, production employees may catty our minor adjustments and repairs. The Company will establish a tool allowance over the lifetime of this agreement of ($210.00 per contract year) to be used as a credit for the purchase of tools deemed necessary or as required by the Company by all Maintenance Men, Maintenance Machinists and Stationary Engineers In the event an employee eligible for a tool allowance terminates their and has exceeded their allowance of per contract year, then such excess will be withheld from their final earnings.   • The Executive This Agreement is personal to the Executive and, without the prior express written consent of the Company, shall not be assignable by the Executive, except that the Executive’s rights to receive any compensation or benefits under this Agreement may be transferred or disposed of pursuant to testamentary disposition, intestate succession or pursuant to a domestic relations order.   • Hospice Individuals whose permanent residence and principal work location are outside the State of Minnesota and outside of the service areas of the health plans participating in Advantage. If these individuals use the plan administrator’s national preferred provider organization in their area, services will be covered at Benefit Level Two.
