Local Services. (1) The PHO will Provide the Local Services described in the schedule to this Part, in accordance with this Agreement.

Local Services. 3.9.1 In addition to the Interconnection Service, the Parties agree that, due to the integration of certain control schemes, revenue metering applications, and communication networks, it is desirable to provide each other with the services set forth in Sections 3.10 and 3.11 ("Local Services") at no cost. The Parties shall use their best efforts to ensure that such Local Services are available at all times in the manner specified herein. Notwithstanding the foregoing, either Party, upon notice to the other, may change the Local Services it provides, provided that there is no cost to the receiving Party and the quality, reliability and integrity of the replacement Local Services are equivalent to the then existing services. If service could be interrupted as a result of the change, the Party proposing to make the change shall give ten working days prior written notice of the change to the other Party. Neither Party shall terminate its Local Services without the other Party's written consent or without at least twelve months' prior written notification; provided, however, if either Party no longer needs or desires a particular Local Service, such Party shall notify the other Party and the Party providing the Local Service shall terminate such service as soon thereafter as practicable.
Local Services. Local Dell will provide to the Service Recipients in the European Union identified in Schedule 1.1(a) to the Master Services Agreement the Designated Services described in Statement of Work No. 1 to this Local Country Agreement, in accordance with the applicable provisions of the Agreement. For the purposes of this Local Country Agreement, the definition of “Designated Services” (as set out in Section 2.1 of the Agreement) shall be amended to exclude Sub-sections 2.1(1) and (2). Local Dell will also timely perform or cause to be performed the obligations of Dell specified in the Agreement with respect to such Designated Services.

The Revenue Share for Local Services during any billing cycle shall be the greater of (a) 15% of the gross revenue collected from Member Territory customers with respect to Local Services provided to customers during that billing cycle, and (b) 10% of the gross revenue collected from Member Territory customers with respect to Local Services provided to customers during that billing cycle, plus an additional 1% of such gross revenue collected for every two percentage points by which the Local Markets Penetration Rate (as calculated below) exceeds 40%, up to an aggregate maximum percentage of total gross collected revenue of 20%. The Revenue Share for any billing cycle shall be based on the Local Markets Penetration Rate for such billing cycle. The Local Markets Penetration Rate shall be calculated by dividing the number of Option C Territory residential customers in the relevant DMA purchasing Local Services in accordance with the provisions of the Agreement (or the agreement of such other Option C Member(s), as applicable) by the total number of Option C Territory residential customers in the relevant DMA for whom Local Services are available (calculated by averaging the beginning and billing cycle-end applicable residential customer counts). Member shall be authorized to sell the Local Services only at those prices, and in those a la carte and package configurations (if any), as are offered by DIRECTV in DIRECTV territory and confirmed in writing to Member (directly or though NRTC as master servicer) by DIRECTV. The gross revenue collected with respect to the Local Services shall be calculated based upon the price of the Local Services for the particular service offering selected by each individual customer, or, in the case of an authorized package that contains the Local Services as well as other services, the DIRECTV authorized incremental price of the Local Services offering that is contained in such combined package.
