Localizations. To the extent Reseller desires to localize the Products and Licensor concurs, Licensor will cooperate with Reseller in the adaptation of the Products for use in areas within the non English speaking portions of the Territory, including but not limited to translating Product documentation into any language of the Territory (collectively, "Localizations").

Localizations. 10.1 All manufacture and other localization obligations shall be borne by Majesco. Save as otherwise agreed in writing between the parties, Majesco shall deliver localized Units for the Titles for distribution in English, French, German, Spanish and Italian. Localization for any additional languages is to be discussed between Majesco and Eidos, and carried out upon mutual agreement.
Localizations. 14.1 Sagent shall have the obligation (at its expense) to provide software localization/local language documentation whenever necessary based on Sagent's English language documentation. Distributor shall (at its expense) provide local language marketing and promotional materials based on the English sales collateral used by Sagent which Sagent shall provide. Distributor shall also have the right (at its expense) to provide such localization/documentation and materials. All such materials shall meet Sagent's published quality standards.
Localizations. Atari shall (at its cost) translate all text and audio dialogue appearing in the Title (including, without limitation, user instructions related to the Title, screen text and fonts, and audio tracks if applicable) into the Localization languages specified in Exhibit C. Licensor shall supply to Atari all reference, instruction and other associated materials, in document and computer readable formats, necessary to allow Atari perform such translations (the “Localization Kit”). Such Localizations shall be integrated into the Title by Licensor for potential Royalties only and without any additional advances or other fees. The creation of any translation into Localization languages not specified in Exhibit C shall be performed by Atari (at its cost), provided that Licensor shall integrate any such additional Localizations into the Title, and Atari shall not contract with third parties for any such integration services, provided that, with respect to Eastern European language Localizations only, Atari shall have the right at its sole option to contract with third parties to perform such translation and/or integration services in lieu of Licensor (the “Independent Localizations”). In connection with the Independent Localizations, Licensor shall provide Atari with all Source Materials necessary for such third party/ies to integrate and/or recompile the applicable translations in order to create such Eastern European-language Localizations (the “Integration Kit”).
Localizations. Distributor will make such changes to Company Products, ------------- at Distributor's expense, as are required by the laws of the Territory or as Company and Distributor agree in writing are appropriate to adapt Company Products for use in the Territory, including but not limited to translating Company Product documentation into the language of the Territory (collectively, "Localizations"), and shall package Company Products in accordance with ------------- Company's instructions. At a minimum, Distributor shall translate the Company end user license and evaluation agreements into the language of the Territory. Distributor will submit all Localizations to Company for Company's prior review and approval. If Company notifies Distributor that any Localization is inaccurate in any material respect, Distributor will correct such Localization prior to further publishing or distributing it. Distributor hereby assigns to Company all its right, title and interest in all such translated and modified materials, including but not limited to all related copyrights and moral rights.

Localizations. The Cloud Service can only be used with the localizations supported by the Cloud Service. The Cloud Service will be issued 'per localization'.
Localizations. If we make available a version of the Services in a language other than English, you will use commercially reasonable efforts to review the localization for accuracy and quality. You will promptly notify us of any translation error, including, but not limited to, misuse of idioms and misspellings. If you create localizations of any provided materials, you agree to use commercially reasonable efforts to minimize translation errors, including, but not limited to, misuse of idioms and misspellings. Notwithstanding anything to the contrary in this Agreement, we provide any translated Services on an “as is” basis with no warranties of any kind. We shall have no liability related to or arising from any localization of materials.

Related to Localizations

  • Programming (a) Pursuant to Section 624 of the Cable Act, the Licensee shall maintain the mix, quality and broad categories of Programming set forth in Exhibit 4, attached hereto and made a part hereof. Pursuant to applicable federal law, all Programming decisions, including the Programming listed in Exhibit 4, attached hereto, shall be at the sole discretion of the Licensee.

The descriptions of the results of such studies and tests that are described or referred to in the Registration Statement, the Pricing Disclosure Package and the Prospectus are accurate and complete in all material respects and fairly present the published data derived from such studies and tests, and each of the Company and its subsidiaries has no knowledge of other studies or tests the results of which are materially inconsistent with or otherwise call into question the results described or referred to in the Registration Statement, the Pricing Disclosure Package and the Prospectus. Except as described in the Registration Statement, the Pricing Disclosure Package and the Prospectus, neither the Company nor its subsidiaries has received any notices or other correspondence from the FDA or any other foreign, federal, state or local governmental or regulatory authority performing functions similar to those performed by the FDA with respect to any ongoing clinical or pre-clinical studies or tests requiring the termination or suspension of such studies or tests. For the avoidance of doubt, the Company makes no representation or warranty that the results of any studies, tests or preclinical or clinical trials conducted by or on behalf of the Company will be sufficient to obtain governmental approval from the FDA or any foreign, state or local governmental body exercising comparable authority.

  • Regulatory Applications (a) Sky and SBI and their respective Subsidiaries shall cooperate and use their respective reasonable best efforts to prepare, within 45 days of the execution of this Agreement, all documentation and requests for regulatory approval, to timely effect all filings and to obtain all permits, consents, approvals and authorizations of all third parties and Governmental Authorities and Regulatory Authorities necessary to consummate the transactions contemplated by this Agreement. Each of Sky and SBI shall have the right to review in advance, and to the extent practicable each will consult with the other, in each case subject to applicable laws relating to the exchange of information, with respect to, and shall be provided in advance so as to reasonably exercise its right to review in advance, all material written information submitted to any third party or any Governmental Authority or Regulatory Authority in connection with the transactions contemplated by this Agreement. In exercising the foregoing right, each of the parties hereto agrees to act reasonably and as promptly as practicable. Each party hereto agrees that it will consult with the other party hereto with respect to the obtaining of all material permits, consents, approvals and authorizations of all third parties and Governmental Authorities or Regulatory Authorities necessary or advisable to consummate the transactions contemplated by this Agreement and each party will keep the other party apprised of the status of material matters relating to completion of the transactions contemplated hereby.

  • Promotions The anniversary date of a promoted employee is determined as for a new employee in Subsection 5.3.A above.

  • Regulatory Examinations The Sub-Advisor will cooperate promptly and fully with the Advisor and/or the Trust in responding to any regulatory or compliance examinations or inspections (including information requests) relating to the Trust, the Fund or the Advisor brought by any governmental or regulatory authorities having appropriate jurisdiction (including, but not limited to, the SEC).

  • Site Visits and Inspections; Regulatory Examinations During the term of this Agreement, authorized representatives of the Fund may conduct periodic site visits of the Transfer Agent’s facilities and inspect the Transfer Agent’s records and procedures solely as they pertain to the Transfer Agent’s services for the Fund under or pursuant to this Agreement. Such inspections shall be conducted at the Fund’s expense (which shall include costs related to providing materials, copying, faxing, retrieving stored materials, and similar expenses) and shall occur during the Transfer Agent’s regular business hours and, except as otherwise agreed to by the parties, no more frequently than twice a year. In connection with such site visit and/or inspection, the Fund shall not attempt to access, nor will it review, the records of any other clients of the Transfer Agent and the Fund shall conduct the visit/inspection in a manner that will not interfere with the Transfer Agent’s normal and customary conduct of its business activities, including the provision of services to the Fund and to other clients. The Transfer Agent shall have the right to immediately require the removal of any Fund representatives from its premises in the event that their actions, in the reasonable opinion of the Transfer Agent, jeopardize the information security of its systems and/or other client data or otherwise are disruptive to the business of the Transfer Agent. The Transfer Agent may require any persons seeking access to its facilities to provide reasonable evidence of their authority. The Transfer Agent may also reasonably require any of the Fund’s representatives to execute a confidentiality agreement before granting such individuals access to its facilities. The Transfer Agent will also provide reasonable access to the Fund’s governmental regulators, at the Fund’s expense, solely to (i) the Fund’s records held by the Transfer Agent and (ii) the procedures of the Transfer Agent directly related to its provision of services to the Fund under the Agreement.

  • Publications All published material and written reports submitted under the Contract must be originally developed material unless otherwise specifically provided in the Contract. When material not originally developed is included in a report in any form, the source shall be identified.
