M ODIFICATIONS. Any modification to this Annex shall be executed, in writing, and signed by an authorized representative of NASA and the Partner. Modification of an Annex does not modify the terms of the Umbrella Agreement.

Buyer acknowledges that these are the only terms and conditions of sale and are intended by the Parties as a complete and exclusive statement of the terms of their agreement, and supersedes all prior agreements, written or oral. No course of prior dealings between the Parties and no usage of the trade shall be relevant to supplement or explain any term. Acceptance of acquiescence in a course of performance rendered shall not be relevant to determine the meaning of any agreement with Seller, even though the accepting or acquiescing party has knowledge of the nature of the performance and opportunity for objection. Whenever a term defined by the Uniform Commercial Code (the “Code”) is used herein, the definition contained in the Code shall control. Any variation from the terms hereof contained in Buyer’s acceptance is hereby rejected. The Agreement of which these terms are a part can be modified or rescinded only by a writing signed by both Parties or their duly authorized agents.
M ODIFICATIONS. This Agreement may only be modified in a writing executed by both Parties.

The Client agrees to notify the Intertek Contracting Office of any request to change its scope of certification, or of any alterations, modifications or changes it makes to its system(s)/program(s) which could affect the certification. Such changes may include modification to its legal, commercial or organizational status, to its key managerial staff, and to significant changes to policies, processes, premises, personnel, equipment, facilities, working environment or other resources. In addition, the Client agrees to provide Intertek with applicable documents, policies, procedures, manuals, and other information as Intertek may request in order to ascertain how the changes will affect the certified status of the Client's system(s)/program(s). Intertek shall be entitled to re-audit all or any portion of the Client's system(s)/program(s) if it determines that such is Document #: F101-6-ITA Release Date: 27-APR-2018 Page 5 of 7 necessary or appropriate in order to ensure that the Client's system(s)/program(s) still conforms to the applicable Standard(s).
M ODIFICATIONS. Any modification to this Agreement shall be made in writing and signed by both parties.

Customer agrees that DataCamp may modify this DPA at any time provided DataCamp may only modify the SCCs (i) to incorporate any new version of the SCCs (or similar model clauses) that may be adopted under GDPR or (ii) to comply with applicable law, applicable regulation, a court order or guidance issued by a governmental regulator or agency. If DataCamp makes any material modifications to this DPA, DataCamp shall provide Customer with at least ten (10) days’ notice (or such shorter period as may be required to comply with applicable law, applicable regulation, a court order or guidance issued by a governmental regulator or agency) before the change will take effect by either: (a) sending an email to the Admin; or (b) alerting Customer via the Services. If Customer reasonably objects to any such change, Customer may terminate the Agreement and this DPA by giving written notice to DataCamp within ten (10) days of notice from DataCamp of the change.
