The Management Consultation clause establishes a process for the parties to confer and seek advice or input from management representatives regarding specific issues or decisions arising under the agreement. Typically, this clause outlines when and how such consultations should occur, such as requiring meetings between designated managers before escalating disputes or making significant changes. Its core practical function is to facilitate communication and problem-solving at the management level, helping to resolve issues efficiently and prevent misunderstandings or conflicts from escalating.
Management Consultation. Subject to applicable Law and the other provisions of this Agreement, during the Pre-Effective Date Period, Vista, the Pescios and Newco will consult with each other on an ongoing basis in order to ensure that Newco is prepared to take over and run its business after the completion of the transactions contemplated hereby.

a. Outlining the types of issues and problems which need to be addressed;
b. Coaching management/supervisor on how to recognize issues that may be reducing an employee’s productivity;
c. Explaining how to make a timely and tactful informal referral;
d. Giving special information on recognizing signs of substance abuse and the potential for workplace violence;
e. Assisting with mediation between manager/supervisor and employee when required or requested; and
f. Instructing manager/supervisor on how to contact Vendor management for consultation and referral.
Management Consultation. Any dispute which cannot be resolved in a timely manner by the mutual agreement of the Authorized Contract Representatives of Astrotech and Sea Launch will first be submitted in writing, by either the Astrotech or Sea Launch Authorized Contract Representative, to the President or equivalent Senior Official of Sea Launch and the President of Astrotech for resolution, who shall enter into good faith negotiations to resolve the dispute and issue a joint written decision within thirty (30) days. In the event any controversy or claim submitted for joint resolution hereunder is not jointly resolved within thirty (30) days from the date after such submittal, either party shall have the right to seek relief by arbitration.
Management Consultation. The rights of the Sponsors under Sections 3.4(a) and 3.4(b) of the Shareholders' Agreement to designate candidates for Representative Director, replacement Representative Director and Chief Financial Officer, when exercised by the Sponsors, shall be exercised only after consultation with TVG Asian Communications Fund II, L.P., which shall be an express third party beneficiary of this Letter Agreement.

g. instructing manager/supervisor on how to contact Vendor management for consultation and referral.
