Manuals and Plans. Throughout the period of Project implementation, the Recipient, through MOHFW, shall: carry out, and cause each Project Executing Agency to carry out, the Project in accordance with the provisions of the PIP, EMP, GAAP, VCP and this Agreement; and except as the Association shall otherwise agree, not waive, amend or abrogate the PIP, EMP, GAAP and VCP.
Manuals and Plans. The final operations and maintenance (O&M) manuals and all Final Plans have been delivered to the Owner.
Manuals and Plans. 1. Throughout the period of Project implementation, the Recipient, through MoLE, shall: (a) maintain the PIP, the Financial Management Manual, the Procurement Manual, the Equity Assurance Plan and the Environment Management Framework and implement the same in a manner satisfactory to the Association; (b) carry out, and cause each Project Executing Agency to carry out, the Project in accordance with the provisions of the PIP, the Financial Management Manual, the Procurement Manual, the Equity Assurance Plan and the Environment Management Framework and this Agreement; (c) refrain, and cause each Project Executing Agency to refrain, from taking any action which shall prevent or interfere with the implementation of the PIP, the Financial Management Manual, the Procurement Manual, the Equity Assurance Plan and the Environment Management Framework; and (d) except as the Association shall otherwise agree, not waive, amend or abrogate the PIP, the Financial Management Manual, the Procurement Manual, the Equity Assurance Plan and the Environment Management Framework. 2. The Recipient, through MoLE, shall: (a) carry out the Project in accordance with the provisions of the Disclosure Management Framework; (b) implement the Disclosure Management Framework in accordance with the objectives, policies, procedures, time schedules and other provisions set forth therein, and in such a manner as to protect the interests of the Recipient and the Association and to accomplish the purposes of the Financing; (c) refrain from taking any action which shall prevent or interfere with the implementation of the Disclosure Management Framework; (d) except as the Association shall otherwise agree, not waive, amend or abrogate the Disclosure Management Framework or any provision thereof; and (e) bi-annually provide written reports to the Association on the progress achieved in the implementation of the Disclosure Management Framework. Such report shall be provided by April 30 and October 31 of each Fiscal Year.

Throughout the duration of the Project, the Recipient shall: (a) apply the SSA Framework for Implementation and the Manual on Financial Management and Procurement; and (b) promptly inform the Association of any amendment, waiver or abrogation of any provision of the SSA Framework for Implementation or any provision of the Manual on Financial Management and Procurement. 1.02. Throughout the duration of the Project, the Recipient shall, and shall cause the Project States and the SISs to: (a) carry out the Project in accordance with the SSA Framework for Implementation; (b) implement the Manual on Financial Management and Procurement in accordance with the objectives, policies, procedures, time schedules and other provision set forth therein; and (c) refrain from taking any action which shall prevent or interfere with the implementation of the SSA Framework for Implementation, the Manual on Financial Management and Procurement.

  • SAFETY PRECAUTIONS AND PROGRAMS The Contractor shall be responsible for initiating, maintaining and supervising all safety precautions and programs in connection with the Work.

  • Construction Plans Tenant shall prepare final plans and specifications for the Tenant Improvements that (a) are consistent with and are logical evolutions of the Approved Schematic Plans and (b) incorporate any other Tenant-requested (and Landlord-approved) Changes (as defined below). As soon as such final plans and specifications ("Construction Plans") are completed, Tenant shall deliver the same to Landlord for Landlord's approval, which approval shall not be unreasonably withheld, conditioned or delayed. All such Construction Plans shall be submitted by Tenant to Landlord in electronic .pdf, CADD and full-size hard copy formats, and shall be approved or disapproved by Landlord within ten (10) business days after delivery to Landlord. Landlord's failure to respond within such ten (10) business day period shall be deemed approval by Landlord. If the Construction Plans are disapproved by Landlord, then Landlord shall notify Tenant in writing of its objections to such Construction Plans, and the parties shall confer and negotiate in good faith to reach agreement on the Construction Plans. Promptly after the Construction Plans are approved by Landlord and Tenant, two (2) copies of such Construction Plans shall be initialed and dated by Landlord and Tenant, and Tenant shall promptly submit such Construction Plans to all appropriate Governmental Authorities for approval. The Construction Plans so approved, and all change orders approved (to the extent required) by Landlord, are referred to herein as the "Approved Plans."

  • As-Built Plans Within thirty (30) days after completion of Tenant’s Changes requiring the submission of plans to Landlord, Tenant shall furnish to Landlord a complete set of “as-built” plans and specifications.

  • Health and Welfare Plans (a) A copy of the master contracts with the carriers for the extended health care, dental and group life plans shall be sent to the President of the Union. (b) The Employer will consult the Union before developing any pamphlet explaining the highlights of the plans for distribution to employees. The cost of such a pamphlet shall be borne by the Employer.

  • True and Complete Disclosure (a) None of the written factual information and written data (taken as a whole) heretofore or contemporaneously furnished by or on behalf of Holdings, the Borrower, any of the other Restricted Subsidiaries or any of their respective authorized representatives to the Administrative Agent, any Joint Lead Arranger, and/or any Lender on or before the Closing Date (including all such written information and data contained in (i) the Confidential Information Memorandum (as updated prior to the Closing Date and including all information incorporated by reference therein) and (ii) the Credit Documents) for purposes of or in connection with this Agreement or any transaction contemplated herein contained any untrue statement of any material fact or omitted to state any material fact necessary to make such information and data (taken as a whole) not materially misleading at such time in light of the circumstances under which such information or data was furnished (after giving effect to all supplements and updates), it being understood and agreed that for purposes of this Section 8.8(a), such factual information and data shall not include pro forma financial information, projections, estimates (including financial estimates, forecasts, and other forward-looking information) or other forward looking information and information of a general economic or general industry nature. (b) The projections (including financial estimates, forecasts, and other forward-looking information) contained in the information and data referred to in paragraph (a) above were based on good faith estimates and assumptions believed by such Persons to be reasonable at the time made, it being recognized by the Lenders that such projections as to future events are not to be viewed as facts and that actual results during the period or periods covered by any such projections may differ from the projected results and such differences may be material.

  • Performance of Services in Accordance with Regulatory Requirements; Furnishing of Books and Records In performing the services set forth in this Agreement, the Manager: A. shall conform with the 1940 Act and all rules and regulations thereunder, with all other applicable federal, state and foreign laws and regulations, with any applicable procedures adopted by the Trust’s Board of Trustees, and with the provisions of the Trust’s Registration Statement filed on Form N-1A as supplemented or amended from time to time; B. will make available to the Trust, promptly upon request, any of the Fund’s books and records as are maintained under this Agreement, and will furnish to regulatory authorities having the requisite authority any such books and records and any information or reports in connection with the Manager’s services under this Agreement that may be requested in order to ascertain whether the operations of the Trust are being conducted in a manner consistent with applicable laws and regulations.

  • Compliance with Laws and Material Contracts Each Borrower will comply, and cause each Subsidiary to comply, with the requirements of all applicable Laws and Material Contracts, except to the extent that failure to so comply could not reasonably be expected to (a) have a Material Adverse Effect, or (b) result in any Lien upon either (i) a material portion of the assets of any such Person in favor of any Governmental Authority, or (ii) any Collateral which is part of the Borrowing Base.

  • Pension and Welfare Plans During the twelve-consecutive-month period prior to the Closing Date and prior to the date of any Credit Extension hereunder, no steps have been taken to terminate any Pension Plan, and no contribution failure has occurred with respect to any Pension Plan sufficient to give rise to a Lien under Section 302(f) of ERISA. No condition exists or event or transaction has occurred with respect to any Pension Plan which might reasonably be expected to result in the incurrence by the Borrowers or any member of the Controlled Group of any material liability, fine or penalty. Except as disclosed in Item 6.11 of the Disclosure Schedule, neither any Borrower nor any member of the Controlled Group has any contingent liability with respect to any post-retirement benefit under a Welfare Plan, other than liability for continuation coverage described in Part 6 of Title I of ERISA.

  • Information True and Correct All information heretofore or hereafter furnished by or on behalf of the Collateral Manager in writing to the Borrower, any Lender, any Agent, the Paying Agent or the Facility Agent in connection with this Agreement or any transaction contemplated hereby is and will be true and complete in all material respects and does not omit to state a material fact necessary to make the statements contained therein not misleading;

  • Health and Welfare Benefit Plans During the Employment Period, Executive and Executive’s immediate family shall be entitled to participate in such health and welfare benefit plans as the Employer shall maintain from time to time for the benefit of senior executive officers of the Employer and their families, on the terms and subject to the conditions set forth in such plan. Nothing in this Section shall limit the Employer’s right to change or modify or terminate any benefit plan or program as it sees fit from time to time in the normal course of business so long as it does so for all senior executives of the Employer.
