Material Payments. .1 The Contractor shall pay the Subcontractor at the rate of 100 percent of the scheduled value for materials incorporated into the Project.
.2 The Contractor shall pay the Subcontractor at the rate of 92 percent of the invoice cost, not to exceed the scheduled value in a Unit Price or lump sum Subcontract, for materials delivered to the Site, or other off- site storage location approved by the A/E, provided the Subcontractor provides the information required by Sections 9.6.2.1 and 9.6.2.2 with its request for payment.
Material Payments. 9.2.13.1 The Owner shall pay the CM at the rate of 100 percent of the scheduled value for materials incorporated into the Project.
9.2.13.2 The Owner shall pay the CM at the rate of 92 percent of the invoice cost, not to exceed the scheduled value, for materials delivered to the Site, or other off-site storage location approved by the A/E, provided the CM provides the following information with the CM Payment Request:
.1 a list of the fabricated materials consigned to the Project, giving the place of storage, together with copies of invoices verifying quantity and cost, written evidence of insurance covering the off-site stored materials; and
.2 a certification of materials stored off-site, prepared by the CM and signed by the A/E to evidence that the materials are in conformity with the Specifications and have been tagged with the Project name and number for delivery to the Project. The CM shall directly reimburse the A/E for all costs incurred to visit a storage site, other than the areas adjacent to the Project.
Material Payments. Any material payments are made in respect of prepetition obligations of any Debtor Loan Party other than (i) to the extent permitted by the Interim Financing Order (or the Final Financing Order, when applicable), (ii) any “first day order” or “second day order” entered by the Bankruptcy Court that is in form and substance reasonably satisfactory to the Required Lenders, or (iii) as otherwise permitted by Section 7.14; or
Material Payments. When the Design-Builder requests payment for materials stored at the site, the conditions of storage shall be acceptable to the Owner.
a. The Design-Builder shall provide satisfactory evidence of the value of materials stored, which may include copies of actual invoices.
b. No payment shall be made for materials not stored at the site.

.2 The DB shall pay the Subcontractor at the rate of 92 percent of the invoice cost, not to exceed the scheduled value in a Unit Price or lump sum Subcontract, for materials delivered to the Site, or other off- site storage location approved by the Contracting Authority, provided the Subcontractor provides the information required by Sections 9.2.12.2.1 and 9.2.12.2.2 with its request for payment.

9.6.2.1 a list of the fabricated materials consigned to the Project, giving the place of storage, together with copies of invoices, in order to verify quantity and cost; and
9.6.2.2 a certification of materials stored off-site, prepared by the Contractor and signed by the A/E to evidence that the materials are in conformity with the Specifications and have been tagged with the Project name and number for delivery to the Project. The Contractor shall directly reimburse the A/E for all costs incurred to visit a storage site, other than the areas adjacent to the Project.
9.6.2.3 The Owner shall pay the balance of the scheduled value when the materials are incorporated into and become a part of the Project.
9.6.3 When payment is allowed for materials delivered to the Site or other approved off-site storage location but not yet incorporated into the Project, the materials are the property of the Owner.
9.6.3.1 The Owner may, at its sole discretion, retain any material not ultimately incorporated into the Project or return it to the Contractor for credit of an amount proportionate to the value of the extra materials.
Material Payments. The Borrower shall not, nor shall it suffer or permit any other Company to, make any material payments to any shareholder, Affiliate or executive, other than commercially reasonable salaries and employment bonuses that are consistent with past company practices, without the prior written approval of the Agent, with the consent of the Majority Lenders, which approval shall not be unreasonably withheld.
