Mechanic's Lien Releases. No payment will be made to Contractor until Contractor has furnished mechanics' lien releases that comply with the requirements of the California Civil Code and signed by Subcontractors, sub-subcontractors, material suppliers, and others that have performed Work on or furnished equipment or materials to the job. This provision only applies to Subcontractors or material suppliers that have provided 20 day preliminary notices to the Owner, Lender and Contractor. The Owner shall provide to Contractor a copy of any 20 day preliminary notices that the Owner or its agents have received.

Mechanic's Lien Releases. Contractor, for itself and the Subcontractors and anyone else acting through or under it, covenants and agrees that no mechanics' or materialmen's liens or claims shall be filed or maintained by it, them or any of them, for or on account of any work to be done or materials furnished under the Contract Documents. This Section 13.15.1 is a separate and independent covenant of Contractor and shall be operative and effective with respect to work or labor done and materials furnished under any supplemental contract or contracts for extra or different work, although the covenant might not be referred to therein, as well as to work and labor to be done or materials to be furnished under the Contract Documents. This undertaking shall be further implemented by the execution and delivery by Contractor to Owner of a Waiver of Liens, at the time of Contract execution, in the form attached hereto at Exhibit “A” to be filed with the public records.
Mechanic's Lien Releases. In addition to the progress billing, submit each month a Conditional Waiver and Release Upon Progress Payment form for the current billing and an Unconditional Waiver and Release upon Progress Payment form for the previous amount paid (see sample forms). Mechanic’s Lien Releases from those material, equipment and labor suppliers listed on the Subcontractor Information form must be submitted, covering all items currently or previously supplied to and/or billed to Subcontractor through the date on the form. Upon completion of the project, each subcontractor shall submit a final invoice (Retention Billing) for the completed contract. In addition to the final billing, submit a properly completed Conditional Waiver and Release Upon Final Payment, and Unconditional Waiver and Release Upon Final Payment form for your own work as well as from those material, equipment and labor suppliers listed on the Subcontractor Information form (see sample forms). Mechanic's Lien Releases. Once payment has been made for any part of the Work, we must, prior to any further payment being made, furnish you with a full and unconditional release for any claim for mechanics lien for that portion of the work for which payment has been received.

  • Mechanics’ Lien Tenant understands and agrees that Tenant and anyone acting on Tenant’s behalf does not have the right to file for mechanic’s liens or any other kind of liens on the Premises. Tenant agrees to give actual advance notice to any contractors, subcontractors or suppliers of goods, labor or services that such liens are invalid. Tenant further agrees to take the additional steps necessary to keep the Premises free of any and all liens that may result from construction completed by or for Tenant.

  • Mechanic’s Liens Tenant shall not suffer or permit any mechanic's lien or other lien to be filed against the Premises, or any portion thereof, by reason of work, labor, skill, services, equipment or materials supplied or claimed to have been supplied to the Premises at the request of Tenant, or of anyone holding the Premises, or any portion thereof, by, through or under Tenant. If any such mechanic's lien or other lien at any time shall be filed against the Premises or any portion thereof, Tenant, within thirty (30) days after the date Tenant first becomes aware of the filing of the same, at Tenant's election, shall cause said lien either to be discharged of record or to be bonded over in a manner which is reasonably acceptable to Landlord. If Tenant shall fail to discharge such mechanic's lien or other lien or to bond over the same within such period, then Landlord may, but shall not be obligated to, discharge the same by paying to the claimant the amount claimed to be due or by procuring the discharge of such lien as to the Premises by deposit of a cash sum or a bond or other security, or in such other manner as is now or may in the future be provided by present or future law for the discharge of such lien as a lien against the Premises. Any amount paid by Landlord, or the value of any deposit so made by Landlord, together with all costs, fees and expenses in connection therewith (including reasonable attorneys' fees), together with interest thereon at the Maximum Rate of Interest, shall be repaid by Tenant to Landlord within thirty (30) days after demand therefor. Tenant shall indemnify, defend and hold harmless Landlord and the Premises from all losses, costs, damages, expenses, liabilities, suits, penalties, claims, demands and obligations, including, without limitation, reasonable attorneys' fees, resulting from the assertion, filing, foreclosure or other legal proceedings with respect to any such mechanic's lien or other lien.

  • Mechanics Except as otherwise provided in this Article, the mechanics for the deduction of representation fees and the transmission of such fees to the Association will, as nearly as possible, be the same as those used for the deduction and transmission of regular membership dues to the Association.

  • LIENS, CLAIMS AND ENCUMBRANCES The Contractor warrants and represents that all materials, equipment or services delivered herein are free and clear of all liens, claims, or encumbrances of any kind.

  • Release of Liens (i) In the event of (A) any private or public sale of all or any portion of the ABL Priority Collateral in connection with any Exercise of Secured Creditor Remedies by or with the consent of the ABL Agent (other than in connection with a refinancing as described in Section 5.2(c) hereof), or (B) any sale, transfer or other disposition of all or any portion of the ABL Priority Collateral (other than in connection with a refinancing as described in Section 5.2(c) hereof), so long as such sale, transfer or other disposition is then permitted by the ABL Documents or consented to by the requisite ABL Lenders, irrespective of whether an Event of Default has occurred, each of the Term Agents agrees, on behalf of itself and the relevant Term Secured Parties that, so long as such Term Agent, for the benefit of the relevant Term Secured Parties, shall retain a Lien on the proceeds of such sale, transfer or other disposition (to the extent that such proceeds are not applied to the ABL Obligations as provided in Section 4.1(b) hereof), such sale, transfer or other disposition will be free and clear of the Liens on such ABL Priority Collateral (but not the proceeds thereof) securing the Term Obligations, and each of the Term Agents’ and the Term Secured Parties’ Liens with respect to the ABL Priority Collateral (but not the proceeds thereof) so sold, transferred, or disposed shall terminate and be automatically released without further action concurrently with, and to the same extent as, the release of the ABL Secured Parties’ Liens on such ABL Priority Collateral. In furtherance of, and subject to, the foregoing, each Term Agent agrees that it will promptly execute any and all Lien releases or other documents reasonably requested by the ABL Agent in connection therewith. Each Term Agent hereby appoints the ABL Agent and any officer or duly authorized person of the ABL Agent, with full power of substitution, as its true and lawful attorney-in-fact with full irrevocable power of attorney in the place and stead of such Term Agent and in the name of such Term Agent or in the ABL Agent’s own name, from time to time, in the ABL Agent’s sole discretion, for the purposes of carrying out the terms of this paragraph, to take any and all appropriate action and to execute and deliver any and all documents and instruments as may be necessary or desirable to accomplish the purposes of this paragraph, including any financing statements, endorsements, assignments, releases or other documents or instruments of transfer (which appointment, being coupled with an interest, is irrevocable).
