MODIFICATIONS AND UPGRADES. A. Buyer may require and Seller agrees to make any Equipment modifications needed to bring the Equipment into conformance with the Purchase Spec or, in the case of performance-based pricing (if such a pricing structure has been agreed to) to meet the Expected Improvement Rate (EIR).
B. Such modifications will be performed at no cost to Buyer. Prices for upgrades and modifications that exceed the Purchase Spec (current at time of installation) will be negotiated at the time Buyer grants authorization.
C. Seller offers to add Items currently offered or developed over the term of the Agreement, which Buyer does not currently purchase, to this Agreement, should Buyer choose to purchase such Items.
MODIFICATIONS AND UPGRADES. In the normal course of business, Q2 may modify or improve the Q2 Services and/or the Q2 System for reasons including, but not limited to, changes in Regulatory Requirements, changes in banking industry product and service offerings, changes in communications and computer industry products and standards, and new equipment or system software offerings by Q2 suppliers. Q2, may, at any time, discontinue any of the Q2 Services upon providing Customer one hundred-twenty (120) days prior written notice, provided that there shall not be any material reduction in the functionality of the core elements of the Software. Q2 may discontinue any of the Q2 Services immediately upon the imposition of any regulatory, legislative, or judicial determination that the Q2 Services violate any applicable law or regulation.

The Terms shall govern any software upgrades provided by Psych Select that replace and/or supplement the original version of the Service, unless such upgrades are accompanied by a separate license, in which case the terms of that license will govern.

Provided that it does not materially and adversely affect or degrade the functionality of DMAC, the ability of Licensee to access and use DMAC, REGION VII ESC shall have the right to substitute, replace, modify or upgrade DMAC or any part or aspect of it as REGION VII ESC deems advisable; and, all substitutions, replacements, modifications and upgrades shall be incorporated in and subject to this Agreement and shall be the exclusive property of REGION VII ESC hereunder.

Psych Select’s notice to Subscriber may include sending a message to the email address provided to Psych Select, or by providing notice through the Service. Psych Select will also update the “Last Updated” date at the top of these Terms when Psych Select makes changes. Subscriber’s continued use of the Service will confirm Subscriber’s acceptance of the revised Terms. If Subscriber does not agree to the revised Terms, then it must stop using the Service and delete its Account. MODIFICATIONS AND UPGRADES. 3.1 The Licensor may notify the Licensee of any updates and may issue updates to the Licensee which correct any errors or defects identified in the Software whether reported by the Licensee pursuant to clause 3.2 or otherwise. The provisions of this Licence Agreement will apply to any updates provided by the Licensor.
3.2 in the event the Licensee becomes aware of any error or defect (or reasonably believes an error or defect to exist) in the Software, the Licensee will promptly notify the Licensor in writing at xxxx@xx.xxxxxxxx.xxx.xx of the error or defect and will, at the request of the Licensor provide such materials, information or assistance as is reasonably required by the Licensor to allow the Licensor to verify the existence of the error or defect and/or to correct such error or defect.
3.3 the Licensor may inform the Licensee of any new releases and may provide such new releases to the Licensee. The provisions of this License agreement will apply to any new releases provided by the Licensor.
3.4 in the event the Licensee makes any modifications to the Software, the Licensee shall inform the Licensor of the nature of such modifications. The Licensee shall use reasonable endeavours to provide all such modifications of the Software, Data or Documentation to the Licensor.
3.5 the Licensee here by grants to the Licensor a perpetual, irrevocable, sub-licensable, royalty free worldwide licence to any modifications that it provides to the Licensor pursuant to Clause 3.4.
3.6 the Licensor may, but it is not obliged to, add any modification supplied by the Licensee pursuant to Clause 3.4 to the Software and issue an update or new version (as appropriate) to the Licensee based on such modifications. The provisions of this Licence Agreement will apply to any updates provided by the Licensor to the Licensee.
3.7 the Licensor is under no further obligation to provide support or maintenance of any kind for the Software to the Licensee.
