Mutual Hold Harmless. It is agreed that Tenant shall defend, hold harmless and indemnify Landlord, its officers, agents and employees from any and all claims for injuries to persons or damage to the Demised Premises which result from the negligent acts or omissions of Tenant, its officers, agents or employees, in the performance of this Agreement. It is further agreed that Landlord shall defend, hold harmless and indemnify Tenant, its officers, agents and/or employees from any and all claims for injuries to persons and/or damage to the Demised Premises which result from the negligent acts or omissions of Landlord, its officers, agents and/or employees, in the performance of this Agreement. In the event of the concurrent negligence of Tenant and Landlord, then the liability for any and all claims for injuries or damages which arise out of the performance of the terms and conditions of this Agreement shall be apportioned in accordance with the law of the state in which the Real Property is located.

Mutual Hold Harmless. The Parties hereto, and each of them, do hereby mutually agree to indemnify, defend, save and hold harmless each other, and their respective officers, agents and employees, of and from any and all liability, claims demands, debts, suits, actions and causes of action, including wrongful death and reasonable attorneys’ fees for the defense thereof, arising out of or in any manner connected with the performance of any act or deed under or pursuant to the terms and provisions of this MOU/Agreement by such indemnifying Party, or its officers, agents and employees.

Landlord reserves the right to reject any Exterior Sign design it feels is inappropriate for any reason in its sole discretion. ☐ Any Exterior Sign does NOT require Landlord’s approval. (Check one) ☐ Landlord ☐ Tenant shall be solely responsible for the cost of fabrication, installation, and maintenance of the Exterior Sign. Landlord shall pre-approve signage package to be attached to the Lease for the duration of the Lease and all renewals thereof. B) Other Signs. (Check one) ☐ All signs, banners, lettering, advertising, lighting, or any other things of any kind visible from the exterior of the Demised Premises installed or affixed by Tenant shall be first approved in writing by Landlord and the location and method of installation of the same shall be approved by Landlord in its sole discretion. Landlord agrees that such approval shall not be unreasonably withheld. ☐ Other signs affixed by Tenant shall NOT require Landlord’s approval. Utility Services. Mutual Hold Harmless. Applicant agrees to hold harmless PG, its Administrators (including Program Managers International, Inc.), its MGUs (including XxXxxxx & Company, Inc.), and any relevant insurance companies from the negligence, acts, or omissions of its Retail Broker. Each MGU shall be liable to Applicant for any of that MGU’s negligence, acts, or omissions which give rise to legal liability with regards Applicant. For the purposes of this paragraph, Applicant, PG, and MGU shall be defined to include their owners, directors, officers, employees, agents, representatives, related companies, affiliated companies, trade- name entities, “doing business as” entities, parent companies, and subsidiaries.
