Negotiation Agent. The Governing Board of the Northwest Suburban Special Education Organization, 000 Xxxx Xxxxxxxxxx Xxxx, Xxxxx Xxxxxxxx, Xxxxxxxx, hereinafter refers to as the “BOARD,” recognizes the Northwest Suburban Special Education Association, affiliated with the National Education Association hereinafter referred to as the “Association,” as the sole and exclusive negotiating agent for all full-time, regularly employed licensed personnel (including nurses), physical and occupational therapists, all aides/assistants, social workers and psychologists, technology support technicians, technology liaisons, network administrators, database managers and audiology assistants, excepting the Director of Special Education, Assistant Director(s) of Special Education, principals, and all other personnel who have the authority to hire, transfer, assign, direct, promote, discharge, discipline, evaluate, or process grievances of other employees or having the responsibility to make recommendations on any of the above. The Board and the Association acknowledge the Certification of Representative issued by the Illinois Educational Labor Relations Board on June 10, 1992. The Board and the Association agree the wages, hours, and terms and conditions of employment for members of the bargaining unit are contained in two Agreements. This Agreement shall cover all full-time aides/assistants, and all technology support technicians, technology liaisons, network administrators, database managers and audiology assistants. The personnel covered by this Agreement are hereinafter referred to collectively for convenience as “Education Support Professionals (ESP)” and/or “employees.” When new positions are created in the unit, or when existing positions are reclassified within the unit, the duties and benefits will be negotiated with NSSEA- ESP and added to the existing contract.

  • Negotiation In the event of any dispute arising out of or relating to this Agreement, the affected party shall notify the other party, and the parties shall attempt in good faith to resolve the matter within ten (10) days after the date of such notice (the “Notice Date”). Any disputes not resolved by good faith discussions shall be referred to senior executives of each party, who shall meet at a mutually acceptable time and location within thirty (30) days after the Notice Date and attempt to negotiate a settlement.

  • APPOINTMENT OF THE CALCULATION AGENT The Calculation Agent is appointed, and the Calculation Agent agrees to act, as Calculation Agent in respect of each Series of Notes described in the Schedule (the Relevant Notes) for the purposes set out in clause 2 and on the terms of this Agreement. The agreement of the parties that this Agreement is to apply to each Series of Relevant Notes shall be evidenced by the manuscript annotation and signature in counterpart of the Schedule.

  • MANAGING AGENT The Seller will be entitled to appoint the first Managing Agent, which appointment shall be valid and binding on the Body Corporate for a period of 1 (one) year after the date of the first annual general meeting of the Body Corporate, provided that such appointment complies with section 6(2) of the Rules. Insofar as it may be necessary, the Purchaser hereby grants the Seller the irrevocable power to make such appointment.

  • Negotiation Committee (A) The Union may designate certain employees to serve on its Negotiation Committee, and such employees will be granted administrative leave to attend negotiating sessions with the state. No employee shall be credited with more than the number of hours in the employee's regular workday for any day the employee is in negotiations. The agency shall not reimburse employees for travel, meals, lodging, or any expense incurred in connection with attendance at negotiating sessions.

  • Agent Subject to any other written instructions of the Adviser or the Trust, the Subadviser is hereby appointed the Adviser’s and the Trust’s agent and attorney-in-fact for the limited purposes of executing account documentation, agreements, contracts and other documents as the Subadviser shall be requested by brokers, dealers, counterparties and other persons in connection with its management of the Subadviser Assets.   • Global Agent and Exchange Administrator The Global Agent acts solely as a fiscal agent of Xxxxxxx Mac with respect to the Original Notes (and of the Exchange Administrator with respect to the MAC Notes) and does not assume any obligation or relationship of agency or trust for or with any Holder of an Original Note, except that any moneys held by the Global Agent for payment on an Original Note shall be held in trust for the Holder. The Global Agent does not assume any obligation or relationship of agency or trust for, or with, any Holder of an Original Note.

  • Negotiators 1. Each party may be represented at all negotiations by a maximum of seven (7) negotiators of the parties’ choice. Either party may also have an observer in attendance.

  • Global Agent The entity selected by Xxxxxxx Mac to act as its global, calculating, transfer, authenticating and paying agent for the Original Notes, which as of the Closing Date is U.S. Bank, and who will act as calculating, authenticating and paying agent with respect to the MAC Notes pursuant to the direction of the Exchange Administrator.

  • Procurement Agent The employee of APS authorized to act on behalf of the Owner in this Contract. The Procurement Agent may designate in writing others to act on his behalf, and such designation shall state any limitations on the authority of such designee. Contractor shall not rely upon and Owner shall not be bound by any statement or representation made on behalf of APS by any person not designated to the Contractor in writing as authorized to so act on behalf of the Procurement Agent. It shall be the responsibility of the Bidder, and thereafter the Contractor, to establish the authority to act regarding any communication or action by any person other than the Procurement Agent. Use of the term Procurement Agent in the Contract Documents shall be deemed to include such properly authorized designee within the scope of that designee’s authorization.
