Nomination requirements. 6.1 The Sponsor may only nominate an Overseas Worker for:
(a) visas outlined in Schedule 2;
(b) Occupations outlined in Schedule 2;
(c) up to the Nomination Ceiling specified in Schedule 2; and
(d) an Occupation to be performed in a location listed in Schedule 2.
6.2 If the Sponsor wishes to increase the Nomination Ceilings in any year during the period of this Agreement as set out in Schedule 2 to this Agreement, they must provide the Department with the information detailed in Schedule 7. A departmental decision-maker will then assess whether the Department will agree to proposed variations to the existing agreement.
6.3 The Sponsor acknowledges and agrees that there is no guarantee that additional Nominations and increases in the Nomination ceilings will be agreed to and that the Commonwealth reserves the right to make the final decision as to the Nomination Ceiling for each year of the Agreement.
6.4 Before they nominate a Nominee under this Agreement, the Sponsor must take all reasonable steps to ensure that:
(a) the Sponsor recruits suitably skilled Australians who are available; and
(b) the Overseas Worker will be able to meet any requirements outlined at Schedule 4.
6.5 The Sponsor will aim to ensure that:
(a) in any one Year period overseas workers do not comprise more than a third of their Workforce;
(b) their reliance on overseas workers decreases during the life of this Agreement; and
(c) their reliance on temporary visas decreases where existing temporary visa holders have successfully transitioned to permanent residence under this Agreement.
6.6 In addition to TSS, SESR or ENS nomination requirements outlined in the Migration Regulations, the Sponsor must demonstrate, through written evidence, when the Sponsor Nominate a Nominee, that the Standard Skilled visa program requirements as outlined in the Migration Regulations in relation to the TSMIT, Earnings and/or working hours, unless varied in Schedule 2, are met.
6.7 The Sponsor must comply with any additional requirements for nomination that are stipulated by the Minister in Schedule 3.
Nomination requirements.
5.1 The Approved Sponsor may only nominate an Overseas Worker for:
(a) Occupations outlined in Schedule 2;
(b) up to the Nomination Ceiling specified in Schedule 2; and
(c) an Occupation to be performed in a location listed in Schedule 2.
5.2 The Approved Sponsor acknowledges that the Minister may, in his/her absolute discretion, vary the:
(a) Nomination Ceilings up or down;
(b) Concessions; or

(1) The holder of a policy of life insurance on his own life, may, when effecting the policy or at any time before the policy matures for payment, nominate the person or persons to whom the money secured by the policy shall be paid in the event of his death:
(2) Any such nomination in order to be effectual shall, unless it is incorporated in the text of the policy itself, be made by an endorsement on the policy communicated to the insurer and registered by him in the records relating to the policy and any such nomination may at any time before the policy matures for payment be cancelled or changed by an endorsement or a further endorsement or a will, as the case may be, but unless notice in writing of any such cancellation or change has been delivered to the insurer, the insurer shall not be liable for any payment under the policy made bona fide by him to a nominee mentioned in the text of the policy or registered in records of the insurer.
(3) The insurer shall furnish to the policyholder a written acknowledgment of having registered a nomination or a cancellation change thereof, and may charge a fee as may be specified by regulations for registering such cancellation or change.
(4) A transfer or assignment of a policy made in accordance with section 38 shall automatically cancel a nomination: Provided that the assignment of a policy to the insurer who bears the risks on the policy at the time of the assignment, in consideration of a loan granted by that insurer on the security of the policy within its surrender value, or its re-assignment on repayment of the loan shall not cancel a nomination, but shall affect the rights of the nominee only to
(5) Where the policy matures for payment during the lifetime of the person whose life is insured or where the nominee or, if there are more nominees than one, all the nominees die before the policy matures for payment, the amount secured by the policy shall be payable to the policy-holder or his heirs or legal representatives or the holder of a succession certificate, as the case may be.
(6) Where the nominee or if there are more nominees than one, a nominee or nominees survive the person whose life is insured, the amount secured by the policy shall be payable to such survivor or survivors.

Each Nomination shall (i) be prepared by Customer and submitted to Provider as soon as possible in a mutually agreed form and (ii) contain customary information regarding the applicable receipt and/or shipment of Customer Product to or from the Mentor System and, including, at a minimum, the following: (A) the method of shipment (including trucking service provider details if received or shipped by truck and rail service provider details if received or shipped by rail), (B) the anticipated timing of arrival or departure, as applicable, of the shipment and any applicable Arrival Time, and (C) the quantity of Customer Product. Customer shall promptly notify Provider of any change(s) to any such information with respect to a Nomination. Notwithstanding anything to the contrary herein (x) the Nominations made by Customer shall, with respect to each Receipt Point and Delivery Point subject to such Nomination, be made at Daily rates that are reasonably even and constant, and (y) Customer may not make any Nomination in excess of the applicable capacity constraints for any Receipt Point or Delivery Point.

Customer shall promptly notify Provider of any change(s) to any such information with respect to a Nomination. Notwithstanding anything to the contrary herein (1) the Nominations made by Customer shall, with respect to each Receipt Point and Delivery Point subject to such Nomination, be made at Daily rates that are reasonably even and constant, and (2) Customer may not make any Nomination in excess of the applicable capacity constraints for any (x) Receipt Point or Delivery Point, or (y) Provider Tank Cars then available that are applicable to the relevant type of Hydrocarbon (if such Nomination provides for the utilization of the Tank Car Services). TERMS IN THIS EXHIBIT HAVE BEEN REDACTED BECAUSE CONFIDENTIAL TREATMENT FOR THOSE TERMS HAS BEEN REQUESTED. (a) Occupations outlined in Schedule 2 that:
a. remain on the List of eligible skilled occupations for the Subclass 457 or TSS visa program; and
b. meet any Caveats that are imposed on the nominated occupation;
(b) up to the Nomination Ceiling specified in Schedule 2;
(c) an Occupation to be performed in a location listed in Schedule 2; and
(d) an Employment period consistent with the length of the contract with the Client Organisation for the Nominee’s services and no longer than the maximum visa period as outlined in Scheduled 4.
5.2 The Approved Sponsor acknowledges that the Minister may, in his/her absolute discretion, vary the:
(a) Nomination Ceilings up or down;
(b) Concessions; or
Nomination requirements. Subject to the Act, Applicable Securities Laws and the articles of the Corporation, only those individuals named in the Director Nominations will be eligible for the election of directors to the board.

Customer shall promptly notify Provider of any change(s) to any such information with respect to a Nomination. Notwithstanding anything to the contrary herein (1) the Nominations made by Customer shall, with respect to each Receipt Point and Delivery Point subject to such Nomination, be made at Daily rates that are reasonably even and constant, and (2) Customer may not make any Nomination in excess of the applicable capacity constraints for any (x) Receipt Point or Delivery Point, or (y) Provider Tank Cars then available (if such Nomination provides for the utilization of the Tank Car Services).
Nomination requirements. To qualify for contractual entitlements a Storage Nomination must be submitted in accordance with the terms of Rate 315, and otherwise in accordance with the terms of this Agreement and the Companion Service Contract.
