Nonsolicitation of Personnel. Prior to and through a two-year period following the Termination of Employment date, the Employee will not, directly or indirectly (i) solicit or induce for employment, or engagement as an independent contractor, on behalf of any individual or organization, or (ii) be involved in any way on behalf of any individual or organization in the hiring process of, any Company Employee. For purposes of this Paragraph 12(f), a “Company Employee” is any person (other than any personal assistant hired to work directly for the Employee) who, at the time of such activity, is employed, or engaged as an independent contractor, by the Company or any of its Affiliates or was so employed or engaged within the previous three months.
Nonsolicitation of Personnel. Neither party hereto shall, without the prior written consent to the other party, either directly or indirectly, alone or in conjunction with any other person or entity, solicit or attempt to solicit any “key or material” employee, consultant, contractor or personnel of such other party to terminate, alter or lessen his or her affiliation with such other party at any time during the Term of this Agreement and for a period of one (1) year thereafter.
Nonsolicitation of Personnel. Neither party hereto shall, without the prior written consent to the other party, either directly or indirectly, alone or in conjunction with any other person or entity, solicit or attempt to solicit any "key or material" employee, consultant, contractor or personnel of such other party in the State of Georgia to terminate, alter or lessen his or her affiliation with such other party at any time during the term of this Agreement and for a period of one (1) year thereafter.
Nonsolicitation of Personnel. During the Noncompetition Period, Seller shall not, directly or indirectly, solicit, induce or attempt to induce any employee, consultant or services contractor of the Company or the Buyer or any successor in interest to the Company or the Buyer to terminate his or her employment or engagement with the Company or Buyer or any successor in interest to the Company or Buyer.
Nonsolicitation of Personnel. During Employee’s employment and for the two-year period following the Termination of Employment date, the Employee will not, directly or indirectly (i) solicit or induce for employment, or engagement as an independent contractor, on behalf of Employee or any other individual or organization, or (ii) be involved in any way on behalf of Employee or any other individual or organization in the hiring process of, any Company Employee. For purposes of this Paragraph 12(f), a “Company Employee” is any person (other than any personal assistant hired to work directly for the Employee) who, at the time of such activity, is employed, or engaged as an independent contractor, by the Company or any of its Affiliates or was so employed or engaged within the three months prior to the Termination of Employment date.
Nonsolicitation of Personnel. Neither party hereto shall solicit, offer work to, employ, or contract with, directly or indirectly, on its own behalf or on behalf of a third party, any of the personnel of the other party hereto or their affiliates during the Term and for twelve (12) months thereafter. For purposes of this paragraph, “personnel” includes any individual or company a party employs or has employed or retained as an employee or independent contractor and which the party learns about as a result of its business dealings as described herein. Without limiting any other available remedy, a party in violation of this section 9.3 shall pay compensation to the other such party in the form of liquidated damages equal to the greater of six month’s compensation either offered or paid to the personnel.
Nonsolicitation of Personnel. For a period of two (2) years after the Closing Date, neither Parent nor Seller shall solicit, divert, or recruit, for its own benefit or for the benefit of any other person or entity, any employee of Seller whom Purchaser hires or retains from and after the Closing Date.
Nonsolicitation of Personnel. During the Covenant Period, Whitney ---------------------------- agrees that he will not, without the prior written consent of Endeavor and Matria, either directly or indirectly, alone or in conjunction with any other person or entity, solicit or attempt to solicit any "key or material" employee, consultant, contractor or other personnel of Matria or any of its subsidiaries to terminate, alter or lessen that party's affiliation with Matria or any of its subsidiaries or to violate the terms of any agreement or understanding between such employee, consultant, contractor or other person and Matria. For purposes of this Section 5, "key or material" employees, consultants, contractors or other personnel shall mean those such persons or entities who have direct access to or have had substantial exposure to Confidential Information or Trade Secrets.
Nonsolicitation of Personnel. During the Restricted Period, the Grantee agrees that they shall not, directly or indirectly, on their own behalf or as a partner, owner, officer, director, stockholder, member, employee, agent or consultant of any other person, within any state (including the District of Columbia), territory, possession or country where CACI conducts business during the Employment Period or during the Restricted Period solicit any employee or consultant of CACI to cease their employment or engagement with CACI to become employed or engaged in a competitive capacity with any Competitor, provided that the prohibition in this Section 5(e) shall only apply to such employees and consultants whom, during the most recent three years of the Employment Period (or the Employment Period if shorter), the Grantee : (i) supervised, managed, or worked with; or (ii) learned confidential information regarding.
Nonsolicitation of Personnel. During the Term and for a period of [*] ([*]) [*] thereafter, neither Party will solicit or encourage any employee of the other Party, or of the Affiliates of the other Party that are known to the first Party, to leave the employment of such other Party or such Affiliate without the prior written consent of such other Party. Notwithstanding the foregoing, this Article does not prohibit either Party from recruiting or hiring the other’s employee where the employee has submitted an unsolicited application, responds to an * Confidential Treatment Requested. FINAL advertisement without direct contact by the Party, or is presented to the Party through an independent recruiting firm.
