Notice to Exercise. Lessee shall have the right to extend the initial term hereof for two (2) additional and consecutive periods of five (5) years each upon the same terms and conditions as stated herein, except for the Base Rent, which shall be determined for the first Extended Term in accordance with paragraph 3, below, and which shall be determined for the second Extended Term in accordance with paragraphs 4 through 9, below; and further, except that the number of additional periods shall be reduced by one for each extension option that is exercised. Lessee must exercise its right, if at all, by written notification (the “Notice to Exercise”) to Lessor not less than One Hundred Eighty (180) nor more than Two Hundred Seventy (270) days prior to the expiration of the initial term hereof, or the then current Extended Term, if any, provided that Lessee is not in Breach of this Lease as of the date (i) that Lessee exercises its right to extend the term hereof, or (ii) of the commencement of the applicable Extended Term.

Notice to Exercise. Lessee shall have the right to extend the initial term hereof for one additional period of three (3) years (“Extended Term”) upon the same terms and conditions as stated herein, except for Minimum Monthly Rent. Minimum Monthly Rent for the option period shall be at the higher of (a) Fair Market Rental, as defined and determined below, or (b) the Minimum Monthly Rent in effect immediately prior to the commencement date of the Extended Term. Lessee must exercise its right, if at all, by written notification (the “Notice of Exercise”) to Lessor not less than nine (9) months prior to the expiration of the initial term, provided that Lessee is not then in default of any of the provisions of this Lease beyond any applicable notice and cure period.

To the extent that any notice provided in this Warrant constitutes, or contains, material, non-public information regarding the Company or any of the Subsidiaries, the Company shall simultaneously file such notice with the Commission pursuant to a Current Report on Form 8-K. The Holder shall remain entitled to exercise this Warrant during the period commencing on the date of such notice to the effective date of the event triggering such notice except as may otherwise be expressly set forth herein.
