Notice to Supervisory Board meetings. The Supervisory Board may be convened by any appropriate means. Notice for meetings shall be eight (8) calendar days; this period may be shortened in the event of a duly justified emergency. The Supervisory Board may validly deliberate even in the event of no notice being issued if all the members are present, deemed to be present, or represented. The Supervisory Board shall meet at least once a quarter. Any agenda item that the members of the Supervisory Board would like to submit for discussion at a Supervisory Board meeting must be forwarded to the chairman of the Supervisory Board at least eight (8) days prior to the date of the meeting. Supervisory Board meetings shall be held at the registered office or at any other location stated in the notice. The Supervisory Board shall meet as often as is required in order to protect the interests of the Company and at least once a quarter in order to discuss the report from the Executive Board. The agenda is adopted by the chairman and may be set at the time of the meeting itself. The Supervisory Board is convened by the chairman of the Supervisory Board or, if prevented from doing so, by the vice chairman, where such a post exists. Representation of the Company’s Social and Economic Committee shall take place in accordance with the provisions of Articles L. 2312-72et seq. of the French Labour Code (Code du travail). The Chairman must convene the Supervisory Board no later than fifteen days thereafter, when at least one member of the Executive Board or at least one third of the members of the Supervisory Board present reasonable grounds to this end. If any such request is not acted upon, the requesting party or parties may convene the meeting and set the agenda.

  • Notice of Board Meetings Notice of Board meetings shall be given by the Chair or the Chair’s designee to each other Board Member by overnight courier service, email or other electronic transmission, or personal delivery. Notices shall be deemed to have been given: if given by courier service, when deposited with a courier service for overnight delivery with charges therefor prepaid or duly provided for; if given email or other electronic transmission, at the time of sending; and if given by personal delivery, at the time of delivery. Notices given by personal delivery may be in writing or oral. Written notices shall be sent to a Board Member at the postal address, email address or address for other electronic transmission, designated by him or her for that purpose or, if none has been so designated, at his or her last known residence or business address, email address or address for other electronic transmission. Except to the extent required by applicable law, no notice of any meeting of the Board need state the purposes of the meeting.

  • Board Meetings The Superintendent shall attend, and shall be permitted to attend, all meetings of the Board, both public and closed, with the exception of those closed meetings devoted to the consideration of any action or lack of action on the Superintendent's Contract, or the Superintendent's evaluation, or for purposes of resolving conflicts between individual Board members, or when the Board is acting in its capacity as a tribunal. This is not to be confused with the formal public meetings held during the National Environmental Policy Act (NEPA) process during schematic approval for Public Involvement. It is not anticipated that the Engineer’s participation will be needed for the NEPA process. Assistance (exhibits, attendance, etc.) may be required for a formal public meeting/hearing associated with schematic approval work.
