Obligations of the Company and Executive Upon Termination. (a) Discharge for Cause, Death or Disability or Upon Resignation. In the event of: (i) a discharge of the Executive for Cause, (ii) a resignation by the Executive or (iii) in the event this Agreement terminates pursuant to Section 6(a) by reason of the death or disability of the Executive:

Obligations of the Company and Executive Upon Termination. In the event of any termination of Executive's employment, whether by Executive (including with Good Reason or without Good Reason), the Company (including with Cause or without Cause), Executive's death or Executive's Permanent Disability, the Company shall pay to Executive the Base Salary accrued to the date of such termination and not theretofore paid to Executive. Rights and benefits of Executive under the benefit plans and programs of the Company and Sysco, including without limitation the benefit plans and programs described in Sections 5(a) and 5(b) of this Agreement, shall be determined in accordance with the provisions of such plans and programs. Rights and benefits of Executive with respect to the Option shall be determined in accordance with the provisions of the Options and Section 5(c) hereof. Upon termination of Executive's employment, whether by Executive or the Company, neither Executive nor the Company shall have any further rights or obligations under this Agreement, except as provided in Sections 8, 9, 10, 11 and 12 of this Agreement.
Obligations of the Company and Executive Upon Termination. Executive’s entitlements upon termination of employment are set forth below. Except to the extent otherwise provided in this Agreement, the disposition of Executive’s awards under the Long Term Incentive Program upon the termination of Executive’s employment shall be determined pursuant to the terms and provisions of the plan, arrangement and/or agreement applicable to such awards. For purposes of this Section 6, the term “Accrued Obligations” shall mean, as of the Date of Termination, (i) Executive’s full Base Salary through the Date of Termination, at the rate in effect at the time Notice of Termination is given (disregarding any reduction constituting Good Reason), to the extent not theretofore paid, (ii) the amount of any bonus, incentive compensation, deferred compensation and other cash compensation earned and vested as of the Date of Termination to the extent not theretofore paid, (iii) any benefits payable under the terms and conditions of the retirement and welfare benefit plans described in Section 3(d) above, and (iv) any accrued vacation pay, expense reimbursements and other cash entitlements to which Executive is entitled as of the Date of Termination to the extent not theretofore paid. For purposes of determining an Accrued Obligation under this Section 6, no discretionary compensation shall be deemed awarded, earned or vested unless it is specifically approved by the Board or the Compensation Committee in accordance with the applicable plan, program or policy.

Unless otherwise specified by the Board, upon any termination of employment, Executive shall resign in writing, from the Board and the Executive Committee of CAM, and all offices, directorships and fiduciary positions of the Company or its affiliates in which Executive is serving.

If, for any reason, such document, material, database, equipment, or software cannot be returned, either party shall destroy all the Confidential Information belonging to the other party and delete such Confidential Information from any memory devices. No party shall be permitted to continue using the Confidential Information in any way after the termination of this Agreement.

  • Obligations of Executive (a) For two years following a Termination Event, Executive agrees not to personally solicit any of the employees either of the Company or of any entity in which the Company directly or indirectly possesses the ability to determine the voting of 50% or more of the voting securities of such entity (including two-party joint ventures in which each party possesses 50% of the total voting power of the entity) to become employed elsewhere or provide the names of such employees to any other company that Executive has reason to believe will solicit such employees.
