Operational Documents. (1) As at the date of this Agreement, the Operational Documents are in full force and effect without modification from the forms provided to EBRD under Section 4.01(b). (2) The Group has all broadcasting licences necessary to operate its business as currently conducted and, as at the date of this Agreement, the Licences constitute all of the material broadcasting licences held by members of the Group. (3) All of the Licences are in full force and effect and the grantee of each Licence is in compliance in all material respects with all provisions thereof. (4) None of the Licences are the subject of any actual, pending or threatened, challenge or revocation. (5) There has occurred no breach, and no event which with the giving of notice, the passage of time or the making of any determination, or any combination thereof, would constitute a breach, of the Framework Agreement.
Operational Documents. (a) The Borrower shall and shall procure that each of its relevant Subsidiaries shall obtain and maintain in full force and effect (or, where any such Licence is to expire during the term of this Agreement, renew) each of the Licences and shall procure that each of its relevant Subsidiaries shall comply at all times in all material respects with all provisions thereof. Operational Documents. Operations of the PSCC shall be guided by three documents: the Sarasota County Sheriff's General Orders, the Standard Operating Procedures of the PSCC, and the Call Handling and Procedure Guide. 1. Although the Standard Operating Procedures for the Sheriff's staff is an established document that primarily covers employee policies, the Municipality may provide comment and/or recommendations for consideration by the Sheriff. 2. The Call Handling and Procedures Guide will be prepared and maintained by the Sheriff and will describe operating procedures under which the PSCC will process calls for the Municipality. The Municipality shall provide input for the Guide’scontent as set forth in this Agreement. The procedures established in the Guide shall not conflict with any applicable laws, certifications, accreditations, or industry standards. While the Municipality shall determine the types of calls for service it shall respond to and/or the appropriate level of their response, the Sheriff reserves the right of final authority on the methodology (i.e. Tactical Dispatch) used to dispatch calls for service. 3. The Guide shall set forth protocols for handling and processing all emergency and non-emergency calls received by the PSCC. Emergency calls will be handled according to the PSCC’s certifications and accreditations performance standards. The non-emergency policies that the Municipality requires shall be detailed in the Guide and approved by the Municipality prior to the execution of this Agreement. These policies may be amended upon mutual agreement of the Parties.

Operational Documents. (a) At all times during the Term, RailCorp and the Rail Operator must implement and comply with the: (i) Train Operating Conditions Manual; (ii) Operational Safety Rules; (iii) Operations Protocol; (iv) Communications Equipment Standards; and (v) Minimum Operating Standards for Rolling Stock Manual, (b) (each, an Operational Document).RailCorp may amend an Operational Document at any time during the Term provided it consults with the Rail Operator regarding the proposed amendment in accordance with and to the extent required by clause 24.11. (c) For the avoidance of doubt, a TOC Waiver becomes part of, and to the relevant extent may temporarily or permanently amend the Train Operating Conditions Manual. Where the Train Operating Conditions Manual is amended by a TOC Waiver, RailCorp is only required to consult with the Rail Operator in accordance with and to the extent required by clause 24.11 where that TOC Waiver affects the Rail Operator. (d) The Rail Operator may request RailCorp to amend an Operational Document by providing written details of any requested amendment and reasons to RailCorp. (e) RailCorp: (i) must consider any reasonable request by a Rail Operator for an amendment made under clause 6.5(d); and (ii) may, in its absolute discretion, make such amendments requested by the Rail Operator which it considers appropriate, together with such other amendment or with such changes (if any) which it considers appropriate, in accordance with clause 6.5(b). (f) Where a party becomes aware or reasonably believes that a Dispute has arisen under this clause, it may serve a Notice of Dispute on the other party. (g) Any Dispute in relation to an amendment to an Operational Document made under clause
Operational Documents. (i) Borrower shall submit to Lender as part of any Loan request made by Borrower to Lender, copies of any and all Operational Documents affecting the Collateral Property which is the subject of the Loan request. Lender shall have the right, in its sole discretion, to decline to fund any Loan based upon Lender's review of such Operational Documents. (A) For so long as a Loan remains outstanding with respect to a Collateral Property, the Borrower, or a Collateral Property Subsidiary, as applicable, shall deliver any additional Operational Documents for such Collateral Property to the Lender for its consent prior to the Borrower or such Collateral Property Subsidiary, as applicable, entering into such Operational Document, accompanied by a summary of the material terms and conditions of such Operation Document; PROVIDED, HOWEVER, that (i) the Borrower or Collateral Property Subsidiary, as applicable, may enter into a proposed Lease without the consent of Lender if (a) such Lease is on (B) Each Operational Document shall be in full force and effect and free from default by either party. (C) All rights of the Borrower under the Operational Documents shall be assigned to the Lender, and the Lender, at its option, may require the parties to any such Operational Document to enter into an agreement with the Lender which shall provide that (i) copies of all notices given or received under any such Operational Document shall be sent to the Lender, (ii) the Lender shall have the right, but not the obligation, to perform any term, condition or agreement of the Borrower under any such Operational Document and to cure any default of the Borrower under any such Operational Document within specified additional time periods, and (iii) such other provisions as the Lender may require. (D) The Borrower shall deliver each proposed Lease and any and all amendments, supplements or other modification of each Lease to the Lender for its consent prior to the Borrower entering into same unless the Borrower is permitted to enter into such instrument as provided in sub-section (A)(i) above, and Lender agrees that it will provide its comments to same or its consent or disapproval of same within five (5) business days of its receipt thereof. (E) Borrower shall deliver to Lender fully executed copies of any Leases or amendments, supplements or modifications thereof, within ten (10) days after execution thereof.
