Oversight of Services. Any services provided by MPIC or its vendors, contractors or other third parties on behalf of MP Securities pursuant to this Agreement shall at all times be subject to the supervision and authority of MP Securities, which shall retain discretion and authority to direct and control any aspect of MPIC’s provision of, or arrangement for such services. MP Securities shall implement a system for continuous monitoring and oversight to ensure that MPIC’s provision of services pursuant to this Agreement complies with applicable law, the provisions of U.S. law that apply to broker dealer firms registered under Section 15 of the Securities Exchange Act of 1934 (the “Exchange Act”) and regulations imposed on the entity as a member of FINRA. Notwithstanding anything in this Agreement to the contrary, all activities, selling efforts and underwriting services which are required to be performed by a firm registered under Section 15 of the Exchange Act shall be performed by MP Securities under the provisions of this Agreement.

Oversight of Services. The Services shall be at all times subject to the direction and control of the Corporation and MetroPlus shall maintain oversight of Contractor’s performance of the Services described herein. MetroPlus shall periodically review Contractor’s performance in accordance with the performance standards outlined in Exhibit A, attached hereto and incorporated herein. In the event that MetroPlus, in its sole discretion or as otherwise set forth in Exhibit A, determines that Contractor has failed to meet such performance standards and criteria, MetroPlus may impose penalties as specifically set forth in Exhibit A.
Oversight of Services a. Arm shall, and shall procure that each of the Consultants shall, provide the Services with reasonable care and skill and Arm shall supervise, manage, appraise and, if needed, discipline each of the Consultants during the Term (as defined in paragraph 6 below). Each of the Consultants shall report only to personnel employed by Arm. Arm shall, and shall procure that each Consultant shall, provide to the Company all such information and reports in connection with matters relating to the provision of the Services in accordance with, and at such intervals as are set out in, the relevant SOW.

Related to Oversight of Services

  • Engagement of Services 1.1. The Company hereby engages Consultant to provide management Services as an independent contractor to the Company under the direction of the Company’s Board of Directors; and

  • Delegation of Services The Administrator may, at its expense, delegate to one or more entities some or all of the services for the Fund for which the Administrator is responsible under this Subcontract. The Administrator will be responsible for the compensation, if any, of any such entities for such services to the Fund, unless otherwise agreed to by the parties or with the Fund. Notwithstanding any delegation pursuant to this paragraph, the Administrator will continue to have responsibility and liability for all such services provided to the Fund under this Subcontract.

  • Extent of Services Executive will devote all of his working time, attention and skill to the duties and responsibilities set forth in Section 3. To the extent that such activities do not interfere with his duties under Section 3, Executive may participate in other businesses as a passive investor, but (a) Executive may not actively participate in the operation or management of those businesses, and (b) Executive may not, without the Company’s prior written consent, make or maintain any investment in a business with which the Company or its subsidiaries has an existing competitive or commercial relationship.

  • Scope of Services The specific scope of work for each job shall be determined in advance and in writing between TIPS Member, Member’s design professionals and Vendor. It is permitted for the TIPS Member to provide a general scope description, but the awarded vendor should provide a written scope of work, and if applicable, according to the TIPS Member’s design Professional as part of the proposal. Once the scope of the job is agreed to, the TIPS Member will issue a PO and/or an Agreement or Contract with the Job Order Contract Proposal referenced or as an attachment along with bond and any other special provisions agreed by the TIPS Member. If special terms and conditions other than those covered within this solicitation and awarded Agreements are required, they will be attached to the PO and/or an Agreement or Contract and shall take precedence over those in this base TIPS Vendor Agreement.

  • Duration of Services The obligation of GGP to perform any individual Service described in or contemplated by this Section B shall terminate upon the earliest to occur of (a) December 31, 2012, (b) five days following written notice of termination of such Services by Spinco to GGP and (c) the applicable termination date pursuant to Article IX of the Agreement. GGP agrees to use appropriate and reasonable efforts, as mutually agreed upon by the parties and at Spinco’s cost, to (i) ensure that any terminated Service is integrated into Spinco’s broader business processes and/or (ii) complete any individual Service in this Section B requested by Spinco prior to the termination described in the prior sentence.
