Pass Throughs. If the Company cannot obtain from a third party any product or service that is necessary for the Company to perform its obligations under one or more of this Agreement or any of the Collateral Agreements, then, as an accommodation to the Company, NWIP will make available to the Company the product or services that is available to the NDS that the Company has been unable to obtain. NWIP will have no obligation to make this accommodation if it would breach the terms of or would otherwise result in any adverse effect or consequence (other than any additional costs or charges that the Company will pay as required by the last sentence of this Section) to NWIP or to any member of the Nextel Group under any agreement with a third party. NWIP and the other members of the Nextel Group retain the right to modify or terminate their agreements with third parties, in their sole discretion and without any liability or responsibility to the Company. If any product or service is made available to the Company by a pass-through as contemplated by this Section, the Company will look solely to the third party for performance. Neither NWIP nor any member of the Nextel Group makes any representation or warranty and none of them will have any liability for the failure of the third party to perform. If there is any cost or charge to any member of the Nextel Group for a pass-through arrangement, NWIP need not make it available to the Company until the Company has paid such cost or charge.

Pass Throughs. In addition to the annual rental payments to be made by Tenant, Tenant agrees to pay its reasonable pro rata or representative portion of any increase in taxes, excluding income taxes; any road assessments levied for the provision of ingress and egress to the Premises; or increase in per unit rate of necessary utilities which occur following the commencement of the site License and which are billed to either party for operation of the Premises. Charges for increased utility rates will not be passed through to tenants which are billed separately by the utility company for power and/or telephone service and Tenant agrees to separate metering of its electrical power at Tenant's sole expense. Charges to Tenant for such increases may be commenced immediately following Licensor's receipt of a demand for higher costs from the applicable government agency, supplier, utility company or road maintenance company, without prior notification to or approval from tenant, however, Licensor shall provide to Tenant all documentation necessary to demonstrate the source and amount of any increase directly attributable to Tenant's equipment on the Premises. Under no circumstances shall Licensor charge Tenant for such increases in a manner that might result in a profit to Licensor. Tenant's failure to pay any such charges upon demand by Licensor shall be deemed to be a failure to pay rents as required herein.
Pass Throughs. As part of Rents, tenants under the Leases may be obligated to pay “pass throughs” such as their proportionate share of property taxes, insurance, operating expenses, or common area maintenance charges (collectively, the “Pass Throughs”). Estimates of such Pass Throughs paid by the tenants are reconciled with the actual Pass Throughs due after the end of each calendar year. Notwithstanding anything in this Article 8 to the contrary, Seller and Purchaser shall re-prorate the Pass Throughs after such reconciliation occurs, but in no event later than ninety (90) days after the end of the calendar year in which the Closing occurs.
Pass Throughs. In the event the Building Expenses during any Adjustment year shall exceed the Expenses paid during the Base year, Tenant shall pay, as Additional Rent, Tenant's proportionate share of such increases.
Pass Throughs. In addition to tenant’s base rent, the proposed leases will include 100% reimbursement for taxes, insurance and common area maintenance, including either a 10% (of CAM) administrative charge or a 4-1/2% management fee.   • Determination of Pass-Through Rates for COFI Certificates The Pass-Through Rate for each Class of COFI Certificates for each Interest Accrual Period after the initial Interest Accrual Period shall be determined by the Trustee as provided below on the basis of the Index and the applicable formulae appearing in footnotes corresponding to the COFI Certificates in the table relating to the Certificates in the Preliminary Statement. Except as provided below, with respect to each Interest Accrual Period following the initial Interest Accrual Period, the Trustee shall not later than two Business Days prior to such Interest Accrual Period but following the publication of the applicable Index determine the Pass-Through Rate at which interest shall accrue in respect of the COFI Certificates during the related Interest Accrual Period. Except as provided below, the Index to be used in determining the respective Pass-Through Rates for the COFI Certificates for a particular Interest Accrual Period shall be COFI for the second calendar month preceding the Outside Reference Date for such Interest Accrual Period. If at the Outside Reference Date for any Interest Accrual Period, COFI for the second calendar month preceding such Outside Reference Date has not been published, the Trustee shall use COFI for the third calendar month preceding such Outside Reference Date. If COFI for neither the second nor third calendar months preceding any Outside Reference Date has been published on or before the related Outside Reference Date, the Index for such Interest Accrual Period and for all subsequent Interest Accrual Periods shall be the National Cost of Funds Index for the third calendar month preceding such Interest Accrual Period (or the fourth preceding calendar month if such National Cost of Funds Index for the third preceding calendar month has not been published by such Outside Reference Date). In the event that the National Cost of Funds Index for neither the third nor fourth calendar months preceding an Interest Accrual Period has been published on or before the related Outside Reference Date, then for such Interest Accrual Period and for each succeeding Interest Accrual Period, the Index shall be LIBOR, determined in the manner set forth below. With respect to any Interest Accrual Period for which the applicable Index is LIBOR, LIBOR for such Interest Accrual Period will be established by the Trustee on the related Interest Determination Date as provided in Section 4.08. In determining LIBOR and any Pass-Through Rate for the COFI Certificates or any Reserve Interest Rate, the Trustee may conclusively rely and shall be protected in relying upon the offered quotations (whether written, oral or on the Reuters Screen) from the Reference Banks or the New York City banks as to LIBOR or the Reserve Interest Rate, as appropriate, in effect from time to time. The Trustee shall not have any liability or responsibility to any Person for (i) the Trustee's selection of New York City banks for purposes of determining any Reserve Interest Rate or (ii) its inability, following a good-faith reasonable effort, to obtain such quotations from the Reference Banks or the New York City banks or to determine such arithmetic mean, all as provided for in this Section 4.07. The establishment of LIBOR and each Pass-Through Rate for the COFI Certificates by the Trustee shall (in the absence of manifest error) be final, conclusive and binding upon each Holder of a Certificate and the Trustee.
