Pre-Delivery Requirements. Telenor expects the Customer to fulfil the following requirements regarding pre-installation preparations: • Space for required equipment Clearance of necessary space for Telenor equipment in a room no smaller than 1x1x1m. The location shall have ambient air temperature and relative humidity (23°C ± 5°C, 10-80% Relative humidity. Non-condensing temperature ranges). • .Access to the installation space and equipment should be limited to authorised personnel only. If radio access with antenna is used, customer must accept and grant authorisation for installation of equipment before installation can start. • Electricity and separate circuits etc. There must be 230 V (minimum 6 A fuses) sockets with earth in the immediate vicinity of the equipment. Failure tolerant power supply is recommended. Equipment is not delivered with UPS. • Electrical noise and spikes. Unusually strong electrical disturbances are not allowed in the immediate vicinity. The responsibility for avoiding damage to equipment due to voltage spikes such as from lightning is the Customer’s. • Distribution network and cabling. Unless specifically agreed upon all connections between Telenor deployed equipment and lines to other units may be executed without provision of fixed cabling. • Other suppliers/contractors. If implementation of the delivery requires assistance from other suppliers, for instance those who have already supplied equipment to the Customer, the Customer must ensure that they are available to Telenor without delay. The customer is responsible for the coordination with other related suppliers, if necessary for the delivery. • Availability at installation time. The contact person shall be available (on mobile or similar) to Telenor at the agreed installation time and place. The contact person shall have access to the premises where the installation will be made and have keys and/or other device to enable access to the premises and installation space. • Knowledge and information about delivery. The contact person at the installation place shall have information and knowledge enabling Telenor to carry out the task in a manner satisfactory to both parties.

Pre-Delivery Requirements. LESSEE will do each of the following prior to the Scheduled Delivery Date of the Aircraft within the time frames set forth below: 8.1.1 Within one (1) month after execution of this Lease, LESSEE will deliver to LESSOR each of the following: (a) copies of resolutions of the Board of Directors of LESSEE or other written evidence of appropriate corporate action, duly certifying and authorizing the lease of the Aircraft hereunder and the execution, delivery and performance of this Lease, together with an incumbency certificate as to the person or persons authorized to execute and deliver documents on behalf of LESSEE hereunder; and (b) an opinion of LESSEE's in-house counsel in the form and substance of Exhibit H. 8.1.2 At least seven (7) days prior to the Scheduled Delivery Date, LESSEE will have delivered to LESSOR a Certificate of Insurance and Brokers' Letter of Undertaking substantially in the form of Exhibits E and F, respectively, from LESSEE's insurance brokers evidencing insurance of the Aircraft in accordance with this Lease from the Delivery Date. 8.1.3 At least three (3) Business Days prior to the Scheduled Delivery Date, LESSEE will do each of the following: (a) provide LESSOR with a power of attorney evidencing the authority of LESSEE's representative, who may be an officer or employee of LESSEE, to accept the Aircraft on behalf of LESSEE; and (b) provide LESSOR with such other documents as LESSOR may reasonably request.

Such resolutions or other written evidence must also specifically grant the individual executing this Lease on behalf of LESSEE with the authority and power to commit and bind LESSEE to the arbitration clause contained in Article 27 under the Laws of Mexico; (b) a letter from the Aviation Authority in the form and substance of Exhibit E (if available); and (c) an opinion of counsel in substantially the form and substance of Exhibit G such as LESSOR accepts from third party legal counsel in Mexico in the course of LESSOR’s business. 7.1.2 At least seven (7) days prior to the Scheduled Delivery Date, LESSEE will have delivered to LESSOR a Certificate of Insurance and Brokers’ Letter of Undertaking substantially in the same form as Exhibits C and D evidencing insurance of the Aircraft in accordance with this Lease from the Delivery Date. 7.1.3 At least three (3) Business Days prior to the Scheduled Delivery Date, LESSEE will do each of the following: (a) pay to LESSOR the first monthly installment of Rent in accordance with Article 5.3.2; (b) to the extent required, provide LESSOR with documents evidencing that LESSEE has obtained any necessary licenses for the importation and ferrying of the Aircraft into Mexico and that all applicable customs duties and sales taxes in respect of the Aircraft, if any, have been discharged by LESSEE (or arrangements satisfactory to LESSOR have been made for obtaining or paying for the same), such that at return of the Aircraft to LESSOR no additional fees, duties or taxes will be payable in order to export the Aircraft from Mexico; (c) provide LESSOR with documents reasonably requested by LESSOR evidencing the issuance of each approval, license and consent, if any, which may be required in connection with the remittance to LESSOR of any amount payable under this Lease ...

  • Service Delivery Requirements The following sections describe in detail the work activity required by this program. All CONTRACTORS will be expected to fulfill the work activity requirements in these areas. A. Staff Requirements & Policies CONTRACTOR shall provide the necessary management and administrative personnel whose expertise will ensure efficient operation of SNEMT services. OoA recognizes that a high quality operation begins with key personnel. Therefore, a minimum level of required staffing is described for the positions and functions described below. 1. Program Manager/Director The program manager/director will be in charge of all management and day- to-day operations of the CONTRACTOR’s SNEMT program. The position will maintain consistent and sufficient contact and communication with the OoA and be responsible for all CONTRACT obligations.

  • Delivery Requirements Contractor must ensure that the Goods and/or Services are delivered or provided as required by this Contract, the Purchase Order used by Purchaser, and as otherwise mutually agreed in writing between Purchaser and Contractor. The following apply to all deliveries: (a) Contractor shall make all deliveries to the applicable delivery location specified in the Purchase Order.   • Compliance with Prospectus Delivery Requirements The Company shall have complied with the provisions of Sections 2(g) and 3(e) hereof with respect to the furnishing of Prospectuses.

STAT. § 41- 4401, the Contractor and its subcontractors warrant compliance with all federal immigration laws and regulations that relate to their employees and their compliance with the E-verify requirements under ARIZ. REV. STAT. § 23-214(A). Contractor’s or its subcontractor’s failure to comply with such warranty shall be deemed a material breach of this Agreement and may result in the termination of this Agreement by the City.
