PREVENTION OF MODERN SLAVERY. 27.1 The Beneficiary undertakes, warrants and represents that: 27.1.1 neither the Beneficiary nor any of its officers or Staff has: (a) committed an offence under the Modern Slavery Xxx 0000 (an “MSA Offence”); or (b) been notified that it is subject to an investigation relating to an alleged MSA Offence or prosecution under the Modern Slavery Xxx 0000; or (c) become aware of any circumstances within its supply chain that could give rise to an investigation relating to an alleged MSA Offence or prosecution under the Modern Slavery Xxx 0000; 27.1.2 it shall comply with the Modern Slavery Xxx 0000; and 27.1.3 it shall notify the PCC immediately in writing if it becomes aware or has reason to believe that it, or any of its officers or Staff have breached or potentially breached any of the Beneficiary’s obligations under Clause 27. 1.1. PREVENTION OF MODERN SLAVERY. 36.1. The Supplier represents and warrants to the Company that: 36.1.1. it has not been and is not engaged in any practices involving the use of child labour, forced labour, the exploitation of vulnerable people, or human trafficking, including any activity or practice that would constitute an offence under s.1, s.2 and s.4 of the Modern Slavery Xxx 0000, if carried out in the UK ("slavery and human trafficking"); 36.1.2. the Supplier Personnel and all other employees and agency workers of the Supplier are paid in compliance with all applicable employment laws and minimum wage requirements; 36.1.3. it will take reasonable steps to prevent slavery and human trafficking in connection with the Supplier's business; 36.1.4. it will include in its contracts with its subcontractors and suppliers in connection with this Agreement slavery and human trafficking provisions that are at least as onerous to the subcontractor or supplier as those set out in this Agreement; and 36.1.5. it will respond to all reasonable requests for information required by the Company for the purposes of completing the Company's annual anti-slavery and human trafficking statement. 36.2. The Supplier will permit the Company and its third party representatives, on reasonable notice during normal business hours, but without notice if there are reasonable grounds to suspect an instance of slavery and human trafficking, to access and take copies of records and any other information held at the premises and to meet with personnel and more generally to audit compliance with its obligations under this Clause 36. The Supplier shall give all necessary assistance to the conduct of such audits during the term of this Agreement. 36.3. Any instances of slavery and human trafficking connected to the Supplier will entitle the Company to immediately terminate this Agreement on providing notice to the Supplier (and without any liability by the Company to the Supplier).
PREVENTION OF MODERN SLAVERY. (a) In performing its obligations under this Agreement, the Supplier must comply with any requirements of the Modern Slavery Act 2018 (Cth) and Division 270 and 271 of the Criminal Code Act 1995 (Cth) as they apply to the Supplier. (b) In this Agreement, Modern Slavery has the meaning given in section 4 of the Modern Slavery Act 2018 (Cth). (c) The Supplier warrants and undertakes that: (i) it will not engage in Modern Slavery and will comply with all applicable legislation relating to Modern Slavery; and (ii) it will take reasonable steps to satisfy itself that its operations and supply chains do not involve Modern Slavery practices and identify Modern Slavery risks; (iii) it will notify the Company promptly upon becoming aware of any incident, complaint or allegation that it, or any entity in its supply chain, has engaged in Modern Slavery in the performance of Services or supply of Goods; and (iv) the Supplier acknowledges that the Company has corporate reporting requirements with regard to Modern Slavery and shall provide to the Company a written report, upon written request and at its own expense, addressing risks of Modern Slavery in its operations and supply chain and any actions it is taking to mitigate these risks, and any other information required by the Company to comply with its Modern Slavery reporting requirements.
PREVENTION OF MODERN SLAVERY. (a) CBH works to comply with the requirements of the Modern Slavery Xxx 0000 (Cth) and expects the same of its customers. (b) Each party warrants that: (i) in performing its obligations under this Agreement, it will comply with any requirements of the Modern Slavery Xxx 0000 (Cth) and Division 270 and 271 of the Criminal Code Act 1995 (Cth) as they apply to the party; (ii) it investigates the risk of Modern Slavery within its operations and suppliers to it; (iii) it assesses and addresses risks regarding Modern Slavery, including implementing appropriate due diligence and remediation programs; (iv) it has all the necessary processes, procedures, investigations and compliance systems in place to perform the actions in clauses 23(b)(i) to (iii); and (v) upon request, it will provide evidence to the other party’s reasonable satisfaction which demonstrates the party’s compliance with this clause 23.
PREVENTION OF MODERN SLAVERY. ‌ 21.1 Historic England and Client each represent and warrant to the other that: 21.1.1 It has not been and is not engaged in any practices involving the use of child labour, forced labour, the exploitation of vulnerable people, or human trafficking (“Slavery and Human Trafficking”); 21.1.2 Its employees are paid in compliance with all applicable employment laws and minimum wage requirements; and 21.1.3 It will take reasonable steps to prevent Slavery and Human Trafficking in connection with its business.
PREVENTION OF MODERN SLAVERY. 27.1 The Beneficiary undertakes, warrants and represents that: 27.1.1 neither the Beneficiary nor any of its officers or Staff has: (a) committed an offence under the Modern Slavery Act 2015 (an “MSA Offence”); or (b) been notified that it is subject to an investigation relating to an alleged MSA Offence or prosecution under the Modern Slavery Act 2015; or (c) become aware of any circumstances within its supply chain that could give rise to an investigation relating to an alleged MSA Offence or prosecution under the Modern Slavery Act 2015; 27.1.2 it shall comply with the Modern Slavery Act 2015; and 27.1.3 it shall notify the PCC immediately in writing if it becomes aware or has reason to believe that it, or any of its officers or Staff have breached or potentially breached any of the Beneficiary’s obligations under Clause 27.1. 1. Any notice under this Clause 27.1.3 shall set out full details of the circumstances concerning the breach or potential breach of the Beneficiary’s obligations. 27.2 Any breach of Clause 27.1 by the Beneficiary shall be deemed a material breach of this Agreement entitling the PCC to terminate this Agreement pursuant to Clause 22.2.2(b). 27.3 Where the Beneficiary delegates or sub-contracts any of its duties or obligations under this Agreement, without prejudice to any requirements in relation to sub-contracting set out elsewhere in this Agreement, the Beneficiary shall ensure that the contract that it has with its sub-contractor: 27.3.1 is in writing; and 27.3.2 includes an obligation to comply with the Modern Slavery Act 2015. 27.4 The Beneficiary shall actively raise awareness of the Modern Slavery Act 2015 amongst its employees, agents, representatives and other members of its supply chain.

The Supplier represents and warrants to the Company that: 14.9.1.1. it has not been and is not engaged in any practices involving the use of child labour, forced labour, the exploitation of vulnerable people, or human trafficking, including any activity or practice that would constitute an offence under s.1, s.2 and s.4 of the Modern Slavery Xxx 0000, if carried out in the UK ("slavery and human trafficking"); 14.9.1.2. all employees and agency workers of the Supplier are paid in compliance with all applicable employment laws and minimum wage requirements; 14.9.1.3. it will take reasonable steps to prevent slavery and human trafficking in connection with the Supplier's business; 14.9.1.4. it will include in its contracts with its subcontractors and suppliers in connection with this Contract slavery and human trafficking provisions that are at least as onerous to the subcontractor or supplier as those set out in this Contract; and 14.9.1.5. it will respond to all reasonable requests for information required by the Company for the purposes of completing the Company's annual anti-slavery and human trafficking statement.
