Prohibition of Solicitation. During the term of this Agreement, the Shareholder shall not, nor shall the Shareholder authorize or permit any representative of the Shareholder to, directly or indirectly take any action prohibited by Section 6.2 of the Merger Agreement.

Seller will immediately notify the Purchaser if any discussions or negotiations are sought to be initiated, any inquiry or proposal is made, or any information is requested with respect to any Proposed Acquisition Transaction and notify the Purchaser of the terms of any proposal which it may receive after the date hereof in respect of any such Proposed Acquisition Transaction, including without limitation the identity of the prospective purchaser or soliciting party.

Party B agrees that, during the term of her engagement by Party A and within 2 years after leaving such engagement, Party B shall not solicit or induce or influence any of Party A's employees for other employment and shall not solicit any business from any of Party A's customers or suppliers.

Prohibition of Solicitation. For a period of one (1) year from and after Resignation Date, Employee shall not, directly or indirectly, actively or inactively, (a) solicit, induce or influence, or attempt to solicit, induce or influence, any person who is a current employee or independent contractor of CLR to terminate his or her employment with CLR or to accept employment with another company, nor (b) aid, assist or abet any other person, firm or corporation in any of the activities prohibited in the immediately preceding clause (a). Employee acknowledges this prohibition on solicitation of CLR employees and independent contractors is valid and enforceable pursuant to 15 Okla. Stat.§ 219B.
Prohibition of Solicitation. Visa employees should be able to work without interference from people whose purpose is not related to company business. Accordingly, MANUFACTURER may not enter Visa’s premises, nor take advantage of access granted to Visa’s premises, for other purposes, to solicit additional business, to distribute literature or other materials, or to engage in any business not directly related to the project or assignment for which MANUFACTURER was engaged by Visa, etc., unless specifically invited by Visa to do so. EXHIBIT C Capacity MANUFACTURER will deliver HMS to CUSTOMERS in the form as required and designated by CUSTOMER, and the following numbers are based on an anticipated yield of approximately [*] cards from a [*] foot reel. Service Levels Beginning no later than June 30, 2006 and until at least June 30, 2007, MANUFACTURER will use best efforts to maintain an on-hand inventory of at least [*] HMS units and will use all reasonable efforts to fulfill and ship [*]% of all CUSTOMER orders within two business days. Beginning July 1, 2007, MANUFACTURER will use best efforts to maintain an on-hand inventory of at least [*] HMS units and use all reasonable efforts to fulfill and ship [*]% of CUSTOMER orders within two business days. Nothing in this section shall obligate MANUFACTURER to fulfill or ship HMS units to potential CUSTOMERS that fail to meet MANUFACTURER’S reasonable standards of customer credit worthiness. Visa acknowledges that the production of HMS is always subject to normal manufacturing variations including the impact of the plate gap, image alignment, brightness, spots, etc., consistent with the samples provided by MANUFACTURER to Visa prior to execution of this Agreement, and that such variations will always be taken into account in applying the specification set out in Section 2.1(i) of the Agreement.
Prohibition of Solicitation. 1. Unless otherwise agreed by the Parties, each Party shall not solicit to hire any Officers or employees of the other Party as Officers or employees of its own or its affiliates for two (2) years from the Execution Date of this Agreement; provided, however, that each Party shall not be prohibited from publicly posting employment advertisement in the ordinary course of its business.
Prohibition of Solicitation. Concessionaire is strictly prohibited from engaging in any activities outside the Leased Premises within the Airport for the recruitment or solicitation of business. Concessionaire may not place or install any carts, kiosks, inline store, racks, or stands, or display merchandise or trade fixtures outside the boundaries of the Leased Premises without the express prior written consent of the Authority. Subject to ARTICLE 15 -of this Lease Agreement, Concessionaire may purchase advertising space within the Airport from the Authority’s designated advertising concessionaire.
