Prospective Changes. In addition to this monetary relief, the Settlement also requires FloSports to suspend operation of the Facebook Tracking Pixel on any pages on its website that both include video content and have a URL that identifies the video content viewed, unless and until the VPPA were to be: (a) amended to expressly permit (and not prohibit) the Released Claims, (b) repealed, or (c) invalidated by a judicial decision on the use of website pixel technology by the United States Supreme Court or the First Circuit Court of Appeals, or until FloSports obtains VPPA-compliant consent for the disclosure to Facebook of the video content viewed. Except as described in Exhibit 5.12 hereto, Seller knows of no impending changes in its business, assets, liabilities, relations with employees, competitive situation or relations with its suppliers or customers, or in any governmental actions or regulations affecting Seller's business, which, if they occur, could have a material adverse effect on Seller or its business or assets.

Except as set forth in the Disclosure Memorandum, Schuxx xxxws of no impending changes in Schuxx'x xx any Schuxx Xxxsidiary's business, assets, liabilities, relations with employees, competitive situation or relations with suppliers or customers, or in any governmental actions or regulations affecting Schuxx'x xxx Schuxx Xxxsidiaries' business, which, if they occur, could have a Schuxx Xxxerial Adverse Effect, except for (a) general economic conditions, (b) matters having a similar effect on Oakwood and Schuxx, (x) matters of general knowledge in the industry of which Oakwood should be aware due to the nature of its business or (d) pending or adopted federal statutes, laws and regulations with general applicability in the states where Oakwood currently does business.

In addition to this monetary relief, the Settlement also requires Defendant to suspend operation of the Facebook Tracking Pixel on any pages on its website that both include video content and have a URL that substantially identifies the video content viewed, unless and until the VPPA is amended, repealed, or otherwise invalidated (including by judicial decision on the use of website pixel technology by the United States Supreme Court, any federal court of appeals, a U.S. federal district court in Florida, or a Florida state court of general jurisdiction), or until Defendant obtains VPPA-compliant consent for the disclosure of the video content viewed to Facebook. Except as described in Exhibit 5.12 hereto, neither Seller nor the Shareholder knows of any impending changes in its assets, liabilities, relations with employees, competitive situation or relations with its suppliers or customers, or in any governmental actions or regulations affecting the Business, which, if they occur, could have a material adverse effect on the Business.

Neither Poly-Cell nor any of the Controlling Stockholders know of any pending changes in the business, assets, liabilities, relations with employees, competi- tive situation or relations with the suppliers or customers of Poly-Cell, or in any governmental actions or regulations affecting the Acquired Business, which, if they occur, could have a material adverse effect on the Acquired Business or the Acquired Assets.
Prospective Changes. None of Seller, Xx. Xxxxxx or the Shareholder has Knowledge of any changes reasonably expected to occur within one (1) year from the date of this Agreement to Seller, the Business, the Xxxxxx Real Property, the Assets, Seller's Liabilities, relations with employees, relations with customers, advertisers or subscribers, competitive situation or relations with suppliers, or governmental actions or Laws affecting the Business, which, if they occur, would have a Material Adverse Effect with respect to Seller.

Except as described in Schedule 3.23, to the Sellers' knowledge, there has been no event or occurrence relating to the Company, the Business, relations with employees, relations with customers or suppliers, or governmental actions or Laws directly applicable to the Business, which can reasonably be expected to have a Material Adverse Effect.

To the actual knowledge of the Seller and WE JAC, there are no impending changes in Seller’s business or in the relationships of Seller with its customers or suppliers or in any governmental actions or relations effecting the business which if one or more should occur could have a material adverse effect on the prospects, financial condition or results of operations of the business.
