PROVIDER COMPLIANCE. 13.1 Provider shall conduct its operations at all times in strict compliance with all applicable anticorruption laws including the US Foreign Corrupt Practices Act (FCPA), the X.X Xxxxxxx Xxx 0000, and SAP’s then current local SAP Provider Code of Business Conduct. Such obligation shall also apply to the Provider´s subcontractors, Affiliates, resellers and distributors. If Provider has in place or adopts policies which establish similar standards to the SAP Code of Business Conduct, Provider may comply with its own policies to fulfil the requirements of this Section.
13.2 Provider shall not obtain on SAP´s behalf or provide to SAP any information which is not legally available in the Territory, or which is procurement-sensitive, proprietary, or classified, where there is reason to believe that possession of such information is unauthorized, illegal, or unethical.
13.3 Provider shall not make, offer or promise any payments or gifts directly or indirectly to any employee of potential Customers or End Users. Any business entertainment offered to potential Customers must comply with the spirit and letter of the limits established in the relevant then current local SAP Code of Business Conduct.
13.4 Provider represents and warrants to SAP that Provider and any other person acting on the Provider`s behalf have not directly or indirectly paid, offered or promised to pay, or authorized the payment of, and will not directly or indirectly pay, offer or promise to pay, or authorize the payment of any monies or gifts or anything of value to any employee or representative of a Customer or prospect, or government official or employee, political party official or candidate, or officer or employee of any public international organization (or an immediate family member of such persons) for the purpose of influencing their acts or decisions in order to secure or retain business on behalf of SAP.
13.5 Provider represents and warrants that it is not listed by any government agency as debarred, suspended, or proposed for suspension or debarment or otherwise ineligible for government procurement programs. Provider certifies that neither it nor its employees or subcontractors are members of management or in a position to influence decisions related to work performed under the Agreement with respect to any Customer.
13.6 SAP shall be entitled to require Provider to certify once per year that Provider is in compliance with the terms of this Section 13.
PROVIDER COMPLIANCE. The Health Plan shall ensure, through provider education and outreach, that its health care Providers are aware and comply with the following requirements:
a. Health care Providers may display Health-Plan-specific materials in their own offices.
b. Health Care Providers cannot orally or in writing compare Benefits or provider networks among Health Plans, other than to confirm Health Plan network participation.
c. Health care Providers may announce a new affiliation with a Health Plan or give a list of Health Plans with which they contract to their patients.
d. Health care Providers may co-sponsor events, such as Health Fairs, and advertise with the Health Plan in indirect ways; such as television, radio, posters, fliers, and print advertisement.
e. Health care Providers shall not furnish lists of their Medicaid Recipients to Health Plans with which they contract, or any other entity, nor can Providers furnish other Health Plans' membership lists to any Health Plan, nor can Providers assist with Health Plan Enrollment.
f. For the Health Plan, health care Providers may distribute information about non-Health-Plan-specific health care services and the provision of health, welfare, and social services provided by the State of Florida or local communities as long as any inquiries from prospective enrollees are referred to the member services section of the health plan and the Agency’s Choice Counselor/Enrollment Broker.
PROVIDER COMPLIANCE a. The Health Plan shall ensure its health care Providers comply with the following Marketing requirements:
(1) Health care Providers may give out Health Plan brochures at Health Fairs or in their own offices comparing the Benefits of different Health Plans with which they contract. However, they cannot orally compare Benefits among Health Plans, unless Marketing Representatives from each Health Plan are present.
(2) Health care Providers may co-sponsor events, such as Health Fairs and cooperatively market and advertise with the Health Plan in indirect ways; such as television, radio, posters, fliers, and print advertisement.
(3) Health care Providers may announce a new affiliation with a Health Plan or give a list of Health Plans with which they contract to their patients.
(4) Health care Providers shall not furnish lists of their Medicaid Recipients to Health Plans with which they contract, or any other entity, nor can Providers furnish other Health Plans' membership lists to any Health Plan, nor can Providers take applications in their offices.
PROVIDER COMPLIANCE. In addition to the Business Associates Agreement, see Exhibit C, Provider agrees to abide by the terms of the Integrity and Compliance, Background Investigations and with HMA Travel and Expense Policies for Contractor exhibits. Provider will be responsible for any breach of the foregoing by its employees, subcontractors, representatives and agents.
PROVIDER COMPLIANCE. The Managed Care Plan shall ensure, through provider education and outreach that its health care providers are aware of and comply with the following requirements:
a. Health care providers may display Managed Care Plan-specific materials in their own offices.
b. Health care providers cannot orally or in writing compare benefits or provider networks among Managed Care Plans, other than to confirm whether they participate in a Managed Care Plan’s network.
c. Health care providers may announce a new affiliation with a Managed Care Plan and give their patients a list of managed care plans with which they contract.
d. Health care providers may co-sponsor events, such as health fairs and advertise with the Managed Care Plan in indirect ways; such as television, radio, posters, fliers, and print advertisement.
e. Health care providers shall not furnish lists of their Medicaid patients to the Managed Care Plan with which they contract, or any other entity, nor can providers furnish other managed care plans’ membership lists to the Managed Care Plan, nor can providers assist with Managed Care Plan enrollment.
f. For the Managed Care Plan, health care providers may distribute information about non-Managed Care Plan-specific health care services and the provision of health, welfare and social services by the State of Florida or local communities, as long as any inquiries from prospective enrollees are referred to the enrollee services section of the Managed Care Plan or the Agency’s enrollment broker.

PROVIDER COMPLIANCE. If Federal funding is utilized, Provider shall comply with each and every federal funding compliance requirement set forth in Attachment No. 1, Federal Funding Compliance Requirements, attached hereto and made a part hereof.
PROVIDER COMPLIANCE. The State will require that no less than the same level of compliance from local governments, health plans, and Demonstration program providers receiving FFP, for any provision within these terms and conditions.

PROVIDER COMPLIANCE. Provider agrees to comply, and will ensure the compliance of its Subprocessors, with Data Protection Laws. In addition, Provider will act in accordance with all applicable Company policies and procedures provided to Provider in advance of performing the Services.
