This will be achieved by: 1.1.1 Overseeing the development and operation of the Frailty Project; 1.1.2 Reviewing activity levels and identifying trends from initial base data; 1.1.3 Reviewing key financial and other performance indicators and preparing action plans if required to correct any major variations; 1.1.4 Considering any service user related issues and dealing with any complaints; 1.1.5 Receiving instructions from and passing information to the Pan Gwent Service Assurance Group. Preparation of reports for Locality Senior Management Teams; 1.1.6 Ensuring all key staff in the locality are fully engaged in the development and implementation process; 1.1.7 Reviewing group membership on an ongoing basis to ensure representation remains relevant to the task, including co-opting relevant members as identified; 1.1.8 Ensuring that quality and timely information and support is available for those responsible for delivering on key tasks; 1.1.9 Ensuring that there is an effective communication system in place so that all stakeholders are aware of the outcomes of the process.
Purpose of the Group. (a) The Group Members desire to form a group and evidence the formation of such group by filing a Group Schedule 13D. The purpose of this Agreement is to set forth the relative rights, duties, obligations, covenants and responsibilities of each Group Member. (b) All of the Group Members were original investors of United Insurance Holdings, LC and prior to this Agreement have held their United shares without any agreement with any third party to act together for the purpose of acquiring, holding, voting or disposing of equity securities of United. (c) Since the merger, the Group Members have been dissatisfied with, among other matters, the financial position and results of United’s operations and the price levels and liquidity of United’s common shares. (d) The Group Members may desire to have more influence and input into the business, direction and operations of United, and accordingly desire to form a group so that management of United and other United shareholders are aware of the matters set forth in this Agreement and related Group Schedule 13D. (e) The Group Members and others have discussed their issues and concerns regarding United before the date of this Agreement but no agreement was reached among the parties as a result of such discussions and meetings, and no “group” was formed under the Securities Exchange Act of 1934, as amended (the “Exchange Act”), until the Group Members entered into this Agreement.
Purpose of the Group. 2.1 The purpose of the Group is to design, make and broadcast, or have broadcast by satellite or any other means, and to have distributed, including by on-demand audiovisual media services, television programmes as well as content for the services offered electronically by the broadcasting media, having a cultural and international nature in the broad sense, and conducive to understanding and rapprochement among the peoples of Europe. The area to be served shall be the territories of the States of the members of the Group, subject to specific agreements for other countries. 2.2 The Group's members, or the Group itself, shall acquire, produce, coproduce or procure in any other manner programmes and other content. 2.3 The Group may undertake any commercial, industrial, financial, moveable or real property transactions directly or indirectly related to its specified purpose or likely to facilitate the achievement or development of the purpose of the Group. 2.4 The Group shall pursue its purpose in conformity with the terms of the inter-State treaty on the European Cultural Channel, concluded between the French Republic and the Länder of the Federal Republic of Germany on 2 October 1990, annexed hereto.

  • PURPOSE OF THE TRUST The purpose of the Trust shall be to (a) manage, conduct, operate and carry on the business of an investment company; (b) subscribe for, invest in, reinvest in, purchase or otherwise acquire, hold, pledge, sell, assign, transfer, exchange, distribute or otherwise deal in or dispose of any and all sorts of property, tangible or intangible, including but not limited to Securities of any type whatsoever, whether equity or nonequity, of any issuer, evidences of indebtedness of any person and any other rights, interest, instruments or property of any sort to exercise any and all rights, powers and privileges of ownership or interest in respect of any and all such investment of every kind and description, including without limitation, the right to consent and otherwise act with respect thereto, with power to designate one or more Persons to exercise any of said rights, powers and privileges in respect of any of said investments.
