Quality Inspections. SharkNinja and its designated Affiliates shall have the right to perform quality inspections of (i) any Approved OEM’s facilities in conjunction with inspections conducted by Joyoung or its Affiliates, in each case subject to the terms of the applicable agreements with each such Approved OEM, and (ii) Joyoung and its Affiliates, in each case in connection with the Products. Joyoung shall notify SharkNinja at least ten (10) Business Days prior to a scheduled quality inspection of an Approved OEM’s facilities, and SharkNinja shall be entitled to send representatives to participate in such inspection.
Quality Inspections. SharkNinja and its designated Affiliates shall have the right to perform quality inspections of any Approved OEM’s facilities in conjunction with inspections conducted by JSG or its Affiliates, in each case subject to the terms of the applicable agreements with each such Approved OEM. JSG shall notify SharkNinja at least ten (10) Business Days prior to a scheduled quality inspection of an Approved OEM’s facilities, and SharkNinja shall be entitled to send representatives to participate in such inspection.
Quality Inspections. Callaway Golf shall have the right at any time, upon five (5) days advance notice in the case of Licensee, and upon whatever terms are set forth in any Callaway Golf approved Subcontractor Agreement (hereafter defined) in the case of Licensee’s suppliers or subcontractors, or upon reasonable advance notice, not *** CONFIDENTIAL TREATMENT REQUESTED *** to exceed thirty (30) days, in the event the requirement of a Subcontractor Agreement has been waived by Callaway Golf in writing for a particular supplier or subcontractor, to conduct during regular business hours an examination, at Licensee’s facilities or the facilities of Licensee’s suppliers or subcontractors, of the Licensed Products and the records and facilities at or from which the same are designed, manufactured, stored or distributed to determine whether the Licensed Products conform in all material respects to the Licensed Products approved by Callaway Golf and to confirm Licensee’s, compliance with the terms of this Agreement and its suppliers’ and subcontractors’ compliance with the terms of any written Subcontractor Agreement.
Quality Inspections. We will have the right to enter the Store premises at any time during the times in which the Store is required to be open for the purpose of conducting inspections to determine whether the Store is in compliance with 7-Eleven Foodservice Standards. You agree to cooperate with our representatives in such inspections by rendering such assistance as they may reasonably request. You also agree to permit us to remove a reasonable number of samples of food or non-food items from the Store, without payment, subject to your ability to properly write off any such products, in amounts reasonably necessary for testing by us or an independent laboratory to determine whether such samples meet the 7-Eleven Foodservice Standards.
Quality Inspections. During the period of validity of the purchasing contract and these conditions, Xxxxxxxxxx shall be entitled to conduct quality inspections in the Supplier’s production and storage facilities.
Quality Inspections. Sharp shall perform certain in-coming, in-process and finished product inspections necessary to assure the quality of the Packaging Material and Packaged Products as provided for in Sharp’s standard procedures and any inspections required by Applicable Law of the United States or as otherwise required by the Specifications. For purposes of this Agreement, inspections performed [***] shall be considered routine and shall be performed at Sharp’s expense. [***] will be completed at cost and at Ascendis’ expense. All inspections and related results shall be performed, documented and summarized by Sharp in accordance with Sharp’s standard procedures, the Specifications and Applicable Law of the United States. The parties hereto will negotiate in good faith any unanticipated burdens resulting from changes made to any Applicable Law after the Effective Date.
Quality Inspections. Grower shall allow representatives of EG to inspect Grower’s Products and facilities at a pre-determined time, or a time that is mutually agreeable between parties to verify compliance with applicable quality standards and shall provide water and tissue samples upon EG’s request. EG shall assist Grower shall assist with independent inspections and audits of Grower’s Products and facilities to verify compliance with GAP, GHP and the Produce Traceability Initiative (PTI). All such inspections shall be scheduled through and may be attended by EG.
Quality Inspections. Licensor shall have the right to inspect, upon reasonable notice to Licensee, without unreasonable disruption of Licensee's business and personnel and during normal business hours, such of the premises, facilities and records of Licensee and any permitted sublicensee as are necessary solely for the purpose of maintaining quality control over the nature and quality of the Licensed Products.
Quality Inspections. 9.3.1. At GAUDLITZ's behest, the SUPPLIER shall deliver, free of charge, clearly-marked initial samples of the PRODU with a test report. The initial samples shall be produced from a series point of view and using series production tools.
Quality Inspections. Each treatment area will be inspected by a Company representative. A representative from the Contractor may also attend, but not required. Results from quality inspections completed by Company representatives will be used in payment calculations. Quality inspections will be conducted by walkthrough assessment (transects). For Protector Removal, the Taan representative will assess the number of well removed protectors and properly secured trees along the transect compared to poorly removed, damaged trees, poorly secured trees and garbage left on site. For Fertilization, the Taan representative will assess the number of properly treated trees compared to poorly treated or untreated trees.
