Reinstallation and Exchange of Material. Magnetic MRO and Customer will mutual- ly determine whether material removed in the course of the Engine Line Mainte- xxxxx Services shall be reinstalled (removed serviceable), exchanged (removed unserviceable and repaired), or replaced (not eligible for reinstallation due to scrap or other reasons) against new or used material. In the event of an exchange against new or used serviceable material purchased by Magnetic MRO from a Supplier or taken from Magnetic MRO's stock, the unserviceable material received from the Customer shall be repaired at Customer’s cost. If Customer's removed part is declared a scrapped part after an exchange part has been installed in the engine, the exchange fee will be cancelled and the cost of the replacement part used shall be charged to Customer. In such case Standard Terms and conditions applicable to Exchange transactions shall apply.

  • Cooperation and Exchange of Information Seller and Buyer shall provide each other with such cooperation and information as either of them reasonably may request of the other in filing any Tax Return pursuant to this Article VI or in connection with any audit or other proceeding in respect of Taxes of the Company. Such cooperation and information shall include providing copies of relevant Tax Returns or portions thereof, together with accompanying schedules, related work papers and documents relating to rulings or other determinations by tax authorities. Each of Seller and Buyer shall retain all Tax Returns, schedules and work papers, records and other documents in its possession relating to Tax matters of the Company for any taxable period beginning before the Closing Date until the expiration of the statute of limitations of the taxable periods to which such Tax Returns and other documents relate, without regard to extensions except to the extent notified by the other party in writing of such extensions for the respective Tax periods. Prior to transferring, destroying or discarding any Tax Returns, schedules and work papers, records and other documents in its possession relating to Tax matters of the Company for any taxable period beginning before the Closing Date, Seller or Buyer (as the case may be) shall provide the other party with reasonable written notice and offer the other party the opportunity to take custody of such materials.

  • Installation and Use You may install and use the Software only for the number of licenses acquired by you. In order to exercise your rights to the Software under this Agreement, you must activate your copy of the Software in the manner described during the launch sequence.

  • Development of Common Reporting and Exchange Model The Parties are committed to working with Partner Jurisdictions and the Organisation for Economic Co- operation and Development on adapting the terms of this Agreement and other agreements between the United States and Partner Jurisdictions to a common model for automatic exchange of information, including the development of reporting and due diligence standards for financial institutions.

  • Consultations and Exchange of Information Either Contracting Party may request consultations on the interpretation or application of this Agreement. Web-based information and applications must conform to New York State Enterprise IT Policy NYS-P08-005 as determined by quality assurance testing. Such quality assurance testing will be conducted by the State Agency Authorized User and the results of such testing must be satisfactory to the Authorized User before web-based information and applications will be considered a qualified deliverable under the contract or procurement.

  • Removal of Materials If you decide you would like to remove your Materials from the Service, you may provide written notice to Prime Publishing by either deleting the image through the Prime Publishing interface or by contacting Prime Publishing customer service, and Prime Publishing will remove such Materials from the Service within a reasonable period of time. 5) License for Name, Trademarks and Likenesses.
