Filing of Materials. All records related to a grievance shall be filed separately from the personnel files of the participants, to the extent legally permitted, in Human Resources and the Paralegal’s office. Grievance Withdrawal: A grievance may be withdrawn at any level without establishing precedent and shall be deemed as never having been filed. Time Limit Extension: Time limits may be extended by the mutual consent of the Union and the Board. If no written response or decision has been rendered within the time limits indicated by a step, then the grievance may be processed to the next step. Expense of Arbitration Each party shall bear the full cost of its representation in arbitration. The cost of the arbitrator shall be divided equally between the parties. If either party requests a transcript of the proceedings, that party shall bear the full cost of such transcripts. If both parties request a transcript, the cost shall be equally divided. If the arbitrator requests a copy of the transcript, these costs shall be divided equally between the parties.

  • Confidential Information has the meaning set forth in Section 6.1.

  • Effective Date has the meaning set forth in the preamble.

  • Services means those functional services ancillary to the supply of the goods, such as transportation and any other incidental services, such as installation, commissioning, provision of technical assistance, training, catering, gardening, security, maintenance and other such obligations of the supplier covered under the contract.

  • Affiliate of any specified Person means any other Person directly or indirectly controlling or controlled by or under direct or indirect common control with such specified Person. For the purposes of this definition, "control" when used with respect to any specified Person means the power to direct the management and policies of such Person, directly or indirectly, whether through the ownership of voting securities, by contract or otherwise; and the terms "controlling" and "controlled" have meanings correlative to the foregoing.

  • Contract means the written agreement entered into between the purchaser and the supplier, as recorded in the contract form signed by the parties, including all attachments and appendices thereto and all documents incorporated by reference therein.

  • Subsidiary means any subsidiary of the Company and shall, where applicable, also include any direct or indirect subsidiary of the Company formed or acquired after the date hereof.
