Renewal payments. 5.1. At least 4 (four) weeks before expiry of the membership, we shall send a message to your registered email address to tell you that your ADB Membership is shortly to expire and to invite you to renew. An invoice for the new period will be included.
5.2. At any time before expiry of your ADB Membership, you may email us to change your personal information or cancel renewal.
5.3. Membership is non-refundable and non-transferable.
Renewal payments days and 5 days before expiry of the period for which you have paid, we shall send you a message to your last known email address to inform you that your Driver Fitness Coalition Membership is shortly to expire and is up for renewal. Payment instructions to renew your membership will be included in this correspondence. If payment is not made by the stipulated date your membership will be terminated and you will have to reregister at no additional cost, should you wish to become a member again.
Renewal payments. If a Contract is renewed beyond its original term as a result of the Obligor’s failure to provide notice of its intent not to renew the Contract or return the Equipment, rental payments constituting part of the Payments received during the renewal period will be shared by Seller and Purchaser. Seller’s portion shall be [**] percent ([**]%) of such payments collected and Purchaser’s portion shall be [**] percent ([**]%) of such payments collected. Purchaser shall xxxx and collect all such renewal payments in Seller’s name. Purchase shall remit Seller’s portion of all renewal payments to Seller on a quarterly basis via check or ACH transfer or as otherwise agreed upon by the parties. Seller represents and warrants that the language in the Contract regarding renewal payments allows for the billing of renewal payments as of the expiration of the Contract term but Purchaser will xxxx renewal payments sixty (60) days after expiration of the Contract term.
Renewal payments. Xxxxx (or Xxxxx’x reseller or agent) will invoice Customer in advance of each renewal period for the continuation of the Support Services. Payment for Support Services renewals shall be due in full on the first day of each renewal period. Failure of Customer to pay the associated amounts for the renewal of Support Services prior to the beginning of the renewal term may result in the immediate suspension or termination of Support Services, at the discretion of Xxxxx.
Renewal payments. (a) For each Subscription Renewal (irrespective of whether the initial Subscription was entered into before or after the Closing Date), during the period commencing on the first day following the Closing and ending December 31, 2015 (the “Renewal Period”), Buyer will pay Seller $5.75 for each Subscription Renewal (the “Renewal Payments”). The Renewal Payments will be paid quarterly by Buyer to Seller during the Renewal Period by the end of the month following the end of each quarter. For example, the Renewal Payment for the first quarter of 2008 will be paid by April 30, 2008.
(b) Notwithstanding the provisions of subsection (a) above, if (i) Seller or any of its Affiliates acquires a Competing Business operating in the United States under the circumstances set forth in Section 5.6(c)(ii) of the Asset Purchase Agreement and (ii) Seller does not either divest such Competitive Business within six months of its acquisition or enter into a written agreement with Buyer with respect to such Competitive Business, then Buyer may discontinue paying Renewal Payments with respect to any Subscriptions to any programs in the specific part of the Field of Use in which the Competitive Business is engaged. Thus, by way of example, if the acquired Competitive Business designs solutions for and/or operates a program described in subsection (A) of the definition of Field of Use (“RT”), then Buyer may discontinue making Renewal Payments in respect of RT Subscriptions but not in respect of Subscriptions to (1) non-RT programs described in subsection (B) or (2) programs described in subsection (C) of the definition of Field of Use; if the acquired Competitive Business designs solutions for and/or operates a non-RT program described in subsection (B) or a program described in subsection (C) of the definition of Field of Use, then Buyer may discontinue making Renewal Payments in respect of Subscriptions to programs described in such subsection (B) or (C) but not in respect of RT Subscriptions.

6.2 At expiry of your mySchoolApp subscripton we shall automatcally take payment from your credit card of the sum specifed on the invoice sent earlier and shall confrm the renewal of your mySchoolApp membership for a further period by sending you an email message.
6.3 If you have made payment in some way other than by credit card, your subscripton will be renewed only if you make the appropriate payment before the expiry of your previous subscripton.
6.4 We may change the nature or provision of a Product at any tme. We may tell you about any such change by email or by postng details on Our Website.
6.5 If we change the nature or provision of a Product, you may terminate this contract and we will refund to you any unexpired porton of your subscripton.
6.6 If a change we make in the provision of a Product, involves acton on your part, and you do not take that acton, we are enttled to terminate provision to you without notce.

Renewal payments. 6.1 Your Membership and licence to use the Membership Services will renew automatically each month. At the monthly renewal we will automatically take payment from your credit card or other specified method of payment of the sum specified on our Site as the then monthly Membership fee.
6.2 Membership is ongoing until such time as you actively cancel your Membership in accordance with these Terms.
6.3 You can cancel your Membership at any time by emailing a cancellation notice to our nominated email address at the foot of these Terms or by managing your payment in our Site under the settings “Manage Payment”.
6.4 Cancellation will take effect the following month after notice is received.
6.5 Other than the limitations set out above Membership is non-refundable and non-transferable.

7.2. At any time before expiry of your membership, you may use the “My Account” tab on Our Website to access your personal information and change your requirements for services or cancel renewal.
7.3. At expiry of your Chelmsford Hockey Club Membership you will need to access your account, complete a renewal form and make payment for the chosen membership category online. We shall confirm the renewal of your Chelmsford Hockey Club Membership for a further period by sending you an email message.
7.4. Termination of this agreement by you or us at any time for any reason will not entitle you to a refund of money paid.
